The Employer shall pay the cost of premiums of the following plans: • Medical Services Plan of BC • Extended Health Benefit Plan (For part-time employees, coverage is for the employee only) • Group Life InsuranceAccidental Death & Dismemberment (For part-time employees, coverage is for the employee only) • Dental Plan (75% of A, 75% of B, 50% of C to $4,000) (For part-time employees, coverage is for the employee only) The Employer agrees to arrange, for all full-time and part-time employees, a Weekly Indemnity Plan and a Long-term Disability Plan with the premiums for these plans to be paid by the employee.

List of Benefit Plans. All of the Employee Plans are listed on Schedule 4.13(a). Except as disclosed on Schedule 4.13(a), the Company does not sponsor, maintain or contribute to or have any obligation to maintain or contribute to, or has any direct or indirect liability, whether contingent or otherwise, with respect to any Employee Plan. The Company has made available to Acquiror a true, current and complete copy of (i) each Employee Plan that has been reduced to writing, together with all amendments; (ii) in the case of each Employee Plan that not been reduced to writing, a summary of all material terms of the Employee Plan, as amended and in effect; and (iii) for each Employee Plan, the following (A) any related summary plan description or similar summary; (B) any related trust agreements, group annuity contracts, insurance contracts, administrative services agreements or similar agreements; (C) for any such Employee Plan for which a Form 5500 is required to be filed, the three most recently filed Forms 5500; (D) for any Employee Plan that is intended to qualify under Section 401(a) of the Code, (1) a copy of the most recent IRS determination letter or, if a prototype plan, an opinion letter and (2) any material correspondence with or notices from the IRS or the Department of Labor.
