Manager Employees. Manager shall hire, supervise, discharge and pay salary and benefit expenses for all employees of Manager determined necessary to perform Manager’s duties described in this Agreement including, but not limited to managers, assistant managers, leasing consultants, engineers, janitors and maintenance supervisors. All expenses of such employment, including but not limited to, wages, salaries, insurance, benefits, employment related taxes, overhead and other governmental charges, shall be deemed operational expenses of the Premises and Owner shall reimburse Manager for such expenses which may be charged to Owner on a per square 115023.9 foot or per unit basis, as applicable. Notwithstanding the foregoing, salaries and benefits of Manager’s employees who also serve as the one of the Parent Company’s executive officers or as an executive officer of the Manager shall not be reimbursed by the Owner. The number and classification of employees serving the Premises shall be as determined by Manager to be appropriate for the proper operation of the Premises; provided that Owner may request changes in the number or classification of employees, and Manager shall make all requested changes unless in its judgment the resulting level of operation or maintenance of the Premises will be inadequate. [Manager shall honor any collective bargaining contract covering employment at the Premises which is in effect upon the date of execution of this Agreement; provided that Manager shall not assume or otherwise become a party to any collective bargaining contract for any purpose whatsoever and all personnel subject to a collective bargaining contract shall be considered the employees of the Owner and not Manager (delete bracketed text if not applicable to Premises)].
Manager Employees. Manager shall employ or otherwise retain, and shall be responsible for selecting, hiring or arranging for, training, supervising and terminating, all non-clinical personnel (“Manager Employees”) as Manager deems necessary and appropriate for Manager’s performance of the Management Services under this Agreement. Manager shall determine the salaries or contract payments, provide employee benefits (if appropriate), and administer payroll withholding for all Manager Employees as required by applicable laws or regulations.
Manager Employees. Company shall use commercially reasonable efforts, or shall cause the Business Manager and Property Manager to use commercially reasonable efforts, to (i) provide or make available to Parent and its Affiliates during the Interim Period all reasonably necessary data for the Parent’s or its Affiliate’s determination to solicit or to offer to hire, effective as of the Closing Date, any of the Manager Employees, and (ii) provide assistance to and cooperate with Parent and its Affiliates, to the extent requested by Parent and its Affiliates, in order to make all Manager Employees available to Parent or its Affiliates for interview and for potential hire during, and after expiration of, the Interim Period. For the avoidance of doubt, this Agreement shall inure exclusively to the benefit of and be binding upon the parties hereto and their respective successors, assigns, executors and legal representatives, and nothing in this Agreement shall confer any rights or remedies of any kind or description upon any former, current or future directors, trustees, officers, employees, agents, general and limited partners, managers, members, shareholders, stockholders, Affiliates and assignees of Parent, Parent Subsidiaries, Company and Company Subsidiaries or their respective successors and assigns.
Manager Employees. Manager shall hire in its own name all managerial personnel necessary for the efficient discharge of its duties hereunder.
Manager Employees. The obligations under Sections 5.01 and 5.03, to the extent they relate to Services provided by employees of the Manager or its Affiliates, shall be limited to payment to the Manager for expenses in connection with its or its Affiliates’ employees engaged in the provision of Services hereunder, and the Partnership shall not be obligated to pay to the Manager’s or its Affiliates’ employees directly any compensation, salaries, wages, bonuses, benefits, social security taxes, workers’ compensation insurance, retirement and insurance benefits, training and other such expenses; provided, however, that the Partnership may, at its option, compensate such employees under one or more equity-based incentive compensation plans for the provision of Services hereunder; and provided further, however, that if the Manager fails to pay any employee, with the exception of employee claims for amounts owed that the Manager disputes in good faith, within 30 days of the date such employee’s payment is due:
Manager Employees. The Enterprise shall reimburse Manager or its Affiliates an amount equal to the actual Compensation (including, but not limited to, salaries, benefits, pension, retirement, severance or similar benefits) which is related to Manager Employees and the services they provide, plus the full amount of any travel and other business expenses incurred by such Manager Employees for the benefit of the Tribe or the Enterprise. Manager or its Affiliates shall only be reimbursed for the actual Compensation and expenses incurred relating to such Manager Employees and the services they provide without any additional fee, xxxx-up or premium. The amount of such reimbursements shall be Costs of Gaming Operations and shall be included in the Annual Operating Budget approved by the Business Board.
Manager Employees. Manager will, in performing the Management Services, make available and use the services of the individuals described in Section 1.1 (who may be, but shall not be required to be, officers or employees of Manager, prior to the time of selection by Manager but who will become officers or employees of Manager at or prior to the time of commencement of services to the Company) and such officers and other employees of Manager as may be necessary, together with officers and other employees of the Company, to perform the Management Services. It is understood and agreed that the support and administrative personnel described in Section 1.1 and any such other officers and other employees of Manager so made available and used will continue to be employees of Manager and not of the Company and that Manager, and not the Company, will be responsible for their salary, employee benefits and related costs. The Company acknowledges and agrees that such officers and other employees of Manager shall continue to perform services for Manager and that they will devote only so much of their time to the business of the Company as is necessary for Manager to perform the Management Services hereunder.
Manager Employees. Manager shall also have the right to use Manager Employees to provide services to the Enterprise at Manager’s own expense.
Manager Employees. Manager shall be responsible for all payroll taxes and withholdings associated with the performance of services by Manager and Cxxxx and Manager’s other employees and representatives under this Agreement.
Manager Employees. The Manager acknowledges and agrees that the Company intends to make offers of employment to one or more employees of the Manager listed on Exhibit A hereto (each, a “Manager Employee”), and each Manager Employee who accepts any such offer of employment shall become employed by the Company or one of its affiliates effective as of 12:01 a.m., Eastern Time, on January 1, 2021. Unless otherwise determined by the Manager in its sole discretion with respect to Manager Employees who do not receive or accept the offer of employment pursuant to this Section 2.02, each Manager Employee shall (i) terminate employment with the Manager and its affiliates effective as of immediately prior to the Effective Date, (ii) cease to be an active participant in any employee benefit plans maintained by the Manager and its affiliates effective as of immediately prior to the Effective Date and (iii) execute a separation agreement and release of claims in substantially the form customarily used by the Manager (the “Separation Agreement”).
