Nature and Extent of Services. During the Services Period (as defined below), Adviser shall hold himself available to render advice and assistance to the Company, and shall render advice and assistance, with respect to the management and operation of the business and affairs of the Company, as may be requested from time to time by the Chief Executive Officer of AFC (“CEO”) or the Board of Directors of AFC (the “Board”) (the “Services”). Adviser shall be required to devote such time to the performance of the Services under this Agreement as may be meaningful and appropriate under the circumstances and as agreed upon by the parties (the “Basic Commitment”), provided that it is the understanding of the parties hereto that: (i) the expenditure of such time by Adviser may be at irregular intervals and on an ad hoc basis, depending on the Company's need and Adviser's availability, (ii) under no circumstances shall Adviser be expected to dedicate to the rendering of the Services during the term of this Agreement more than thirty-five (35) hours in any business week or more than twenty percent (20%) of his average level of services performed for the Company during the thirty-six month period ending on December 31, 2012.
Nature and Extent of Services. During the Services Period (as defined in Section 2, below), Adviser shall hold himself available to render advice and assistance, and shall render advice and assistance on financial and general corporate matters, including by assisting in the preparation of routine financial reports and advising on special projects, as may be requested from time to time by the Chief Executive Officer of AFC. Adviser shall be required to devote such time to the performance of the services under this Agreement as may be necessary and appropriate under the circumstances, provided that it is the understanding of the parties hereto that (i) the total amount of time expected to be dedicated by Adviser to the performance of such services shall be not less than 375 hours on an annualized basis (“Basic Commitment”) which the parties agree represents more than 20 percent of Adviser’s average level of service performed during the immediately preceding 36-month period, (ii) the expenditure of such time by Adviser may be at irregular intervals and on an ad hoc basis, depending on the Company’s needs and Adviser’s availability, (iii) under no circumstances shall Adviser be expected to dedicate more than thirty-five (35) hours in any business week to the rendering of such services, and (iv) the expenditure by Adviser in any calendar year of a number of hours significantly in excess of the Basic Commitment in rendering services hereunder (any such excess expenditure, an “Additional Commitment”) shall not be required unless AFC and Adviser shall mutually agree on the terms and conditions of such Additional Commitment, including the fees to be paid to Adviser therefor, subject to the provisions of Section 5(b).
Nature and Extent of Services. The purpose of this Agreement is to establish a legal mechanism through which the County may apply for, receive, and disburse federal funds available to eligible counties under the CDBG and HOME Programs, and to take such actions in the benefits of these programs. Federal funds received by the County shall be for such functions as community renewal, water and sewer facilities, neighborhood facilities, public facilities, housing rehabilitation, open space and such other purposes as are authorized by the above mentioned Acts. Nothing contained in this Agreement shall deprive participating UGLGs or other units of local government of any powers of zoning, development control or other lawful authority presently possessed, nor shall participating UGLGs be deprived of any State or federal aid to which the UGLGs may be entitled, except as excluded herein or in the above mentioned Acts. The participating UGLGs agree not to apply for grants under the Small Cities or State CDBG Programs for the fiscal years during the period in which the UGLGs participate in the urban county’s CDBG Program. Participating UGLGs may participate in the HOME Program through both the urban county and the State. The County CDBG Program Committee (hereafter “Committee”) shall recommend for each project or activity to be carried out with these funds a specific means of accomplishment. This may be for the County to carry out the project or function, for a participating UGLG to receive the monies to carry out, or for some other combination of local or State agencies to carry out. Such implementation mechanism shall be established either by means of a separate contract entered into between the County, after approval from the Committee, and the UGLG or UGLGs in which the activity or function is to take place, pursuant to the provisions of the Shared Services Statute, or by inclusion of such information as required this Agreement, subject to the aforementioned approvals. The implementation mechanism shall be established before submission of the application to HUD, and any relevant document becomes part of this Agreement and should be submitted to HUD with it.
Nature and Extent of Services. During the Services Period (as defined in Section 2), the Professional shall hold himself available to render advice and assistance to AFC, shall render advice and assistance, and shall oversee certain projects for AFC, as may be requested from time to time by the Chief Executive Officer of AFC. The Chief Executive Officer of AFC shall oversee the Professional’s services hereunder. The Professional shall have the duties, responsibilities, and authority as may reasonably be assigned to the Professional from time to time by the Chief Executive Officer of AFC. During the Services Period, the Professional shall expend an average of between 10 and 12 hours per business week in performance of such services (all of the foregoing collectively, the “Basic Commitment”). The performance by the Professional of services in addition to the Basic Commitment (any such additional duties, an “Additional Commitment”) shall be required only if the Company and the Professional shall mutually agree on the terms and conditions of such Additional Commitment, subject to Section 5(b) hereof.

As part of activities in relation to the United Nations Convention on the Law of the Sea (UNCLOS) Article 76 GEUS intends to acquire and process a minimum of 500 km of multichannel seismic data off Northern Faroe Islansds. The main objective of the planned survey is to map the sediment thickness in the area.

Nature and Extent of Services. 1. THE DEAL LAKE COMMISSION shall have full authority over the maintenance and control and improvement of the lake to the extent said authority is not inconsistent with the State of New Jersey, County of Monmouth, or the authority of each bordering municipality of said lake.
2. The Commission shall have authority to:
a. regulate the flow of said lake, including the flow of said waters to the ocean;
b. provide electricity, flood gates, silt traps, chemical testing;
c. contract for any and all necessary services in order to carry out the purposes of this Charter;
d. provide chemical treatment to the said lake for the control of biological growth and the correction of any and all biologically harmful conditions;
e. when fiscally reasonable, provide for the dredging of said lake and to enter into any and all agreements to carry out the dredging of Deal Lake;
f. improve the lake to a state of balanced ecological stability consistent withcontract to enhance recreational activity opportunities on the Lake;
g. recommend to each member municipality the adoption of ordinances and rules for the improvement of said lake.
3. In addition to the provisions as set forth in this Article, The Deal Lake Commission shall have any and all powers as granted and conveyed by N.J.S .A. 40:48 B-2.l.
Nature and Extent of Services. There are nine (9) City facilities at various locations throughout the City of Wilsonville where janitorial services are required on a regularly scheduled basis to coincide with days of operation outlined in the facility descriptions below. City facilities operate five (5) to seven (7) days a week, twelve (12) to twenty-four (24) hours per day. With the exception of facilities that operate twenty-four (24) hours per day, janitorial services are to be accomplished during non-working hours at each location. Contractor shall be on call for Hazardous Material (blood and bodily fluids) clean-up on a 24 hour basis. Response time to the affected location must be within one (1) hour of call out.
Nature and Extent of Services. As part of activities in relation to the United Nations Convention on the Law of the Sea (UNCLOS) §76 GEUS intends to acquire data off the Faroe Islands. The minimum survey will consist of an 700 - 800 km line (no line change) in the area south of the Faroe Islands, to be acquired twice; once with only a large refraction gun array and no streamer, and once for multichannel reflectionseismic. The order of acquisition will be 400 + 100 km overlap (total 500 km) refraction acquisition, then reconfigure to reflections seismic gun array and aquire the 700 - 800 km line, reconfigure to refraction gun array and aquire the last 300 - 400 km + 100 overlap (total 400 - 500 km) refraction with no streamer. On behalf of the Greenland Homerule GEUS intends to acquire a minimum of 1000 km and a maximum of 2000 km of reflection seismic data offshore West Greenland. This data is to be acquired following the refraction and reflection acquisition off the Faroe Islands. Maps of the survey areas in fig 1 and 2. The seismic programme off the Faroe Islands is in cooperation with Jarðfrøðisavnið (Faroese Geological Survey).
Nature and Extent of Services. OCC shall devote such time and effort to the performance of the management advisory services contemplated by this Agreement as OCC deems necessary or appropriate, in its reasonable judgment. OCC may perform such services directly, through its own agents, or employees or, with the prior approval of USRR, through such consultants as OCC may engage for such purpose. USRR may, by separate agreement, retain OCC to provide other or additional services, on such terms as the parties may mutually agree.
