• Offer SummaryXxxxx Resources Limited (“Xxxxx”) is pleased to announce the proposed acquisition of all of the outstanding shares in Xxxxx by Yanzhou Coal Mining Company Limited (“Yanzhou”) via a scheme of arrangement (“the Offer”). On completion of the Offer, shareholders will have received: • a cash payment of A$16.95 per share; • the payment of dividends totaling A$1.00 per share, funded primarily from Felix’s cash reserves; • as part of the A$1.00 per share in total dividends, Xxxxx is today declaring a fully franked dividend of A$0.50 per share to be paid to shareholders in respect of the year ended 30 June 2009. This dividend will be paid on 30 October 2009 with a record date of 15 October 2009, and; • The record date for the second dividend of A$0.50 will be determined and announced to the market closer to completion. • an in-specie distribution of shares in SACC which will have a cash backing of A$0.05 per share and coal and mineral exploration tenements in South Australia. To the extent that Xxxxx does not have sufficient cash reserves to pay the remainder of the dividends, Yanzhou will guarantee the payment within 3 months of the scheme implementation date. The total value received by Xxxxx Shareholders for every Xxxxx share represents a 28.5% premium to the 3 month VWAP1. In assessing the value of the offer, it is recognised that the current share price of Xxxxx has been impacted by recent market speculation of potential corporate activity, including press reports of Yanzhou’s interest directly. The Xxxxx Board of Directors believes that the Offer is in the best interests of shareholders. The Directors unanimously recommend that Xxxxx shareholders vote in favour of the Offer. Each of the Directors intends to vote in favour of the Offer at the scheme meeting in relation to the Xxxxx shares held or controlled by them. The Directors recommendation and intention to vote on the Offer is subject to: • the Independent Expert concluding that the Scheme of Arrangement is in the best interests of Xxxxx shareholders; and • there being no Superior Offer. Completion of the transaction is subject to a number of conditions including the approval by regulatory authorities in Australia and the People’s Republic of China (“PRC”) as well as approval by both Xxxxx and Yanzhou shareholders. An Explanatory Memorandum containing information relating to the Offer and the reasons for the Directors recommendation of the Offer is expected to be dispatched to Xxxxx shareholders in late S...

Baskets are offered only pursuant to the applicable registration statement of the Trust, with respect to all the Funds, excluding the DBA Fund and the DBS Fund, on Form S-3, with respect to the DBA Fund on Form S-3ASR, and with respect to the DBS Fund on Form S-1, as amended (Registration Nos.: 333-203008 et seq. with respect to all the Funds, excluding the DBA Fund and the DBS Fund; Registration Nos.: 333-185865 et seq. with respect to the DBA Fund only; Registration Nos.: 333-193222 et seq. with respect to the DBS Fund only), as currently effective and on file with the Securities and Exchange Commission (“SEC”) and as the same may be amended from time to time thereafter or any successor registration statement in respect of Shares of each Fund (each, a “Registration Statement,” collectively, the “Registration Statements”) together with the prospectuses of the Trust in the form filed with the SEC under Rule 424(b) under the Securities Act of 1933, as amended (the “1933 Act”), after the effectiveness of the Registration Statements (each, a “Prospectus,” collectively, the “Prospectuses”). The Authorized Participant is cautioned that some of its activities may result in its being deemed a participant in a distribution in a manner that would render it a statutory underwriter and subject it to the prospectus delivery and liability provisions of the 1933 Act. The Authorized Participant should review the “Plan of Distribution” section of the applicable Prospectus and consult with its own counsel in connection with entering into this Agreement and submitting a Purchase Order Subscription Agreement (defined below). Capitalized terms used but not defined in this Agreement shall have the meanings assigned to such terms in the Trust Agreement. To the extent there is a conflict between any provision of this Agreement and the provisions of the Trust Agreement, the provisions of the Trust Agreement shall control.
