Other information to be provided. On receipt of reasonable written notice either from Us or from Our nominated auditors, You must provide any information relevant to Your obligations in the Service Agreement required by Us for Our review and audit purposes.

(d) From time to time, if requested by the Designated Authority, the Contractor shall, within sixty (60) days after such request, submit to the Designated Authority, details of goods and services actually procured both from suppliers based inside and outside Timor-Leste and Australia.

Farmee agrees to provide Farmor, upon written request of Farmor, with copies of all information, whether generated internally or acquired from third parties, relating to the Subject Lease, including but not limited to all title information, title reports, land plats, ownership maps, runsheets, title opinions, division order title opinions, paydecks, ownership information, current owner lists (showing royalty, overriding royalty, and working interest owner names, addresses, and division of interest), division orders, transfer orders, documents, notes, correspondence, e-mails, name and contact information for pumpers, and any other information or matters pertaining to the title, ownership, payment history, and/or operation of the Subject Lease and the production therefrom. Farmee also agrees to furnish to Farmor upon Farmor’s request copies of all correspondence, contracts, agreements, easements, surface site agreements, Lease, pipeline agreements, gas balancing agreements and statements, or any other agreements or documents pertaining to the sale, storage, transportation, compression, marketing, handling, treating, or processing of the oil or gas produced from the Subject Lease. In the event of a re-assignment or reversion of any of the interests assigned, Farmee shall include in any such assignment, or the reversion shall include, Farmee’s interests in any easements, production facilities, pipelines, gas purchase contracts, surface use agreements, or any other property or contract rights used or obtained in connection with the well(s) reverting or being re-assigned, provided however Farmor shall have the right to reject assignment of any agreements or contracts that Famor was not originally a party to and that Farmor deems unfavorable to Farmor.

Each Company must promptly provide to its Investor Securityholder and (for so long as the WPP Securityholders together with their respective Permitted Transferees in aggregate hold at least 5% of the Securities) each of its WPP Securityholders the information set out in Part 2 of Schedule 6.

During the Restricted Period, Contractor shall, upon request by the Company, provide written confirmation, signed by Contractor, that Contractor is complying with paragraphs 7, 8, 9, or 10 of this Agreement, and will provide any information reasonably requested by the Company regarding Contractor’s employment and business activities during the Restricted Period, in order to permit the Company to confirm Contractor’s compliance with this Agreement. Within five (5) Business Days after any officer of the Borrower obtains knowledge thereof, the Borrower shall provide notice to the Facility Agent (and upon occurrence of an Event of Default or a Potential Event of Default, to the Lender), by facsimile, of the following:
(a) any event which constitutes a Potential Event of Default or Event of Default, specifying the nature of such Potential Event of Default or Event of Default and any steps the Borrower is taking and proposes to take to remedy the same;
(b) an event that may delay completion of the Project, material work stoppages or design changes under the Project Documents, scarcity or unavailability of any material or equipment or an event that permits, or, with the passage of time, would permit the Borrower or any other party to claim relief on account of Force Majeure;
(c) any event, circumstance or condition constituting, or which the Borrower either believes, has claimed or will claim to constitute a “Change in Law” under the PPA, together with copies of all notices, calculations and other correspondence between the Offtaker(s) and the Borrower pursuant to such Clause;
(d) any event of Force Majeure affecting, or which either the Borrower or any other Material Project Participant claims would affect, the performance by such Person of any obligation under any Transaction Document, together with copies of all notices, calculations, data and other correspondence between such Material Project Participant and the Borrower in respect of any such event, circumstance or condition;
(e) any notice of any application for winding up having been made or receipt of any statutory notice of winding up under the provisions of the Companies Act or any other notice under any other Applicable Law or otherwise of any suit or legal process shall have been filed or initiated against the Borrower and affecting the title to the property of the Borrower or if a receiver is appointed over any of the properties or business or undertakings of the Borrower;
(f) any one or more events, conditions or circumstances (including any event of Force Majeure or any on-going or threatened labour strikes, lockouts, shutdowns, slowdown or work stoppage by the Borrower’s, or the Offtaker’s employees or employees of any counterparty to a Project Document or any scarcity or unavailability of materials or equipment or fire or other similar event) that exist or have occurred that has, had or could reasonably be expected to have a Material Adver...
