Provision of Goods and Services. CMFG Life staff shall provide MLIC with certain administrative, logistic, accounting, legal, marketing, information and other services, and will directly or by procurement from third Parties, provide all goods and services MLIC requires to operate in the ordinary course of administering its business. CMFG Life shall provide MLIC with office space and use of office equipment in such amounts as MLIC shall require in the ordinary course of administering its business.

Provision of Goods and Services. 3.1 The description, part numbers and/or specification of the Goods and/or Services shall be set out in our quotation or in our acknowledgement of the order. All drawings, descriptions, weights, dimensions and advertising issued by us (for example, in our catalogues or price lists) are issued to provide an approximate idea of the Goods and Services described in them and do not form part of the Agreement unless expressly stated in the Agreement or otherwise agreed to in writing by us. 3.2 You shall determine the suitability of the Goods and Services for your use and/or application. You shall be solely responsible for the accuracy and regulatory compliance of your designs, drawings, specifications and other data supplied to us by you, even if we examine, inspect, study or comment to you regarding any such designs, drawings, specifications or other data. 3.3 We warrant that the Goods furnished hereunder shall, at the time of shipment, be free from defects in material and workmanship and that Services shall be performed with reasonable skill and care. 3.4 In the event that you believe we have breached the warranty set out above, you shall submit to us reasonable written details (on our prescribed form if required) establishing the reasons you believe the warranty to have been breached, for our consideration. Unless agreed otherwise by us in writing, our liability: for failure of any Goods to comply with the foregoing shall be limited to replacing or repairing the Goods or parts of the Goods found to be defective within six (6) months of delivery. Such Goods, or parts, will be repaired or replaced, at our option without charge, and re-warranted for the remainder of the original warranty period. Should you need to return the Goods to us in accordance with this Condition 3.4, we shall pay all reasonable return packaging and transportation costs. for failure of any Service to comply with the foregoing shall be limited to us remedying the non-compliance, at no additional cost to you, provided that we have received the aforementioned written details within seven (7) days following completion of the Services. 3.5 Our performance of one of the options set out in Condition 3.4 shall constitute an entire discharge of our liability for breach of the warranty at Condition 3.3. 3.6 Minor deviations from specifications which do not affect performance of the Goods or Services shall not be deemed to constitute defects in materials or workmanship or a failure to comply with th...
Provision of Goods and Services. The Supplier must provide all Goods and Services in accordance with the Contract. The Supplier must deliver the Goods or perform the Services in accordance with any location, timing and other instructions in the Order. The Supplier must keep IRT informed of any delays or other matters which may affect the delivery of Goods or provision or Services. Each delivery of Goods must be accompanied by a delivery advice quoting, as relevant, the Order number, description of the Goods supplied, item ID, part number and quantity delivered. Goods must be suitably packed with the minimum of packaging material so as to ensure the safe delivery, using environmentally friendly packaging material where practicable. IRT may, at any time before delivery, change or cancel all or part of the Order by giving the Supplier notice. If, prior to receiving notice from IRT, the Supplier has incurred expense in arranging for the provision of Goods or Services, IRT agrees to reimburse the Supplier for the reasonable and demonstrable direct costs legitimately incurred by the Supplier in relation to the Goods or Services, provided the Supplier mitigates any such costs. Risk of loss of or damage to Goods passes to IRT upon delivery unless the Order includes installation of Goods in which case risk of loss of or damage to those Goods passes upon completion of installation. Clear and complete title to Goods, free of any encumbrances, will pass to IRT on the earlier of acceptance of, or payment for, the Goods.

Provision of Goods and Services. (a) We only purchase goods or services (Goods or Services) on these Terms. Except as provided in clause 3(b), if you accept our Order it will be on these Terms, regardless of any inconsistency with your terms and conditions (if any). (b) These Terms are available from us on request and are posted electronically through our Procurement and Finance systems. (c) These Terms can only be changed, or other terms agreed, in written correspondence signed by one of our directors or authorised senior officers. (d) You acknowledge and agree that we have not made any warranty or representation to you that we will place any number of Orders for Goods or Services with you. (i) notify us that you accept the Order; or (ii) supply Goods or Services in accordance with the Order; (iii) perform any part of the Agreement. (iv) You agree to provide us with the Goods or Services specified in the Order. (f) You are required to comply with our reasonable directions in relation to the supply of Goods or Services. (g) We may cancel all or part of any Order at any time by giving notice to you. In the case that we cancel an Order, you must cease production in relation to the Order immediately and we will reimburse you for only direct costs already legitimately incurred by you in relation to Goods or Services provided under the relevant Order. (h) In providing the Goods or Services, you must: (i) deliver the Goods or provide the Services at the location and time specified in the Order; (ii) not interfere with our activities or the activities of any other person at the place of delivery; (iii) comply with all specifications set out in these Terms; (iv) not engage any subcontractor to provide any of the Services; (v) ensure your employees, officers and agents comply with the terms of this Agreement; and (vi) comply with all applicable laws and provide any notices and information requested by us to confirm your compliance with this requirement.
Provision of Goods and Services. 2.1 This Agreement shall apply to the provision of all Goods and Services by TABS to the Client. By accepting any Goods and/or Services from TABS the Client agrees to be bound buy these terms and conditions. 2.2 TABS shall ensure the Goods conform to any specifications provided at the time of delivery and shall perform the Services with reasonable skill and care. 2.3 Support services are provided by TABS at its prevailing hourly rate, payable per half hour (or part thereof). Provision of Goods and Services. 3.1 All Orders must be confirmed to Us in writing. 3.2 After We have received an Order from You, We will provide you with an Order Confirmation and an Artwork Confirmation. 3.3 Until such time as We receive a signed the Order Confirmation and a signed Artwork Confirmation, no Order is binding on Us. 3.4 Any Order Confirmation and Artwork Confirmation We provide to You remains valid for 30 days from the date We send it to You. 3.5 Upon our receipt of the signed Order Confirmation and Artwork Confirmation from You, We agree to supply to You the Products in the Order Confirmation and Artwork Confirmation on the terms and conditions in this Agreement. 3.6 We reserve the right to accept or reject any Order in whole or in part in Our absolute discretion. 3.7 When You, or Your Personnel, place any Order with Us, You accept and agree to be bound by the terms and conditions of this Agreement. 3.8 You agree to pay the total amount identified in the Order Confirmation on the terms identified in the Order Confirmation. 3.9 Unless expressly stated, You may not retain any payment due to be paid to Us as identified in the Order Confirmation. 3.10 Unless expressly stated, the Order Confirmation price does not include any goods and service tax, any other tax, levy, stamp duty or any other impost imposed by any State or Federal Government in Australia. These items will be identified as separate items on our tax invoice and You will be responsible for, and will indemnify Us, in relation to these costs.
