OWNERS’ COMMITTEE. As soon as practicable but not later than nine (9) months from the date of this Deed, the Manager shall convene a meeting of the Owners to establish an Owners’ Committee and appoint a chairman thereof or to appoint a management committee for the purpose of forming an Owners’ Corporation under the Building Management Ordinance (Cap.344). The Owners’ Committee shall consist of not fewer than three (3) members and not more than five (5) members, or such number of members as the Owners may decide from time to time by resolution at a meeting of the Owners, provided that:-

(a) Any Owner and, in the event of an Owner being a corporate body, any representative appointed by such Owner, shall be eligible for membership of the Owners’ Committee. The appointment of a representative by a corporate body shall be in writing addressed to the Owners’ Committee and may be revoked at any time on notice in writing being given to the Owners’ Committee PROVIDED THAT the Owner of a Phase shall not be entitled to elect or send their representatives to the Owners’ Committee unless and until after the issuance of the relevant Occupation Permit covering the relevant Phase, and the holding of the annual general meeting of the Owners immediately following the issuance of the Occupation Permit. (4:02) (a) The Owners’ Committee shall consist of five members elected by the Owners for the time being entitled to the exclusive use occupation and enjoyment of the Lot and/or the Building or part thereof.
OWNERS’ COMMITTEE. (a) As a means of securing effective cooperation, interchange of information and management of the property owned as tenants in common, on a prompt and orderly basis in connection with various administrative and technical problems which may arise from time to time under the terms and conditions of the Project Agreements, the Owners hereby establish an Owner's Committee. (b) Each Owner shall notify the other Owner promptly of the designation of its representative on the Owners' Committee and of any subsequent change in its designation. Either of the Owners may, by written notice to the other Owner, designate an alternate or substitute to act as its representative, to act on the Committee in the absence of the regular member of the Committee, or to act on specified occasions or with respect to specified matters. (c) The Owners' Committee shall have no authority to modify any of the provisions of this Agreement. (d) The Owners' Committee shall meet at such times and places as agreed upon by the members or when requested by either Owner upon 10 days' notice in writing. (e) Each Owner shall have the right through its officers, employees or agents to inspect the Project and Project records at any reasonable time and to require that the Project be constructed in accordance with the standards provided in paragraph 4.
OWNERS’ COMMITTEE. (a) Establishment of the Committee; Representatives; Voting Rights. Each of the Owners shall appoint two (2) representatives (each an “Owner Representative”) to a committee of the Owners (collectively, the “Committee”). The Owner Representatives appointed by the Owners shall vote the interests of, and at the direction of, the Owners. An Owner Representative shall not owe any duty, fiduciary or otherwise, to any Owner who did not appoint such person as its Owner Representative. The Owners may replace or substitute any alternative representative as its appointee(s) to the Committee (with or without cause, in its sole discretion), upon written notice to the other Owners and may fill any vacancy in the event that one of the Owner Representatives it appointed either resigns, dies or becomes incapacitated. Any one or more Owner Representatives appointed by an Owner shall vote as a block with an aggregate voting power equal to the then current Ownership Interest of the Owner who appointed them (collectively, the “Voting Interests”) and to the extent that less than all of the Owner Representatives appointed by an Owner are present at a duly called meeting of the Committee, at which a quorum is present, then those one or more Owner Representatives appointed by such Owner who are present at such meeting, nonetheless, shall continue to vote as a block and shall continue to have the same aggregate voting

(b) The Owner of Phase 2 shall not be entitled to elect or send their representatives to the Owners’ Committee unless and until after (i) the issuance of the relevant Occupation Permit covering Phase 2 and (ii) the holding of the annual general meeting of the Owners following the issuance of such Occupation Permit.
