The cost of all utlities, including but not limited to electric, gas, water and heat shall be the sole responsibility of the Park District. B. Prior to the completion of the Project and prior to the use of any portion of NSWRD’s Leased Property pursuant to this MOU, the Park District shall provide certificates and policies of insurance to the Village and NSWRD evidencing the following minimum insurance coverages and limits:

Park District Responsibilities. Park District shall undertake the following activities during the duration of the Term: (1) Develop plans with Project 120 for the Projects. (2) Park District shall designate an employee of Park District as Project Manager responsible for facilitating communication between Project 120 and the Park District regarding the Projects. (3) Park District agrees to cooperate with and assist Project 120 with the development of the Projects, including providing Project 120 information and Park District resources mutually agreed upon by the Parties as necessary to properly develop the Projects for implementation. (4) Park District agrees to assist Project 120 with securing all required permits for developing Projects; and, as the Projects are developed and approved for implementation, Park District agrees to assist in securing all required permits for the construction, use, and occupancy of the Projects and to the extent permitted by law, execute and submit all applications for such permits as owner of Xxxxxxx Park and the Project area. (5) Park District shall provide a letter to Project 120 that may be used in assistance with fundraising efforts, and to present to prospective donors, sponsors or supporters as proof of the relationship between Park District and Project 120. (6) Grant permission to Project 120 the right to use the Park District logo, site, and other promotional materials and references for the purposes of fundraising for Projects. Park District shall review and not unreasonably withhold approval of the use of such logos and materials. The Parties agree there is a five-business day review and approval period for these materials. After five business days, unless otherwise advised by Park District, Project 120 may assume these materials are approved as submitted. (7) Park District shall review and approve all drawings, plans, designs, specifications, work plans, and any other materials or items related to the construction of the Projects. (8) Park District will indemnify, defend and hold harmless Project 120, including its affiliates, agents, employees and representatives, from and against any and all claims, losses, liabilities, causes of action, damages, costs or expenses, including reasonable attorney’s fees and litigation expenses, arising out of or resulting from Park District’s and any of their affiliates or subcontractors non- compliance with any applicable law. Park District Responsibilities. I. Upon securing the OSLAD Grant funding, and together with the capital contribution of the School District in the amount of $250,000, the Park District shall undertake the bidding and construction of the Pleasant Hill Park Improvements together with any further requirements imposed by any authority with jurisdiction over any permit required to complete the work, including but not limited to the Village of Winfield. The Park District shall obtain all necessary permits or other approvals required for the construction of the Improvements; provide all other engineering and related services for the Improvements; prepare the final bid and construction documents associated with the construction of the Improvements; and solicit bids, execute contracts, and administer the contract, and conduct the construction observation for the Improvements. The Park District will provide the construction documents to the School District for review and comment prior to releasing the construction documents to the market for bids. The Park District will retain the final decision on design and specifications of the Improvements, but will seek School District feedback on the design and specifications of the playground Improvements prior to the release of bids.
Park District Responsibilities. The Park District agrees to perform the following duties and responsibilities: a. Establish and operate a before and after school child care program, which shall be referred to as CARE, at the Schools (the “Program”), which shall be open to all students who are enrolled in grades kindergarten through fifth grade at the Schools. b. Provide quality staff to perform child care services for the Program and who have all the necessary training, licenses and certificates required to provide the child care services for the Program. c. Should the Park District choose not to operate the Program during any school year due to low enrollment, the Park District must provide written notice to the School District of its intent to not operate the Program either for that school year overall or for any particular school. Such written notice from the Park District of its intent not to operate the Program must be delivered to the School District no later than July 15th prior of the Initial Term or any subsequent Renewal Terms. Should the Park District fail to provide such notice by this date, it will be obligated to operate the Program overall or for any particular school, in accordance with this Agreement, for the full school year regardless of enrollment. If the Park District chooses not to operate the Program, either overall or at any particular School, the School District may contract with another entity to operate a similar program. The Park District agrees that such use of the Schools by a third party shall not constitute a breach of this Agreement or any other agreement between the School District and Park District. d. Provide all necessary materials for a successful and age-appropriate Program. e. Establish and collect Program registration fees sufficient to at least offset direct Program expenses. The Park District shall retain all Program revenue. f. To reimburse the School District for the costs it will incur as a result of this Agreement (including custodial costs and other miscellaneous costs), the Park District shall pay the School District a per diem fee, per School, in the amount of $65.00, for each day that the Program is in session through December 31, 2024.   • Department Responsibilities The use of sick leave may properly be denied if these procedures are not followed. Abuse of sick leave on the part of the employee is cause for disciplinary action. Departmental approval of sick leave is a certification of the legitimacy of the sick leave claim. The department head or designee may make reasonable inquiries about employee absences. The department may require medical verification for an absence of three (3) or more working days. The department may also require medical verification for absences of less than three (3) working days for probable cause if the employee had been notified in advance in writing that such verification was necessary. Inquiries may be made in the following ways: 1. Calling the employee's residence telephone number or other contact telephone number provided by the employee if telephone notification was not made in accordance with departmental sick leave call-in guidelines. These inquiries shall be subject to any restrictions imposed by the employee under Section 14.4.a. 2. Obtaining the employee's signature on the Absence/Overtime Record, or on another form established for that purpose, as employee certification of the legitimacy of the claim. 3. Obtaining the employee's written statement regarding the sick leave claim and duration. 4. Requiring the employee to obtain a physician's certificate or verification of the employee's illness, date(s) the employee was incapacitated, and the employee's ability to return to work, as specified above. 5.   • Joint Responsibilities The relationship between SAE ITC, the Activities and its Members shall be, and at all times, advisory only, and no party shall have the authority to enter into any contract or commitment in the name of, or on behalf of, any other party. Provide a written site review report documenting areas of compliance and any necessary corrective action(s) required. 6. A County program liaison may attend an organized activity of a selected component or selected components of Contractor’s program(s) at least once during the contract term. C. AODS will conduct periodic mandatory treatment provider meetings with representatives of all contracted service providers and appropriate staff. D. Provide ongoing technical assistance as needed. E. AODS shall act as intermediary on behalf of each contracted alcohol and drug service provider in the submission of the California Outcomes Measurement System (CalOMS) data submissions to the State of California. I. GENERAL ADMINISTRATIVE REQUIREMENTS A. Attend each of the following meetings: 1. Contractor shall attend periodic mandatory meetings; and 2. Drug and Alcohol Information System for You (DAISY) User Group meeting. 3. Other meetings as required by the County B. Contractor shall acknowledge the San Mateo County Alcohol and Other Drug Services (AODS) and/or the County of San Mateo as a funding source on newly developed promotional materials. C. Subcontracting requirements: 1. Pursuant to paragraph 12 of the body of this Agreement, Contractor may subcontract for provision of services described in this Agreement with written approval of the Director of the Human Services Agency or her designee. If Contractor subcontracts for any services under this Agreement, Contractor will guarantee that any and all subcontractors have and maintain the same level of insurance coverage required of the Contractor under this Agreement. Contractor and County will be listed as additional insured on all applicable insurance of subcontractor.

  • CITY’S RESPONSIBILITIES 2.1. The CITY shall designate in writing a project coordinator to act as the CITY's representative with respect to the services to be rendered under this Agreement (the "Project Coordinator"). The Project Coordinator shall have authority to transmit instructions, receive information, interpret and define the CITY's policies and decisions with respect to the CONTRACTOR's services for the Project. However, the Project Coordinator is not authorized to issue any verbal or written orders or instructions to the CONTRACTOR that would have the effect, or be interpreted to have the effect, of modifying or changing in any way whatever: (a) The scope of services to be provided and performed by the CONTRACTOR; (b) The time the CONTRACTOR is obligated to commence and complete all such services; or (c) The amount of compensation the CITY is obligated or committed to pay the CONTRACTOR. Any such modifications or changes ((a) (b) or (c)) shall only be made by or upon the authorization of the CITY’s city manager as authorized by city council in the enabling legislation or in the CITY’s procurement policies. 2.2. The Project Coordinator shall: (a) Review and make appropriate recommendations on all requests submitted by the CONTRACTOR for payment for services and work provided and performed in accordance with this Agreement; (b) Arrange for access to and make all provisions for the CONTRACTOR to enter the Project site to perform the services to be provided by the CONTRACTOR under this Agreement; and (c) Provide notice to the CONTRACTOR of any deficiencies or defects discovered by the CITY with respect to the services to be rendered by the CONTRACTOR hereunder. 2.3. The CONTRACTOR acknowledges that access to the Project Site, to be arranged by the CITY for the CONTRACTOR, may be provided during times that are not the normal business hours of the CONTRACTOR.

For clarity, it is understood and acknowledged that Diligent Efforts in the Development of Compounds and Products may include sequential implementation of Clinical Trials and/or intervals between Clinical Trials for data interpretation and clinical program planning and approval.

  • Specific Responsibilities Without limiting the responsibilities of the Manager, the Manager will: 1. Maintain office facilities (which may be in the offices of the Manager or a corporate affiliate but shall be in such location as the Trust reasonably determines). 2. Provide officers for the Trust as requested by the Trust’s Board of Trustees. 10. Perform fund accounting services for the Fund as set forth in EXHIBIT B: FUND ACCOUNTING FUNCTIONS. 11. Generally assist in all aspects of the operations of the Fund.
