Platform Access. Subject to the terms and conditions of this Agreement, Upwork (i) shall use commercially reasonable efforts to make the Platform available to Subscriber and (ii) hereby grants to Subscriber and its Authorized Users a limited, terminable, non-exclusive, non-assignable, non-sublicensable, non-transferable (except as otherwise authorized herein) world-wide license to access and use the Platform to (a) find, communicate with, and engage Freelancers through the Platform, (b) receive, review, and approve Freelancer Services and Freelancer Work Product, and (c) approve Freelancer billing records for payment by Upwork or the Employment Provider on behalf of Subscriber. Subscriber is responsible for its Authorized Users’ use of the Platform and will take reasonable steps to ensure that their use of the Platform complies with the terms of this Agreement. During the Term, Upwork may modify the features and functionality of the Platform. Subscriber hereby acknowledges that its access to and use of the Platform will be via the internet only. Subscriber shall take reasonable steps to prevent unauthorized access to the Platform, including without limitation by protecting and instructing Authorized Users to protect passwords and login information. Subscriber shall promptly notify Upwork if it becomes aware of any unauthorized use of the Platform and will reasonably cooperate with Upwork to remediate such breaches.

Platform Access. 1.1 Subject to the terms and conditions of this Agreement, Company hereby grants Customer and its Users a non-exclusive, non-transferable (except for permitted assignments under Section 9) right, during the Term (as defined below), to access and use the Platform solely for Customer’s internal business purposes in accordance with the applicable Order Form. As used herein, “User” means an employee, representative, consultant, contractor or agent of Customer who is authorized to use the Platform and has been supplied a user identification and password by Customer (or by Company at Customer’s request).
Platform Access. Customer shall be solely responsible for the acts and omissions of its Platform Users. Whatfix shall not be liable for any loss of data or functionality caused directly or indirectly by the Platform Users.
Platform Access. 3.1. You are responsible for all access to the Platform using your internet connection, even if the access is by another person. 3.2. We will use reasonable efforts to ensure that the Platform is available at all times. However, we cannot guarantee that the Platform or any individual function or feature of the Platform will always be available and/or error free. The Platform may be unavailable during periods when we are implementing upgrades or carrying our essential maintenance on the Platform.
Platform Access. Subject to your compliance with this Agreement, Xxxxx will permit you to access and use the Platform solely for lawful purposes in accordance with the terms of this Agreement and any other agreement you agree to before being given access to any specific aspects of the Services. Any additional agreement is in addition to this Agreement and will govern your use of the portions of the Services to which the additional agreement applies in the event of a conflict between the terms of this Agreement and the additional agreement.

Platform Access. Subject to the terms and conditions of this Agreement, SupplyShift hereby agrees to provide access to Supplier and its Users to the Platform, solely for use by Supplier and its Users for Supplier’s Permitted Business Purpose. Supplier shall be responsible for its Users’ compliance with this Agreement to the same extent assumed by Supplier for itself hereunder. Supplier will require that all permitted Users keep their user IDs and passwords strictly confidential and that they do not share such login information with anyone. Supplier will be responsible for restricting access to the Platform to any User who is no longer authorized by Supplier to use the Platform on Supplier’s behalf. SupplyShift will have no liability for actions taken using Supplier’s User IDs and passwords, including any unauthorized use or access that is caused by misuse or misappropriation of User IDs and passwords resulting from Supplier’s breach of this Section.

Mastercard grants Client a limited, non-sublicenseable, non-exclusive, non-transferable right to permit authorized users to access the Platform for Client’s internal business purposes only. Client will not: (a) use the Platform or its outputs either directly or as a service bureau for any third party; (b) sublicense, distribute, transfer, or otherwise make available to any third party (including any contractor, franchisee, or agent) access to or use of the Platform without Mastercard’s prior written consent; (c) access or use (or permit the access or use of) the Platform in order to: (i) build a similar or competitive product or service (or contract with a third party to do so); or (ii) build a product using similar ideas, features, functions or graphics of a Platform; or (iii) copy any features, functions or graphics of or in the Platform; or (d) derive specifications from, reverse engineer, reverse compile, modify, disassemble, translate, record, or create derivative works based on the Platform. 2.2. The Platform shall only be used by Client with respect to its businesses located in the markets contemplated in the Document (such markets, the “Territory”). 2.3. Client shall limit its authorized users only to employees in the Territory who are bound in writing to maintain the confidentiality of the Platform. Client will appoint one or more administrative users to manage Client’s user accounts. Client is responsible for: (a) maintaining the confidentiality of all usernames and passwords; and (b) the acts and omissions of any person to whom it provides or permits access to the Platform. Mastercard may suspend or terminate access for any user who violates these Terms. 2.4. Platform implementation will follow a staged approach and will require involvement both from Mastercard and Client personnel. Mastercard will confirm to Client the anticipated timing for such project, subject to the timely receipt of required data from the Client (if applicable), to Client internal compliance approval and to the availability of personnel. 2.5. Mastercard will provide technical support if a user has access and log-in issues, is unable to perform a task in the Platform, receives an error message, or needs guidance on basic Platform functionality. 2.6. Client will provide email addresses and contact details for the Uplifting Service Workshop Leaders in order for Licensor to manage their access. The duration, fees, terms and Workshops for Platform access will be specified in the Statement of Services.
