Production Procedures. Licensee will show proof of a third-party good manufacturing practice (“GMP”) successful audit. Acceptable GMP audit examples are CDPH inspection, ISO etc. Manufacturer Monitoring. Licensee will monitor the production and packaging of each production run in accordance with Licensee’s quality assurance monitoring procedures to assure compliance with Product Specifications and Branded Packaging. All monitoring documentation will be provided to Licensor via email prior to delivery of the product.

Production Procedures. LecTec's production procedures for the Products ("Production Procedures") have previously been approved by the parties. Such Production Procedures include the manufacturing site, manufacturing equipment, manufacturing process, manufacturing conditions and testing procedures for the manufacture of the Products. If LecTec wishes to make any material change in any of the Production Procedures so documented and approved, LecTec shall provide notice thereof to a designated Novartis employee, and shall permit such designated Novartis employee to review such proposed changes at LecTec's facility, at least thirty (30) days prior to its first production run under such revised Production Procedures. All such changes to the Production Procedures must be approved in writing by Novartis prior to being implemented, which approval shall not unreasonably be withheld.
Production Procedures. 6.1 Supplier shall not rework or reprocess any non-conforming Licensed Products without the prior written approval of NCH. 6.2 The Licensed Products shall be delivered to NCH packaged in accordance with the Specifications. Notwithstanding the foregoing, NCH shall have the right to require any special or varied packing that it believes is reasonably necessary to meet customs or regulatory requirements. Reasonable incremental costs which result directly from any packing changes required by NCH will be borne by NCH. 6.3 At least ninety (90) days prior to its first production run of Licensed Products, and at some mutually agreeable time prior to the production of qualification batches, Supplier shall provide to NCH, for its review and approval, its production procedures for the Licensed Products, including without limitation the manufacturing site, manufacturing equipment, manufacturing process, manufacturing conditions or testing procedures within its facilities for the manufacture of the Licensed Products (collectively, the "Production Procedures"). After such initial NCH approval, if Supplier should wish to change any of the Production Procedures which might affect the quality of the Licensed Products furnished to NCH hereunder, Supplier shall provide such proposed changes to NCH at least sixty (60) days prior to implementation. All such changes must be approved in writing by NCH prior to being implemented, which approval shall not unreasonably be withheld. 6.4 In the event that regulatory action or applicable law require changes in the Specifications or any production procedures, then, subject to NCH's prior written agreement, Supplier shall use commercially reasonable efforts to implement such changes as soon as reasonably practicable. The parties shall in good faith allocate the costs of any such changes between them. 6.5 Supplier represents and warrants, and shall take all actions reasonably necessary to ensure, that all facilities, equipment and practices used to perform its responsibilities under this Agreement by or on behalf of Supplier, or any of Supplier's contractors of any rank (including, without limitation, environmental or safety and health consultants or waste management or disposal firms) (collectively, the "Supplier Contractors"), will be during the term of this Agreement, in full compliance with all health, safety and environmental laws, statutes, ordinances, regulations, rules, permits and pronouncements. Production Procedures. Producer will comply with all applicable laws and regulations in connection with the production of the Series (including, without limitation and as applicable, those relating to general safety and working conditions, employment, immigration, minors, and production activities outside of the United States) and will take all other necessary precautions in accordance with the best practices of the television production industry to ensure the safety and well-being of cast, crew, and all other third parties. In addition, Producer will engage its own production counsel to provide (x) legal advice and oversight of the production of the Project, and (y) an independent legal clearance review of the Series and all ancillary materials.. Production Procedures. Outgoing Transmission Schedule Currently, DPSC customers will only be transmitting outbound purchase orders. The vendors will exchange the 832 Catalog transaction set with DPSC. Additional transaction sets may be implemented at a future date. At that time the DPSC EDI coordinator will notify the customer and vendor with the appropriate information. DPSC customers and vendors have access to the network at any time. There is a scheduled batch process at DPSC which begins at 5:30 p.m. each day. Transactions submitted after that time will not be processed until the next day at 9:00 a.m.
