Project Advisory Committee. Promptly after the Effective Date, the Parties shall jointly form a Project Advisory Committee (“PAC”) mutually determined to comprise not fewer than four (4) or more than eight (8) members with an equal number of members nominated by each Party, provided such members shall be senior management or scientific founders of a Party with requisite expertise to participate in the PAC. The PAC shall review and comment on the plans for development of Licensed Compounds and Licensed Products, review progress and results of such development and coordinate the activities of the Parties (and any Sublicensees, if applicable) with respect to such development. The PAC shall meet at least quarterly with at least one in-person meeting per year. Each Party shall report to the PAC regarding the drug development plan for Licensed Compounds, amendments to such plans and corresponding outcomes, including key goals, strategies, responsibilities, timelines and resource allocations, and the PAC shall provide a forum for each Party to provide comments on such plans and outcomes, to discuss any decisions by Erasca to take a license under Third Party Patent Rights that would be offset pursuant to Section 3.1(e) (Third Party Payments) against royalties payable to Katmai and to explore other areas of potential collaboration between the Parties. The PAC shall not have the authority to amend this Agreement or alter the rights and obligations of the Parties thereunder.
Project Advisory Committee. The purpose of PAC is to provide a forum for communications and collective strategizing aimed at advancing the purposes of this Agreement, through early identification of compliance challenges, overall guidance and problem-solving, relationship-building, and connecting contractors, unions, and workers to available resources. The Public Owners shall establish a Project Advisory Committee (“PAC”) to advance this purpose with regard to all projects subject to this Agreement. Public Owners shall share responsibilities for administration of the PAC meetings, which shall include establishing agenda items and providing attendees with relevant data and information in a reasonable period prior to meetings. The PAC shall be comprised of at least one representative designated from each of the following: each project’s Public Owner; the Trades Council; the PNWRCC; and one or more community representatives. The Regional Oversight Committee shall have the power to designate community representatives for participation on the PAC. Except in months where there are no active projects or agenda items, the PAC shall convene on a monthly basis to review and assist with compliance issues regarding the terms of this Agreement. Each Prime Contractor with an active Covered Project shall attend each PAC meeting unless attendance requirement is waived in advance by the PAC. The PAC is not a voting body, and has no authority to make binding determinations regarding Covered Project issues. The PAC is authorized to assist in fostering informal resolution of disputes about compliance with the Targeted Hiring Requirements and other obligations of this Agreement. PAC procedures and actions shall not affect any party’s rights under the dispute resolution system set forth in Article XVI below.
Project Advisory Committee. The parties understand that the collaborative nature of the project requires ongoing communication between INSTITUTION and COMPANY, for consideration of issues that may arise during execution of the PROJECT PLAN. Accordingly, the parties will establish a PROJECT ADVISORY COMMITTEE, with one PRIMARY CONTACT from each of INSTITUTION and COMPANY, and up to four (4) additional members from each of INSTITUTION and COMPANY. The names of the PRIMARY CONTACT for each of COMPANY and INSTITUTION are set out in Exhibit A. Decisions of the PROJECT ADVISORY COMMITTEE will be made by mutual consent between COMPANY and INSTITUTION as represented for each by its respective PRIMARY CONTACT. The functions of the PROJECT ADVISORY COMMITTEE are as follows:
Project Advisory Committee. The BPHC PPS will also have a Project Advisory Committee, as required by DSRIP, that consists of the members of the Executive and Nominating Committees, and Finance and Sustainability, Information Technology, Quality and Care Innovation, Workforce and other Sub-Committees as may be established by the Executive Committee. The Project Advisory Committee will be advisory to the Executive Committee and the Sub-Committees.
Project Advisory Committee. The Consultant Team will facilitate up to eight (8) meetings of a Project Advisory Committee that engages technical stakeholders, agency partners and service providers to work alongside the CAC, review project materials and advise on technical issues. PAC meetings may be scheduled on the same day as CAC meetings and review similar materials, but with a greater focus on technical details and members’ areas of expertise.
Project Advisory Committee. Agritope shall establish a Project Advisory Committee consisting of up to four members, two of whom shall be designated by Vilmorin. The purpose of the Project Advisory Committee shall be to make advisory recommendations to Agritope regarding Research Projects to be conducted by Agritope and funded by Vilmorin.

The Engineer shall include meeting notes and other documentation from the State's meetings with the PAC in the project record. Deliverables:

The Engineer shall also coordinate equipment needs (easels, chairs, tables and audio/visual), prepare a logistical summary, prepare a layout sketch of the meeting room set-up, and directions to the meeting site. In addition, the Engineer shall submit draft PAC meeting materials to the State for review and comment. The Engineer shall prepare final PAC meeting materials based on comments received from the State and bring copies of the final materials to the PAC meetings. The Engineer shall prepare meeting materials such as the agenda, handouts, exhibits/boards, PowerPoint presentation, video(s), sign-in sheets and nametags. The Engineer shall develop and maintain an e-mail database for electronic notification of the PAC meetings, including representatives from local transportation planning agencies, emergency management agencies and government and resource agencies. RSVPs will be tallied to determine meeting room requirements. A total of four (6) pre-meetings with the State are anticipated for preparation for the PAC efforts.
