PURPOSES AND BUSINESS OBJECTIVES. The principal purposes and business objectives of the Company are as follows: (a) To develop, own and operate a Hospital specializing in the diagnosis and treatment of cardiovascular disease and cardiovascular and vascular surgery in Sioux Falls, South Dakota which would include, but not be limited to, the following: (i) Services and facilities to meet all requirements of the State of South Dakota, Medicare, JCAHO and other credentialing or licensing bodies or agencies in order to have the Hospital licensed as an acute care hospital and to perform cardiology and cardiovascular surgical services of every type or nature and to be eligible to obtain appropriate reimbursements therefore; (ii) Approximately 70,000 to 90,000 square feet in a building to be constructed in accordance with plans and specifications approved by the Company; (iii) Approximately 48 to 60 medical/surgical beds; (iv) 3 heart catheterization laboratories; (v) 3 heart surgical suites; (vi) All appropriate support services and systems; and (vii) Appropriate Equipment and services with respect to the facilities described above and as otherwise reasonably necessary or appropriate for the diagnosis and treatment of cardiovascular disease, including but not limited to invasive and non-invasive cardiac testing, interventional treatment including percutaneous transluminal coronary angioplasty and atherectomy, and cardiac surgery which would include, but not be limited to, bypass grafts and valve surgery. The above size, number and scope of facilities of the Hospital are only preliminary estimates. The Board of Directors are authorized to finally make all determinations with respect thereto; provided that the Board of Directors shall not unreasonably refuse to allow services or procedures generally performed by cardiologists, cardiovascular or vascular surgeons at hospitals to be provided at the Hospital. (b) To lease or acquire real property located near the corner of 69th Xxxxxx xxx Louixx xx Sioux Falls and to construct a suitable building thereon in which the Hospital shall be located; (c) Any other purpose reasonably related to (a) and (b) above.

The Board of Directors are authorized to finally make all determinations with respect thereto.) (b) To acquire real property and to construct a suitable building in which the Hospital shall be located; (c) Any other purpose reasonably related to (a) and (b) above.
PURPOSES AND BUSINESS OBJECTIVES. The principal purposes and business objectives of the Company are as follows: (a) To develop, own and operate a Hospital specializing in the diagnosis and treatment of cardiac disease and cardiovascular and vascular surgery and other medical services and procedures approved by the Board of Directors from time to time in or near St. Tammany Parish, Louisiana which would include, but not be limited to, the following: (i) Services and facilities to meet all requirements of the State of Louisiana, Medicare, Medicaid, JCAHO and other credentialing or licensing bodies or agencies in order to have the Hospital licensed as a general acute care hospital and to perform cardiology and cardiovascular surgical services, of every type or nature and other medical services and procedures including orthopedics and orthopedic surgery services which may be approved by the Board of Directors from time to time and to be eligible to obtain appropriate reimbursements therefore; (ii) Approximately 90,000 square feet in a building to be constructed in accordance with plans and specifications approved by the Company; (iii) Approximately 48 medical/surgical beds; (iv) Three (3) heart catheterization laboratories with available space for one additional heart catheterization lab; (v) Three (3) heart surgical suites with space for the development of an additional heart surgical suite; (vi) All appropriate support services and systems; and (vii) Appropriate Equipment and services with respect to the facilities described above and as otherwise reasonably necessary or appropriate for the diagnosis and treatment of cardiovascular disease, including but not limited to invasive and non-invasive cardiac testing, interventional treatment including percutaneous transluminal coronary angioplasty and atherectomy, and cardiac surgery which would include, but not be limited to, bypass grafts and valve surgery. PURPOSES AND BUSINESS OBJECTIVES. Subject to and as supplemented by the provisions of this Section, the principal purposes and business objectives of the Company are as follows: (a) To continue to own and operate the Facility to provide cardiovascular services and peripheral vascular services using the services of one or more cardiac catheterization laboratories provided by MedCath and to manage a mobile cardiac catheterization laboratory route within the Territory using the services of one or more cardiac catheterization laboratories provided by MedCath; (b) To lease or acquire real property, and if appropriate to construct a suitable building, in which the Facility shall be located, and the personal property, the equipment and other personalty to be utilized in the operation of the Facility; (c) To enhance, manage, oversee and administer the Cath Labs; (d) To establish and arrange for the operation of a mobile route to provide cardiac catheterization services to hospitals and other locations approved by the Board of Directors; and (e) To exercise all other powers necessary to or reasonably connected with the Company’s business (as determined by the Board of Directors) which may by legally exercised by limited liability companies under the Act and permitted by North Carolina law. The Members expressly agree and acknowledge that the Company is intended to provide and assist with the provision of healthcare services to the surrounding community as a whole and to promote the health of a broad cross-section of that community, including through the provision of an appropriate level of charity care consistent with the overall mission of the Hospital. In that regard, the Company shall be operated and managed in a manner that will not cause the Hospital to act contrary to its tax-exempt purpose or in a manner that is likely to adversely affect its tax-exempt status under Section 501(c)(3) of the Code, or generate income for the Hospital which is subject to federal taxation. The duty of the Company to operate in a manner that furthers the charitable purposes of the Hospital as described above overrides any duty of the Company to operate for the financial benefit of the Members. Whenever this Agreement refers to the tax-exempt status of the Hospital, or the tax-exempt nature of any income generated by the Company and allocated to the Hospital, the parties shall construe this Agreement to refer to tax-exemption under Section 501(c)(3) of the Code and to the lack of applicability of the unrelated bus...
PURPOSES AND BUSINESS OBJECTIVES. The principal purposes and business objectives of the Company are as follows: (a) To develop, own and operate a general acute care hospital which hospital shall be located in or near Kingman, Arizona and shall provide inpatient and outpatient care, surgery and other services which the Board of Directors may approve from time to time, which would include, but not be limited to, the following: (i) Services and facilities to meet all requirements of the State of Arizona, Medicare, Medicaid, the Joint Commission on Accreditation of Healthcare Organizations (“JCAHO”) and other credentialing or licensing bodies or agencies in order to have the Hospital licensed and provide services as a general acute care hospital and to be eligible to obtain appropriate reimbursements therefor; (ii) Approximately 200,000 square feet in a building to be constructed in accordance with plans and specifications approved by the Company’s Board of Directors; (iii) Approximately seventy-two (72) medical/surgical beds (with expansion space for thirty-three (33) additional beds); (iv) Heart catheterization laboratories; (v) Surgical suites with space for the development of additional surgical suite; (vi) All appropriate support services and systems; and (vii) Appropriate Equipment and services with respect to the facilities described above and as otherwise reasonably necessary or appropriate for the services to be provided by the Hospital. The above size, number and scope of facilities of the Hospital are only preliminary estimates. The Board of Directors is authorized to finally make all determinations with respect thereto.   • Purpose and Business The purpose and nature of the business to be conducted by the Partnership shall be to (a) engage directly in, or enter into or form, hold and dispose of any corporation, partnership, joint venture, limited liability company or other arrangement to engage indirectly in, any business activity that is approved by the General Partner and that lawfully may be conducted by a limited partnership organized pursuant to the Delaware Act and, in connection therewith, to exercise all of the rights and powers conferred upon the Partnership pursuant to the agreements relating to such business activity, and (b) do anything necessary or appropriate to the foregoing, including the making of capital contributions or loans to a Group Member; provided, however, that the General Partner shall not cause the Partnership to engage, directly or indirectly, in any business activity that the General Partner determines would be reasonably likely to cause the Partnership to be treated as an association taxable as a corporation or otherwise taxable as an entity for federal income tax purposes. To the fullest extent permitted by law, the General Partner shall have no duty or obligation to propose or approve the conduct by the Partnership of any business and may decline to do so free of any fiduciary duty or obligation whatsoever to the Partnership or any Limited Partner and, in declining to so propose or approve, shall not be required to act in good faith or pursuant to any other standard imposed by this Agreement, any Group Member Agreement, any other agreement contemplated hereby or under the Delaware Act or any other law, rule or regulation or at equity and the General Partner in determining whether to propose or approve the conduct by the Partnership of any business shall be permitted to do so in its sole and absolute discretion.
