Recipes. Employees must follow standardized recipes as set up by the central office and agreed to improve the quality of the products.
Recipes. (a) Effective upon, and only upon, the Closing, and subject to the terms and conditions of this Agreement, Sellers, on behalf of themselves and their Affiliates, hereby grant to Purchaser a non-exclusive, non-transferrable (other than in connection with the sale of all or substantially all of the Purchased Trademarks), fully paid-up, perpetual, license (without the right to grant sublicenses) to use the Licensed Recipes solely in connection with the operation of the Business. Purchaser may not use or otherwise exploit any Licensed Recipes for any other business purposes. Upon the written request of Purchaser within 3 months after the Closing Date, Sellers will provide Purchaser with copies of the Licensed Recipes.
(b) Except as expressly set forth in this Section 8.10, no other right or license is granted to Purchaser by implication or otherwise with respect to any Retained Recipes, including, but not limited to, the right to use any Retained Recipes other than the Licensed Recipes. Purchaser acknowledges and agrees that all right, title and interest in and to the Retained Recipes are owned exclusively by the Sellers or their Affiliates and, except as specifically set forth herein, nothing in this Agreement grants Purchaser or any of its Affiliates, by implication or otherwise, any license or right to use any Retained Recipes, whether in connection with the Business, the products or services of the Business, or otherwise. Purchaser will promptly destroy or purge any copies of any Retained Recipes (other than Licensed Recipes) to which Purchaser may otherwise have access and which Purchaser knows to be a Retained Recipe, whether in connection with the Purchased Assets, the transactions contemplated by this Agreement or otherwise.
(c) Purchaser acknowledges that the Retained Recipes are valuable and proprietary to Sellers and their Affiliates. Purchaser agrees that, from and after the Closing, it will not disclose any Retained Recipes to any Person except (i) to those of its Affiliates and personnel as are necessary in connection the use of the Licensed Recipes in accordance with Section 8.10(a), strictly on a need-to-know basis, (ii) as required by Law (provided, however, that if permitted Purchaser shall not make any such disclosure without first notifying Sellers and allowing Sellers a reasonable opportunity to seek injunctive relief with respect to such disclosure), (iii) as the same may otherwise become available in the public domain or generally availa...
Recipes. Except for recipes provided by CPC, AIPC shall retain sole ownership of the recipes and formulations for the Products; provided, that upon any termination of the Agreement CPC will have the non-exclusive royalty free right to use the recipes (other than AIPC's flavored pasta recipes) and formulations for the Products.
Recipes. Rodale grants to MotherNature the right to create a ------- separate content section within the Internet Site which utilizes Rodale's recipes from Content included on Schedule A. MotherNature shall, as it deems appropriate, link such recipes to medical conditions contained within the Library and other information areas of the Internet Site.
Recipes. 3.4.1 Recipes provided by Customer will remain under Customer’s ownership.
3.4.2 Recipes developed by VPH for which Customer has paid for the research and development and approved a final sample will be owned by Customer. The final recipe will be provided by VPH to Customer.
3.4.3 Recipes developed by VPH for which Customer has not paid for the research and development will be owned by VPH. The recipe will not be provided to Customer.
3.4.4 Regardless of ownership, all recipes are subject to Section 11 of this agreement.
Recipes. AYF agrees to adhere as closely as possible to the recipes provided by Revive and to follow the Quality Control Point (“QCP”) as outlined in Schedule B. AYF will work with Revive to continue to develop new recipes and supply Revive with new finished product(s). Revive can ask AYF to rework finished product(s) to optimize the taste and nutrition facts.
Recipes. All recipes, ingredient lists, specifications, notes, explanatory and background material pertaining thereto, as such recipes are identified in Exhibit A (collectively the "Recipes") and all product made from or derived from the Recipes ("Product"), produced subsequent to the Phase 1 Closing Date (as hereinbelow defined).
Recipes. At each class, recipes will be given to participants for the food items produced. E by C hopes you will use these recipes for personal use. However, these recipes are and remain the intellectual property of E by X. You may not use E by C‘s recipes for any commercial use. E by C reserves the right to take judicial action to prevent any unauthorized use of E by C’s recipes. For privacy purposes, and to protect E by C’s intellectual property, you may not make video, audio, or any other recordings of any of E by C’s classes or activities without first obtaining E by C’s prior written consent. You may take photographs of your participation in E by C’s classes and activities for personal use; provided, however, that you must obtain consent of any other participants or any chef or employee of E by C included in such photographs. Unless you provide E by C with written notice to the contrary, prior to your participation in any E by C class or activity, you agree that E by C may take photographs or make video, audio, or other recordings of such class or activity, and hereby grant E by C permission to use such photographs or recordings, along with your image, voice, performance, or likeness, on E by C’s website, for marketing and advertising purposes, in connection with media releases, for informational purposes, and for any other commercial purpose reasonably related to E by C’s business as determined by E by X.
Recipes. Buyer acknowledges that Seller and its Affiliates have used the “CREAM OF WHEAT” and “CREAM OF RICE” trademarks in recipes appearing in various promotional materials and publications, including Seller’s Food and Family magazine. Buyer consents to Seller’s and its Affiliates’ distribution and display of such promotional materials and publications containing Cream of Wheat and Cream of Rice recipes in the normal course from and after the Closing Date, if such materials and publications were printed or prepared for publication before the Closing Date.
Recipes. Contractor’s recipes will be made available to customers upon their reasonable requests for review of ingredients or nutritional or allergen information. Nutritional and allergen information and ingredients for standard menu items will be posted in accessible and visible locations at the Facilities and on the Services’ website and mobile applications prior to each mealtime. Every food item must be labeled with allergen ingredients highlighted for consumer awareness. Food Inventory: Contractor shall own the Food and Beverage Inventory. Contractor shall procure all food inventories in its name and at its own expense. District shall provide Contractor with secure, safe, and adequate storage and refrigeration areas to maintain its inventories. District accepts no liability for loss, damage, or theft of any of Contractor’s inventory unless such loss, damage, or theft is due solely to District’s willful misconduct or negligence in its performance of its obligations under this Contract. Contractor will provide, but District will pay for, any-and-all temporary equipment to ensure the proper and safe storage, handling, and service of food in instances of interruption, unless such interruption is caused by Contractor, which in such an instance then Contractor will be responsible for all temporary equipment expenses. Product loss due to equipment failure caused by District’s negligence or misconduct will be billable to District by Contractor at Contractor’s wholesale cost.
