Renewal of Support. At the end of the Initial Period, Customer may be permitted, at the Company’s soleoption, torenewthe Support foranother period term by entering into a new Support Agreement (each a “Renewal Period”). Customer acknowledges and agree that it shall not be entitled to renew its Support unless the Licensed Software Customer is using at that time is either the latest or the immediately preceding version at that time.

Renewal of Support. Prior to the expiration of the current Technical Support Services period, Comtrend reserves the right to send Customer an invoice for renewal of the Technical Support Services pursuant to the terms, conditions and pricing then in effect. If Customer does not wish to renew the Technical Support Services, Customer must contact Comtrend prior to the expiration of the current Technical Support Services period in order to decline acceptance of the renewed Technical Support Services.

Renewal of Support. On or before the December 16, 2001, Allstate agrees to renew the Universal Application support and PolicyXpress support set forth in Sections IV and V of Amendment No. 6 to the Master Software License and Services Agreement.

Renewal of Support. (1) BAMBOO SOLUTIONS provides the first year of basic technical support for no additional charge. Unless renewed in accordance herewith, basic technical support will cease on the last day of the 12-month support period that commenced upon the effective date of the SOFTWARE license. (2) For an additional fee, you may obtain Premium technical support. Unless renewed in accordance herewith, Premium technical support will cease on the last day of the support period for which you have paid the additional Premium technical support fee. (3) Support fees for additional support periods must be paid in advance on or prior to last day of the support period for which you have paid the required support fee. Approximately forty-five (45) days prior to the termination of the then current support period, BAMBOO SOLUTIONS will invoice you for renewal of technical support. The support fee due for the next support period shall be BAMBOO SOLUTIONS’ then current applicable list price for renewal of technical support as of the date of invoice. (4) BAMBOO SOLUTIONS reserves the right to withdraw technical support of the SOFTWARE, and to alter the prices, terms and conditions for technical support in advance of any renewal of support. Any such withdrawal or alterations will become effective as of such renewal date.

Renewal of Support. At CCSI (USA)’s option, on the second anniversary of the execution of this License Schedule, and on each subsequent anniversary date, CCSI (USA) may acquire an additional one year of Premium Support services for the Software licensed under this Order Form, for an annual support fee calculated as the higher of 4% of the License fees paid or $240 x Number of Concurrent Users on the Counting Date. The Concurrent User support fee (initially $240 per user) shall not increase from the previous year’s per user Support Fee by more than the lesser of 5% or the actual increase in the Consumer Price Index (CPI) for the previous twelve (12) month period as published by the Wall Street Journal. Notwithstanding the foregoing, the fee for Premium Support services shall not exceed $20,000,000 per annum.

The support fee due for the next support period shall be the currently applicable list price for renewal of technical support as of the date of quote or invoice. 4. SPX reserves the right to withdraw technical support of the Software, and to alter the prices, terms and conditions for technical support in advance of any renewal of support. Any such withdrawal or alterations will become effective as of such renewal date.

Related to Renewal of Support

Renewal of Agreement This agreement does not automatically renew, and residence in UCF DHRL residence facilities during one agreement period does not guarantee that residence accommodations will be offered to the Student for any following periods. The Student is solely responsible for the timely completion of housing agreements for future periods. UCF DHRL housing agreements shall not be re-offered to residents who are unwilling to adhere to the basic elements of good housekeeping, and community living. UCF DHRL housing agreements shall not be re-offered to residents who disregard or violate rules, regulations, or policies established for governing UCF DHRL residential facilities. Finally, housing agreements shall not be re-offered to residents who have outstanding charges from UCF DHRL.
Non-Renewal of Agreement The Company may terminate Executive’s employment by providing a timely Non-Renewal Notice, pursuant to Section 1(a).

Renewal of Contract If a Board representative does not inform the Superintendent in writing on or before the seventh day after the regular December board meeting of the Board’s intention to consider the nonrenewal or amendment of this contract, the contract will automatically renew for a period of one year from and after the expiration date provided in Section 1 of this contract. The Superintendent shall remind the Board in writing of this provision no later than its regular November meeting of each year of this contract and shall make the renewal of his employment contract an agenda item for the regular December board meeting during each year of this contract. At the time of each contract renewal and/or amendment, the Superintendent shall be responsible for taking all necessary steps to insure that the district has complied with the Superintendent Pay Transparency Act.
Renewal of Residency If this Housing Agreement is a renewal of Resident’s residency at the Property to follow the expiration of another valid agreement with an End Date that is no more than one day earlier than the Start Date of this Housing Agreement, then: (a) the Start Date of this Housing Agreement will be deemed to take place simultaneously with the expiration of the prior agreement, so that this Housing Agreement begins immediately upon the expiration of the term of the prior agreement; and (b) if Resident is assigned by Owner to a different apartment or bedroom for the new term under this Housing Agreement, Resident agrees to relocate promptly to the newly assigned space and to relinquish occupancy of the prior space on the date specified by Owner.
Renewal of Term Subject to Pxxxxxx's Board of Directors' approval, Executive's employment shall be extended for one additional year at the end of each year of the term, or extended term, of this Agreement on the same terms and conditions as contained in this Agreement, unless either AMERX, Procyon or the Executive shall, prior to the expiration of the initial term or of any renewal term, give written notice of the intention not to renew this Agreement.
Term and Renewal of Agreements The Agreement with TIPS is for three (3) years with an option for renewal for an additional one (1) consecutive year if both parties agree. TIPS may or may not exercise the one-year extension beyond the base three-year term and whether or not to offer the extension is at the sole discretion of TIPS. The scheduled Agreement termination date shall be the last date of the month of the last month of the agreement’s legal effect. Example: If the agreement is scheduled to end on May 23, the anniversary date of the award, it would actually be extended to May 31 in the last month of the last year the contract is active. No Agreement for goods or services with a TIPS Member by the awarded vendor named in this Agreement that results from the solicitation award named in this Agreement, may incorporate an automatic renewal clause that exceeds month to month terms with which the TIPS Member must comply. All renewal terms incorporated in an Agreement by the vendor with the TIPS Member shall only be valid and enforceable when the vendor receives written confirmation by purchase order, executed Agreement or other written instruction issued by the TIPS Member for any renewal period. The purpose of this clause is to avoid a TIPS Member inadvertently renewing an Agreement during a period in which the governing body of the TIPS Member has not properly appropriated and budgeted the funds to satisfy the Agreement renewal. This term is not negotiable and any Agreement between a TIPS Member and a TIPS awarded vendor with an automatic renewal clause that conflicts with these terms is rendered void and unenforceable.
DENIAL OF ACCESS If rent is not paid within days of the monthly due date, Owner may without notice deny the Occupant access to the property located in the self storage facility. Access will be denied to any party other than the tenant unless said party retains gate code and key to lock on Space or has supplied Owner with written authorization from the tenant to enter the Space. Occupant's access to the facility may also be conditioned in any manner deemed reasonably necessary by Owner to maintain order on the premises. Such measures may include, but are not limited to, restricting hours of operation, requiring verification of occupant's identity and inspecting vehicles that enter the premises. Additionally, if Occupant is renting more than one Space at any given time, default on one rented Space shall constitute default on all rented Spaces, entitling Owner to deny access to Occupant to all rented Spaces.
Auto-Renewal In the event that this Agreement is automatically renewed, the Business Associate agrees to be bound by the terms of this Agreement and laws referenced in this Agreement that are current and in effect at the time of renewal.
SURVIVAL OF COVENANTS/SUPERSESSION All covenants, agreements, representations and warranties made herein and in or pursuant to the Initial Purchase Agreement and each Additional Purchase Agreement executed pursuant to these Master Terms shall survive the consummation of the acquisition of the Purchased Loans provided for in the related Purchase Agreement. All covenants, agreements, representations and warranties made or furnished pursuant hereto by or on behalf of SLM ECFC shall bind and inure to the benefit of any successors or assigns of Funding and the Interim Eligible Lender Trustee on behalf of Funding and shall survive with respect to each Purchased Loan. Each Purchase Agreement supersedes all previous agreements and understandings between Funding and SLM ECFC with respect to the subject matter thereof. These Master Terms and any Purchase Agreement may be changed, modified or discharged, and any rights or obligations hereunder may be waived, only by a written instrument signed by a duly authorized officer of the party against whom enforcement of any such waiver, change, modification or discharge is sought. The waiver by Funding of any covenant, agreement, representation or warranty required to be made or furnished by SLM ECFC or the waiver by Funding of any provision herein contained or contained in any Purchase Agreement shall not be deemed to be a waiver of any breach of any other covenant, agreement, representation, warranty or provision herein contained, nor shall any waiver or any custom or practice which may evolve between the parties in the administration of the terms hereof or of any Purchase Agreement, be construed to lessen the right of Funding to insist upon the performance by SLM ECFC in strict accordance with said terms.
