No. 43C-0027, requires further amendment, based on the following changes in the project: • Design changes in scope for the CEQA document from an Initial Study/Mitigated Negative Declaration (IS/MND) to a Focused Revised 10/1/07 FORM/Amendment to Contract Environmental Impact Report (Focused EIR). • Additional Project Management services are required, in order to coordinate through environmental approval. The following assumptions have been made regarding this amendment to Attachment A (Scope of Services) to the original contract, as previously amended (Exhibit 1): • A separate amendment request will be made to finalize the PS&E and obtain resource agency permits when environmental clearance is imminent (i.e. during circulation of the draft Focused EIR, in compliance with CEQA). Specifically: ⮚ Task 4: Preliminary Geotechnical Investigations: Additional work will be identified in final design. Additional analysis for the change in retaining wall type (from spread footing to soldier-pile) will be required in the next phase. This will be defined in the next amendment to this contract.

[🗸] The services specified in the original contract are modified only as specified below: CONSULTANT began assisting the COUNTY with review of a then- proposed Reclamation Plan amendment for the Xxxx Road Quarry in 2013. CONSULTANT assisted with XXX xxxxxxx, prepared preliminary draft studies and EIR sections, and assisted the COUNTY in other review and coordination associated with the proposed amendment. Due to factors including Applicant revisions to the proposed project and the Applicant’s intent to prepare certain environmental studies to support the Reclamation Plan amendment, the EIR initiated in 2013 was not completed. The revisions to Attachment A (Scope of Services) to the original contract Revised 10/1/07 FORM/Amendment to Contract (Exhibit 1) provides for re-initiating and completing the CEQA review process for the currently proposed Reclamation Plan amendment. The Applicant has advised the COUNTY of the Applicant’s intent to prepare and submit technical studies evaluating air quality, noise, and transportation impacts of the proposed project. The COUNTY has agreed to review and consider these studies for use in preparing an EIR for the project. This revised scope of work assumes that any such reports submitted by the Applicant will fully evaluate the project’s mining, processing operations, hauling, and reclamation activities. Applicant’s technical studies that have been submitted with the application, including geomorphological and biological resources studies, as well as additional technical studies that are anticipated to be submitted later, including air quality and greenhouse gas emissions evaluation, noise and vibration evaluation, and transportation evaluation, will be peer reviewed by CONSULTANT to determine their adequacy for supporting the analysis required for the proposed project as well as any project alternatives that may be identified as necessary for evaluation in the EIR. The revised scope of work assumes that the Applicant will provide any necessary clarifications, supplemental information and analysis, and revisions to the reports, as may be necessary based on the peer review.   • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Attachment A, Scope of Services The scope of services is amended as follows:

  • General Scope of Services Contractor promises and agrees to furnish all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply professional services, as more particularly described in Exhibit B (Statement of Work and Misc. Documents) attached hereto and incorporated herein by reference (collectively “Services”). All Services shall be subject to, and performed in accordance with, this Contract, the exhibits attached hereto and incorporated herein by reference, and all applicable local, state and federal laws, rules and regulations.

  • SCOPE OF SERVICES/CASE HANDLING A. Upon execution by GPM, attorneys are retained to provide legal services for the purpose of seeking damages and other relief in the Litigation. Client provides authorization to seek appointment as Lead Plaintiff in the class action, while the Attorneys will seek to be appointed Class Counsel. If this occurs, the Litigation will be prosecuted as a class action. B. If you obtain access to non-public information during the pendency of the Litigation, you must not engage in transactions in securities. C. Attorneys are authorized to prosecute the Litigation. The appointed Lead Plaintiffs will monitor, review and participate with counsel in the prosecution of the Litigation. The Attorneys shall consult with the appointed Lead Plaintiffs concerning all major substantive matters related to the Litigation, including, but not limited to, the complaint, dispositive motions and settlement. Because of potential differences of opinion between Clients concerning, among other things, strategy, goals and objectives of the Litigation, the Attorneys shall consult with the appointed Lead Plaintiffs as to the courses of action to pursue. The Client agrees to abide by the decisions of the appointed Lead Plaintiffs, which shall be final and binding on all Clients. D. GPM is given the authority to opt the Client out of any class action proceeding relating to the claims authorized herein and/or pursue the Client claim individually in a group action, if the Client is not appointed Lead Plaintiff and GPM is not appointed Class Counsel. E. The Attorneys shall provide sufficient resources, including attorney time and capital for payment of costs and expenses, to vigorously prosecute the Litigation. F. Any recovery from defendants that the Attorneys are responsible for will be divided among class members based on the recognized loss by each class member as calculated by a damage allocation plan which will be prepared by a financial expert or consultant, provided to the appointed Lead Plaintiffs, be subject to the Court's approval and will account for such factors as size of securities ownership, date of purchase, date of sale and continued holdings, if any. Under the rules governing class action litigation, while the Lead Plaintiffs recover according to the same formula as other class members, the Court may approve, upon application therefore, reimbursement of the Lead Plaintiffs’ reasonable costs and expenses directly related to the representation of the class. Examples are lost wages and travel expenses associated with testifying in the action.

  • Scope of Service Interconnection Service shall be provided to the Interconnection Customer at the Point of Interconnection (a), in the case of interconnection of the Customer Facility of a Generation Interconnection Customer, up to the Maximum Facility Output, and (b), in the case of interconnection of the Customer Facility of a Transmission Interconnection Customer, up to the Nominal Rated Capability. The location of the Point of Interconnection shall be mutually agreed by the Interconnected Entities, provided, however, that if the Interconnected Entities are unable to agree on the Point of Interconnection, the Transmission Provider shall determine the Point of Interconnection, provided that Transmission Provider shall not select a Point of Interconnection that would impose excessive costs on either of the Interconnected Entities and shall take material system reliability considerations into account in such selection. Specifications for the Customer Facility and the location of the Point of Interconnection shall be set forth in an appendix to the Interconnection Service Agreement and shall conform to those stated in the Facilities Study.

  • Scope of Services and Term Subject to the provisions for early termination as set forth herein, the Contractor agrees that it will perform the Services enumerated in the scope of services attached hereto as Exhibit A and incorporated herein by reference (the “Scope of Services”) for a term of five years (5) beginning , 2023 through , 2028 (the “Term”). The Authority in its sole discretion may extend the Agreement for two (2) additional one-year periods, for a potential maximum term of *** (**) years.   • Schedule of Services Consultant shall perform the Services in a prompt and timely manner in accordance with the Schedule of Services set forth in Exhibit "B" attached hereto and incorporated herein by reference. Consultant represents that it has the professional and technical personnel required to perform the Services expeditiously. Upon request of City, Consultant shall provide a more detailed schedule of anticipated performance to meet the Schedule of Services.
