Security Committee a. Composition – the Security Committee members shall consist of: i. one appointed voting representative from each Platinum Member, plus ii. non-voting Silver Member representatives who shall not count towards quorum. b. Responsibilities – the Security Committee shall be responsible for: i. the definition of the processes to ensure an auditable code base, as well as any associated certification artifacts (“Security Artifacts”); ii. annually elect a Representative on the Security Committee to serve as chair of the Security Committee; and iii. annually elect a security architect (the “Security Architect”), who may be different from the chair of the Security Committee.
Security Committee. (1) This Com- mittee consists of the General Counsel, as Chairperson, the Security Officer, and other Bank employees, as des- ignated by the President and Chairman (hereinafter referred to as the Chair- man) and is responsible for the imple- mentation and enforcement of the Order and the Directive. This Com- mittee will act on all matters with re- spect to the Bank’s administration of these regulations. (2) All suggestions and complaints re- ▇▇▇▇▇▇▇ the Bank’s Information Secu- rity Program, including those regard- ing over-classification, failure to de- classify, or delay in declassifying, not otherwise provided for herein, shall be referred to the Security Committee for review. (3) The Security Committee shall have responsibility for recommending to the Chairman appropriate adminis- trative action to correct abuse or vio- lation of these regulations or of any provision of the Order or Directive thereunder, including but not limited to notification by warning letter, for- mal suspension without pay, and re- moval. Upon receipt of such a rec- ommendation, the Chairman shall make a decision and advise the Secu- rity Committee of this action.
Security Committee. Each Party will promptly respond to reasonable inquiries from the other Party regarding security breaches, fraudulent activity, denial of service attacks, and other security-related issues with respect to the Services and provide all reasonable assistance to such Party in helping investigate such issues. The Parties will create a Project Committee that will meet at least [*] to discuss any security, fraud, spam, malicious code (e.g., Viruses) or similar issues with respect to each Party’s network and the Services. If either Party raises material concerns during a meeting about the foregoing issues, the members will use reasonable efforts to develop and implement a plan acceptable to both Parties to mitigate such concerns, which may include a security audit, performed in a manner, at a time, and by a third party security firm acceptable to both Parties, and paid for by the Party requesting the audit.
