SEPA Compliance. 3.1 Sound Transit is the lead agency for compliance with the State Environmental Policy Act ("SEPA"). In coordination with the City of Puyallup, Sound Transit has completed the substantive and procedural environmental review for the Project in accordance with SEPA requirements with the publication of the Determination of Nonsignificance and SEPA Checklist on February 17, 2016. The environmental review covers the City’s issuance of permits for the Project as well as environmental mitigation, and the City will use and rely upon the existing environmental documents to satisfy its SEPA responsibilities, consistent with WAC 000-00-000. The City agrees that the Project has been subject to full and complete procedural and substantive SEPA review. 3.2 The Parties agree that the mitigation measures described in this Agreement shall constitute the full and complete exercise of the City's substantive SEPA authority. The City has carefully considered the environmental impacts associated with the Project and the mitigation measures contained in the Project Environmental Documents. Pursuant to the authority granted in RCW 43.2IC.060 and the Puyallup Municipal Code, the Parties agree that the mitigation measures included as part of the Project are necessary to mitigate specific adverse environmental impacts and are deemed sufficient to mitigate such impacts, are reasonable, and are capable of being accomplished. 3.3 The City shall be responsible for performing any necessary environmental review related to the City's construction of capital improvements as described in Section 6.1 of this Agreement, in the event that such construction projects exceed the scope of environmental analysis contained in the Project Environmental Documents.
SEPA Compliance. 3.1 Sound Transit is the “lead agencyfor purposes of Project compliance with the State Environmental Policy Act, RCW Chapter 43.21C (“SEPA”). The City agrees that the Project has been subject to full and complete procedural and substantive SEPA review through issuance of the following environmental documents, which taken together comprise the “Project Environmental Documents,” incorporated herein by reference:
SEPA Compliance. City has adopted the Planned Action pursuant to the City 364 Center EIS. The Project is within the scope of the maximum anticipated level of development in 365 the Planned Action and within the scope of environmental mitigations identified and conditioned 366 to mitigate that anticipated maximum level of development. The Parties agree that the 367 environmental impacts stemming from the Project and Conceptual Guide Plan, including the 368 potential development of the Additional Parcels, have been analyzed by the Planned Action and 369 City Center EIS. Except as provided in Section 5.2, individual projects implementing the 370 Conceptual Guide Plan and this Agreement shall be considered to have been reviewed pursuant to 371 SEPA and no individual SEPA determination for a Project or Project-phase shall be required, nor 372 shall additional conditions be imposed under the City’s SEPA authority. SEPA compliance for 373 any Project or Project-phase shall be limited to the submittal of a Planned Action SEPA process 374 checklist per LMC 17.02.300.
SEPA Compliance. The project will require compliance with the State Environmental Policy Act (SEPA). Otak will prepare a SEPA checklist for the project, with vicinity map and simple plan view appropriate for the general public. Otak will submit the checklist to Lewis County with the Shoreline Permit application package for environmental review as the lead agency in the SEPA process. Assumptions ▪ The proposed project will result in a Mitigated Determination of Non-Significance (MDNS). ▪ Preparation of a SEPA EIS is not included in this scope. Environmental impacts of any future development/redevelopment proposal that are not addressed in the Final DNS issued The City acknowledges that, due to the existing conditions on the Property in which there is substantial development and impervious surface coverage of approximately Percent ( %), and that development and/or redevelopment would likely entail replacement of existing levels of development of the Property, and storm water runoff from up to 100% of impervious surface coverage have been calculated to be able to be managed within the existing storm water facilities, it is likely that many aspects of development and/or redevelopment relating to stormwater impacts will not involve probable significant adverse impacts. Unless future development and/or redevelopment proposals involve new information relating to stormwater impacts to suggest that an impact is a probable significant adverse impact, pursuant to WAC 197-11-600(3)(b) and Section of the Municipal Code, it is anticipated that limited additional SEPA analysis relating to stormwater impacts will be required at the time of submission of permit applications subject to this Agreement.

SEPA Compliance i) All SEPA regulatory review shall be tied to the primary application. The County shall provide environmental review under SEPA on all applications which are being processed under this section. The City will assume responsibility for the environmental review of any application which the City has excluded from this agreement. ii) Any applications which the County is processing under a service contract with the City shall be reviewed under the City’s SEPA requirements. iii) At the time of the effective date of an annexation, if the County has determined that an environmental impact statement is necessary for an application, the County shall be responsible for the completion of the impact statement up to the hearing stage on the environmental impact statement. The City may, however, at its option, assume lead agency status and complete the environmental impact statement instead of the County. iv) The County will notify the City’s Responsible Official when a SEPA determination is required, and will not take final action upon the application until the City’s Responsible Official has been notified, for those applications which were submitted to the County prior to annexation v) The County shall hear any and all pending and future appeals from the County’s SEPA threshold determinations and other SEPA matters relating to project’s being processed under SECTION REFERENCE. i) Enforcement i) The County may, as independent contractor on behalf of the City, enforce conditions of approval for those applications over which the County has retained review authority pursuant to this agreement. The County will continue to have responsibility for any County enforcement actions related to County land use codes violations within the annexed areas pending as of the date of annexation. ii) The City may, as independent contractor on behalf of the City, enforce conditions placed upon applications by the County, when the City and County The County will act as an agent for the City for processing and enforcement of any forest practices and wetland applications, in accordance with the City’s Code and regulations dealing with such permits, for properties within any annexed area. The plans and fees for any new application will be submitted to the City.   • CEQA Compliance The District has complied with all assessment requirements imposed upon it by the California Environmental Quality Act (Public Resource Code Section 21000 et seq. (“CEQA”) in connection with the Project, and no further environmental review of the Project is necessary pursuant to CEQA before the construction of the Project may commence.

  • FERPA Compliance In connection with all FERPA Records that Contractor may create, receive or maintain on behalf of University pursuant to the Underlying Agreement, Contractor is designated as a University Official with a legitimate educational interest in and with respect to such FERPA Records, only to the extent to which Contractor (a) is required to create, receive or maintain FERPA Records to carry out the Underlying Agreement, and (b) understands and agrees to all of the following terms and conditions without reservation:

  • FCPA Compliance The Company has not and, to the best of the Company’s knowledge, none of its employees or agents at any time during the last five years have (i) made any unlawful contribution to any candidate for foreign office, or failed to disclose fully any contribution in violation of law, or (ii) made any payment to any federal or state governmental officer or official, or other person charged with similar public or quasi-public duties, other than payments required or permitted by the laws of the United States or any jurisdiction thereof.

  • OSHA Compliance To the extent applicable to the services to be performed under this Agreement, Contractor represents and warrants, that all articles and services furnished under this Agreement meet or exceed the safety standards established and promulgated under the Federal Occupational Safety and Health Law (Public Law 91-596) and its regulations in effect or proposed as of the date of this Agreement.

  • CRA Compliance Neither Buyer nor any Buyer Subsidiary has received any notice of non-compliance with the applicable provisions of the CRA and the regulations promulgated thereunder. As of the date hereof, Buyer Sub received a CRA rating of “satisfactory” or better from the FDIC in its most recent examination. Buyer knows of no fact or circumstance or set of facts or circumstances which would be reasonably likely to cause Buyer or any Buyer Subsidiary to receive any notice of non-compliance with such provisions or cause the CRA rating of Buyer or any Buyer Subsidiary to decrease below the “satisfactory” level.

  • HIPAA Compliance If this Contract involves services, activities or products subject to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Contractor covenants that it will appropriately safeguard Protected Health Information (defined in 45 CFR 160.103), and agrees that it is subject to, and shall comply with, the provisions of 45 CFR 164 Subpart E regarding use and disclosure of Protected Health Information.

  • FDA Compliance The Company: (A) is and at all times has been in material compliance with all statutes, rules or regulations of the FDA and other comparable governmental entities applicable to the ownership, testing, development, manufacture, packaging, processing, use, distribution, marketing, labeling, promotion, sale, offer for sale, storage, import, export or disposal of any product under development, manufactured or distributed by the Company (“Applicable Laws”); (B) has not received any FDA Form 483, notice of adverse finding, warning letter, untitled letter or other correspondence or notice from the FDA or any governmental entity alleging or asserting material noncompliance with any Applicable Laws or any licenses, certificates, approvals, clearances, exemptions, authorizations, permits and supplements or amendments thereto required by any such Applicable Laws (“Authorizations”); (C) possesses all material Authorizations and such Authorizations are valid and in full force and effect and the Company is not in material violation of any term of any such Authorizations; (D) has not received notice of any claim, action, suit, proceeding, hearing, enforcement, investigation, arbitration or other action from the FDA or any governmental entity or third party alleging that any product operation or activity is in material violation of any Applicable Laws or Authorizations and has no knowledge that the FDA or any governmental entity or third party is considering any such claim, litigation, arbitration, action, suit, investigation or proceeding; (E) has not received notice that the FDA or any governmental entity has taken, is taking or intends to take action to limit, suspend, modify or revoke any material Authorizations and has no knowledge that the FDA or any governmental entity is considering such action; and (F) has filed, obtained, maintained or submitted all material reports, documents, forms, notices, applications, records, claims, submissions and supplements or amendments as required by any Applicable Laws or Authorizations and that all such reports, documents, forms, notices, applications, records, claims, submissions and supplements or amendments were materially complete and correct on the date filed (or were corrected or supplemented by a subsequent submission).

  • PCI Compliance A. The Acquiring Bank will provide The Merchant with appropriate training on PCI PED and/or DSS rules and regulations in respect of The Merchants obligations. Initial training will be provided and at appropriate intervals as and when relevant changes are made to such rules and regulations. B. The Acquiring Bank will ensure that The Merchant is kept informed of any relevant new, or changes to, PCI PED and/or DSS compliance rules and regulations. C. The Merchant will comply with PCI PED and/or DSS, and resulting obligations, in respect of establishing, and maintaining, the required security controls. D. The Merchant will ensure that all its appropriate staff (existing and new) are knowledgeable in their responsibilities with respect to PCI PED and/or DSS compliance. E. The Merchant must be able to demonstrate compliance with PCI PED and/or DSS and maintain measures necessary to successfully pass regular compliance certification checks. F. The Merchant will notify The Acquiring Bank immediately should it become evident that data security standards have been compromised. The Merchant will also provide all assistance necessary to assist The Acquiring Bank and its agents to investigate and obtain any required evidence of a security breach. G. The Merchant hereby agrees and undertakes to fully indemnify The Acquiring Bank from and against all actions, claims, losses, charges, costs and damages which The Acquiring Bank may suffer or incur as a result of The Merchants failure to comply with PCI PED and/or DSS. H. Further to the conditions set out in Section 34 below, The Acquiring Bank reserves the right to terminate this agreement with The Merchant if The Merchant: i. Refuses to accept, or commence, any remedial action(s) required under its obligation to PCI PED and/or DSS. ii. Fails to maintain its PCI PED and/or DSS obligations and/or consistently fails compliance certification checks. iii.   • SOX Compliance The Company has taken all actions it deems reasonably necessary or advisable to take on or prior to the date of this Agreement to assure that, upon and at all times after the Effective Date, it will be in compliance in all material respects with all applicable provisions of the Sxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing the provisions thereof. (the “Sxxxxxxx-Xxxxx Act”) that are then in effect and will take all action it deems reasonably necessary or advisable to assure that it will be in compliance in all material respects with other applicable provisions of the Sxxxxxxx-Xxxxx Act not currently in effect upon it and at all times after the effectiveness of such provisions.
