Service Term and Termination. 9.1 Except as set out in herein, BestCert will continue to provide the User with domain name services, and the service term shall be equal to the validity period of the registered domain name of the User. 9.2 BestCert shall have the right to immediately terminate the services under any of the fol lowing circumstances: 9.3 The User has transferred the domain name away from BestCert to a other service providers. 9.4 The domain name has expired as the User has failed to make payment as per the schedule; 9.5 The User does not exist or has been cancelled, and there is no successor; 9.6 BestCert discovers that the User had completed domain name registration by using deception or illegal means; 9.7 The Registry has terminated the services, or has notified BestCert to terminate the services; 9.8 BestCert terminates the services due to the User’s violation of these Terms of Service; 9.9 BestCert terminates the services pursuant to the verdicts, notices and other orders issued by competent authorities/judicial authorities (including but not limited to courts, domain name arbitration entities, etc.); 9.10 BestCert terminates the Services if, it its sole opinion, the User has infringed upon the rights of others, or has conducted illegal acts in violation of national and local laws and regulations; 9.11 In view of the interdependence of network security technologies and the unpredictability of user behaviors, BestCert may suspend or terminate the Services if the User’s domain name has caused BestCert’s domain name resolution server to suffer from computer virus, network intrusion and attack (including but not limited to DDOS) and/or other matters or acts endangering network security, which have damaged or may cause damage to other parties.

Service Term and Termination. 3.1 This Agreement enters into force (i) upon Subscriber registering for the Service through the Honeywell Homes Smart Metering Platform Portal on the Internet by using the ID-Code provided with the Gateway and (ii) Honeywell Homes having confirmed the registration to the Subscriber by e-mail (the „Subscription“). For each Gateway an individual Subscription is required. 3.2 The Subscription for each Gateway shall have a service term of 5 years (the “Service Term”) which commences at the date of the Subscription, and shall end automatically at the end of this period. 3.3 Each Party can terminate any Subscription with a notice period of 6 months, at any time during the Service Term. 3.4 Without prejudice to any other rights or remedies to which Honeywell Homes may be entitled, Honeywell Homes may terminate any and all Subscriptions with immediate effect and without liability to the Subscriber, if the Subscriber commits a material breach of any of the terms of this Agreement and (if such a breach is remediable) fails to remedy that breach within 10 business days of the Subscriber being notified in writing of the breach. 3.5 Both Partiesright to terminate any Subscription for other important cause remains unaffected. 3.6 The provisions of this Agreement remain in force as long as any Subscription is valid.
Service Term and Termination. 13.1 The Executive's service by the Company shall commence on the Effective Date, and shall continue in full force and effect for a period of 60 months unless terminated prior to such date. 13.2 Executive’s Service may be terminated by the Company, Chief Executive Office, or Chairman of Board of Morria at any time and for any reason, pursuant to the delivery of a 60 days prior written notice by the terminating party (the “Notice Period”(. During the Notice Period the Executive shall continue to perform his duties until the conclusion of the Notice Period, and cooperate with the Company in assisting the integration of the person who will assume the Executive's responsibilities. Notwithstanding the aforementioned, the Company shall have the right not to take advantage of the full Notice Period and may terminate the Executive's Service at any time during the Notice Period. In the event of such termination, the Company shall pay the Executive his salary for the remainder of the Notice Period. 13.3 Without derogating from the Company’s rights under this Agreement and according to law, and notwithstanding the foregoing, the Company may terminate the Executive's Service immediately without the delivery of a prior written notice and/or payment for Notice Period, in the event of a Justifiable Cause (as defined below and subject to any applicable law) and the service relationship shall be deemed effectively terminated as of the time of delivery of such notice. 13.4 The term "Justifiable ((Cause")) shall mean (a) a serious breach of trust, or repeating or continuing, after warning, any material breach of his obligations including but not limited to, theft, embezzlement, self-dealing, prohibited disclosure to unauthorized persons or entities of confidential or proprietary information of or relating to the Company, its business, and its subsidiaries, affiliates or associated entities; (b) any wilful failure to perform or failure to perform competently any of the Executive's fundamental functions or duties hereunder, which was not cured within thirty 30 days after receipt by the Executive of written notice thereof; (c) conviction of the Executive in a crime or felony involving moral turpitude; (d) the Executive is disqualified from being a director by reason of any order made under the Company Directors Disqualification Act 1986 or any other enactment; (e) the Executive is indicted or convicted of an offence under any statutory enactment or regulation relating to inside...

Any delay or failure by Client to exercise any right, power, remedy or privilege will not be construed to be a waiver of such right, power, remedy or privilege or to limit the exercise of such right, power, remedy or privilege. No single, partial or other exercise of any such right, power, remedy or privilege will preclude the further exercise thereof or the exercise of any other right, power, remedy or privilege. All terms of the Agreement, which should reasonably survive termination, shall so survive, including, without limitation, limitations of liability and indemnities, and the obligation to pay Fees relating to Services provided prior to termination.

  • Term and Termination 10.1 Where the Inventor or any third-party nominee (“Nominee”) or legal person (‘Legal Person”) who has control of any rights over the Project Intellectual Property has been declared bankrupt, filed for bankruptcy or where a creditor has filed a claim in bankruptcy against the Inventor, Nominee or Legal Person, which results in the bankruptcy of the Inventor, Nominee or Legal Person, or where the Inventor, Nominee or Legal Person files for creditor protection or makes an arrangement with creditors which results in the bankruptcy of the Inventor, Nominee or Legal Person, then the University may terminate the present Agreement against the Inventor, or Nominee or Legal Person having control of any rights over the Project Intellectual Property as the case may be. The University may terminate the present Agreement with respect to any Nominee or Legal Person, except for the Inventor, that ceases to pursue its normal business operations, ceases to exist legally or files for creditor protection or makes an arrangement with creditors which does not result in the bankruptcy of the said Nominee or Legal Person, as the case may be. Any notice of termination shall be in writing and delivered to the Nominee or Legal Person in default under this section and the termination shall be effective on the date of receipt of the termination notice. Any agreement entered into by the Inventor and any Nominee or other Legal Person involving the Project Intellectual Property shall make reference to this section 10 and include it as a binding obligation. 10.2 This Agreement may otherwise be terminated by either party in the event of default upon thirty (30) days written notice to the defaulting party. Such termination occurs where a party has defaulted or failed to comply with the terms of this Agreement and, following receipt by the defaulting party of a written notice of default, has failed to cure any such default within that period of thirty (30) days. 10.3 The provisions relating to confidentiality, dispute resolution and all waivers shall survive the expiry or termination of this Agreement.

(b) Employee's Employment shall terminate immediately upon the discharge of Employee by NOVA for "Cause."   • Term and Termination of Engagement; Exclusivity The term of Xxxxxxxxxx’x exclusive engagement will begin on the date hereof and end six (6) months thereafter (the “Term”). Notwithstanding anything to the contrary contained herein, the Company agrees that the provisions relating to the payment of fees, reimbursement of expenses, right of first refusal, tail, indemnification and contribution, confidentiality, conflicts, independent contractor and waiver of the right to trial by jury will survive any termination or expiration of this Agreement. During Xxxxxxxxxx’x engagement hereunder: (i) the Company will not, and will not permit its representatives to, other than in coordination with Xxxxxxxxxx, contact or solicit institutions, corporations or other entities or individuals as potential purchasers of the Securities and (ii) the Company will not pursue any financing transaction which would be in lieu of an Offering. Furthermore, the Company agrees that during Xxxxxxxxxx’x engagement hereunder, all inquiries from prospective investors will be referred to Xxxxxxxxxx. Additionally, except as set forth hereunder, the Company represents, warrants and covenants that no brokerage or finder’s fees or commissions are or will be payable by the Company or any subsidiary of the Company to any broker, financial advisor or consultant, finder, placement agent, investment banker, bank or other third-party with respect to any Offering.

  • Term and Termination of Agreement This Agreement shall terminate upon the earlier of termination of the Advisory Agreement or on expiration of the Expense Limit Period. The obligation of the Adviser under Section 1 of this Agreement and of the Trust under Section 2 of this Agreement shall survive the termination of the Agreement solely as to expenses and obligations incurred prior to the date of such termination.
