Services and Conditions. (A) The City of Xxxxxxxx will maintain equipment, personnel and related training and certifications to provide full fire and related rescue response to the party of the second part as legally described in the attached Exhibit A. (B) The City of Xxxxxxxx agrees to respond promptly to all calls or help within the territory to be serviced, but it is understood that the City of Xxxxxxxx has entered into and will from time to time enter into similar arrangements with other townships and municipalities within its trade territory and that calls will be responded to in order in which they are received by the party of the City of Xxxxxxxx; and it can respond to only one call at a time; and that in any event neither the City of Xxxxxxxx nor any officer or employee thereof shall be liable to the party of the second part to any persons within the territory of such party of loss or damage of any kind whatsoever resulting from a failure to furnish or delay in furnishing fire-fighting equipment and personnel, or either of them, or from any failure to prevent, control or extinguish any fire whether such loss or damage is caused by the negligence of the officers, agents or employees of the City of Xxxxxxxx or its fire department, or otherwise.

Services and Conditions. A. The Denver Xxxx Xxxxx Part A HIV AIDS Program Service Standards are the minimum requirements that subrecipients are expected to meet when providing HIV care and support services funded by the Denver Xxxx Xxxxx HIV/AIDS Part A grant. All subrecipients must follow the Universal Standards in the Service Standards. Subrecipients are also responsible for meeting the standards outlined for each service category for which they receive funding. Denver HIV Resources (DHR) evaluates program adherence to Service Standards during site visits. Subrecipients may exceed the requirements of the Service Standards, though this is not required and will not be evaluated during site visits. It is important that subrecipients are familiar with the Service Standards that apply to them. Denver HIV Resources Planning Council (DHRPC) initiatives and DHR programmatic updates may result in adjustments to the Service Standards during the Fiscal Year. DHR will inform subrecipients when changes are implemented and will provide subrecipients with an updated version of the Service Standards. The Service Standards for fiscal year 2021 is attached as Exhibit F B. Colorado Health Network, Inc. is to provide the following services to individuals living with HIV/AIDS in the Denver Transitional Grant Area (TGA), which includes and is limited to, Xxxxx, Arapahoe, Broomfield, Denver, Douglas, and Jefferson counties, in accordance with the Service Standards for the following service categories: SERVICE CATEGORY FUNDING SOURCE FY 2021 AWARD AMOUNT FY 2021 MAXIMUM REIMBURSABLE AMOUNT: $2,661,000 III. Services and Conditions. This is a four-semester program to prepare high school students to be qualified to meet the requirements for certification as a structural Firefighter in the State of Texas. Killeen Fire Department instructors will teach the first three semesters. Semester four will be reserved for the student to complete Emergency Medical Technician (EMT) through the Texas Department of State Health Services (TDSHS). This is a required prerequisite for the graduate to become certified by the Texas Commission of Fire Protection (TCoFP). The goals of this program are to increase the diversity of the qualified local workforce in the field of fire protection, and enrich graduates by providing an education toward a career path in public service. Both classroom and hands-on learning will accomplish the goals of this program. All Firefighter classes will be conducted at Killeen Fire Department training facilities or facilities contracted by the Killeen Fire Department, and EMT classes will be conducted at the Killeen Fire Department training facility or facilities contracted by the Killeen Fire Department or the KISD Career Center. Successful completion of this course will prepare the student for employment as a basic structural firefighter in the State of Texas by meeting all of the certification specific learning objectives as set by the TCoFP. For students attending classes at the Killeen Fire Department training facility, semester one and two will be completed in the student’s junior year. Semester three and four will be completed during the student’s senior year. All live fire training will be conducted after the student has completed semester one. Prior to live fire training, students must receive instruction on safety, fire behavior, portable extinguishers, personal protective equipment, ladders, fire hoses, appliances and streams, overhaul, and water supplies. Semester four will be reserved for EMT. The contents of semesters one through three will coincide with the TCoFP phases as outlined in the Basic Fire Suppression Certification Curriculum Manual. Contents of semester four will coincide with TDSHS certification requirements. • Semester 1 consists of phases 1 and 2 of Firefighter I.

  • Agreements and Conditions On or before the Closing Date, Seller shall have complied with and duly performed and satisfied in all material respects all agreements and conditions on its part to be complied with and performed by such date pursuant to this Agreement.

  • PLACE AND CONDITION OF WORK The City shall provide the Contractor access to the sites where the Contractor is to perform the services as required in order for the Contractor to perform the services in a timely and efficient manner, in accordance with and subject to the applicable security laws, rules, and regulations. The Contractor acknowledges that it has satisfied itself as to the nature of the City’s service requirements and specifications, the location and essential characteristics of the work sites, the quality and quantity of materials, equipment, labor and facilities necessary to perform the services, and any other condition or state of fact which could in any way affect performance of the Contractor’s obligations under the contract. The Contractor hereby releases and holds the City harmless from and against any liability or claim for damages of any kind or nature if the actual site or service conditions differ from expected conditions. The contractor shall, at all times, exercise reasonable precautions for the safety of their employees, City Staff, participants and others on or near the City’s facilities.

CLEC agrees to enter into traffic exchange agreements with third-parties prior to routing any Transit Traffic to CenturyLink for delivery to such third parties, and CLEC will indemnify, defend and hold harmless the Transit Service provider against any and all charges levied by such third-party terminating carrier with respect to Transit Traffic, including but not limited to, termination charges related to such traffic and attorneys’ fees and expenses.

  • Terms and Conditions of Use NASCAR shall have the right to use and sublicense PROMOTER’s Marks in connection with publicity, promotion or advertising of the Event and the NASCAR Sprint Cup Series, and the exploitation of Live Broadcast Rights and Ancillary Rights, provided, however, that NASCAR shall not, without the prior written consent of PROMOTER, use or sublicense the use of PROMOTER’s Marks on the branding of any retail package product, unless otherwise expressly permitted in this Agreement.

  • Restrictions and Conditions (a) Any book entries for the shares of Restricted Stock granted herein shall bear an appropriate legend, as determined by the Administrator in its sole discretion, to the effect that such shares are subject to restrictions as set forth herein and in the Plan. (b) Shares of Restricted Stock granted herein may not be sold, assigned, transferred, pledged or otherwise encumbered or disposed of by the Grantee prior to vesting. (c) If the Grantee’s employment with the Company and its Subsidiaries is voluntarily or involuntarily terminated for any reason (including death) prior to vesting of shares of Restricted Stock granted herein, all shares of Restricted Stock shall immediately and automatically be forfeited and returned to the Company.

  • Standard Terms and Conditions Executive expressly understands and acknowledges that the Standard Terms and Conditions attached hereto are incorporated herein by reference, deemed a part of this Agreement and are binding and enforceable provisions of this Agreement. References to “this Agreement” or the use of the term “hereof” shall refer to this Agreement and the Standard Terms and Conditions attached hereto, taken as a whole.
