Services of Independent Contractor. Independent Contractor agrees to provide, at its own expense, employees or subcontractors ("Consultants") to perform the services described in individual Task Orders, which shall be attached as Exhibits to this Agreement, as further defined by Company from time- to-time during the Term of this Agreement (the "Services"). Independent Contractor represents that it has Consultants with the qualifications and skills necessary to perform the Services, and that all Services will be performed in a competent, professional manner, in accordance with the standards of care, skill and diligence observed by similar professionals performing such services. Independent Contractor further agrees to assign Consultants that match the requirements set by Company, and Independent Contractor will honor all reasonable requests by Company to remove and replace any Consultant upon request by the Company. Independent Contractor has discretion for the manner in which the work under this Agreement will be performed, subject to Company's acceptance of the work performed. Independent Contractor will determine the method, details, and means of performing the Services, and will furnish all materials, equipment and supervisory services necessary to perform the Services. Independent Contractor represents and warrants that all Services will be performed in accordance with all applicable laws. Independent Contractor will work with Company to schedule Consultant's holidays and discretionary time off at least four weeks in advance. If the Consultant becomes unavailable because of death, ill health, or injury, Independent Contractor will replace the Consultant within a reasonable time.

Services of Independent Contractor. I acknowledge that the Company has engaged me, and I accept such engagement, to serve as Director, Commercial Strategy and External Affairs to the Company and that I shall perform these services through various means, including development and execution of sales and marketing strategies, government affairs strategies, communications strategies and investor relations strategies. This shall include the identification of potential customers, customer calls and presentations to those customers, while providing specific input on how ALRT will satisfy those needs. I agree to undertake and assume all responsibilities attendant to these Services. I further agree that, in accepting this engagement, I shall abide by all federal, state and local laws and regulations relating to the performance of my Services, and I shall follow any and all Company policies. I acknowledge that the Company may alter or amend these Services, or the Company’s policies, at any time. 3.
Services of Independent Contractor. Contractor acknowledges that the Company has engaged Contractor, and Contractor accepts such engagement, to serve as Medical/Diabetes Consultant to the Company and that Contractor shall perform these services through various means, including: · Insight into market and competitive activities · Feedback on the performance and function of the Health-e-Connect System · Insight into the use of data and analysis of data for the treatment of patients with diabetes (for inclusion in the Health-e-Connect System and/or for use by diabetes care facilitators). Included in this analysis is how Contractor uses data to provide remote monitoring feedback for Contractor’s patients. · Insight into changing trends in diabetes management, including, but not limited to, ADA guidelines, HEDIS scores, medications, fitness, and diet. · Sharing information on relevant research and publications as allowed via existing confidentiality agreements between parties Contractor agrees to undertake and assume all responsibilities attendant to these Services. Contractor further agrees that, in accepting this engagement, Contractor shall abide by all federal, state and local laws and regulations relating to the performance of the Services, and Contractor shall follow any and all Company policies. Services of Independent Contractor. Contractor acknowledges that the Company has engaged Contractor, and Contractor accepts such engagement, to serve as Remote Monitoring Medical Auditing to the Company and that Contractor shall perform these services through various means, including see attached sample protocol that outlines audit requirements. This agreement is for one customer and one protocol (up to 100 patients). As applicable, parties will consider if/how this service can be expanded for additional customers. Contractor agrees to undertake and assume all responsibilities attendant to these Services. Contractor further agrees that, in accepting this engagement, Contractor shall abide by all federal, state and local laws and regulations relating to the performance of the Services, and Contractor shall follow any and all Company policies. Contractor acknowledges that the Company may alter or amend these Services, or the Company’s policies, at any time.
Services of Independent Contractor. Subject to the terms and conditions of this Agreement, the College hereby engages the Contractor as an independent contractor to perform the services set forth herein, and the Contractor hereby accepts such engagement. Consultant will provide services to Disability Services in the capacity of Access Assistant.
Services of Independent Contractor. The Independent Contractor, pursuant to this agreement, may provide: Therapy Services, defined as Therapy services, including paraprofessional services, school psychologist services and BCBA services necessary for the identification and implementation of Section 504 accommodations or IDEA special education and related services to eligible students. Privacy: Epic, by executing this Agreement, verifies that it has read, understands and agrees to comply with the laws and regulations relevant to Contractor’s responsibility to protect the privacy and confidentiality of Contractor’s students, employees and other information and data. In all ways possible, the privacy, confidentiality and security of all such information and data shall be strictly maintained. Epic agrees to abide by all applicable laws, regulations, policies, standards and the like, of any governmental or quasi-governmental entity having jurisdiction, and all of the Contractor’s policies pertaining to privacy, security, safety, employment, and civil rights, including but not limited to, all requirements of the Family Educational Rights and Privacy Act, the Health Insurance Privacy and Accountability Act, and Contractor’s Acceptable Use of Technology Policy. Epic may not use the names of any students and/or any private, confidential, and/or personally identifiable information pertaining to any of Contractor’s students or employees, and/or any of Contractor’s confidential information and/or data, and Epic may not re-disclose any such information to any other person or source. Confidentiality: Epic acknowledges the confidentiality of Contractor’s data, passwords and other confidential and proprietary information, and hereby agrees not to use or disseminate any of such confidential information except for the express purpose of enabling Epic to perform its obligations hereunder. Without the prior written consent of Contractor, Epic agrees that it will not disclose or distribute any of Contractor’s confidential information or permit any person or entity to have access to any such confidential information, other than Epic’s employees, independent contractors, and such other parties as may reasonably require access for purposes of Epic’s performance hereunder. Epic agrees that it will not duplicate or distribute to anyone any of Contractor’s confidential information without the prior written consent of Contractor.
