(e.g., cleaning products such as floor and baseboard strippers (to remove existing, non-compliant, finish), gum removers, graffiti removers, solvent spot removers, hydrochloric acid bowl cleaners, caustic drain cleaners, absorbent clean up powders, WD-40, ice melting products, and air fresheners). .2 Currently, no specialty products meet the minimum Eco-Logo criteria or U.S. Green Seal criteria. .3 The Project Manager shall be notified in advance if any specialty products must be used.

Specialty Products. The Conversion Charge of the Specialty ------------------ Products for all periods after the fourth (4th) anniversary of this Agreement shall be negotiated by the parties in good faith as provided in this Section 5.1(b). Specialty Products. In the event that Engy supplies to Customer any Product based upon Customer’s request that Engy develop, produce, test, or put to use any non-standard Engy Product (a “Specialty Product”) so as to satisfy a unique need of Customer, Customer acknowledges and agrees that any such Specialty Products may not have or contain the same or similar characteristics as Engy’s standard Products and may not have a historical performance against which such Specialty Product can be measured. In developing, producing, testing, and/or supplying any such Specialty Product, Engy shall be relying upon information and specifications provided by Customer, and as such Engy shall bear no responsibility for any failure of such Product to meet the specific needs or intended uses of the Customer. Rather, Engy’s sole warranty with respect to any such Specialty Product shall be limited to warranting that the Product meets the specifications agreed in advance by Engy.
Specialty Products. The Company licenses and supports certain specialty products based on its articulated arm technology that are used in medical and multimedia applications. License and support fees from these products do not represent a significant portion of the Company's revenues and the Company does not intend to actively market these products. The Company's products overcome many limitations of hand-measurement tools, test fixtures and conventional CMMs by incorporating the following features: INTEGRATION WITH CAD TECHNOLOGY. The Company's products provide a bridge between the virtual 3-D world of the CAD process and the physical 3-D world of the factory floor. The interface to CAD allows manufacturers to integrate design, production and measurement and quality inspection processes on a common software platform. The Company believes that this integration creates significant savings by reducing the need for test fixtures and improves productivity by reducing production set-up times. Finally, the Company's integration with CAD technology significantly enhances product quality by maximizing the opportunities to make precise measurements based on engineering specifications within the manufacturing process. SIX-AXIS ARTICULATING ARM. The FAROArm/registered trademark/ incorporates a six-axis instrumented, articulating device that approximates the range of motion and dexterity of the human arm. The flexibility of the FAROArm/registered trademark/ enables the user to measure complex shapes and ergonomic structures and to reach behind, underneath and into previously inaccessible spaces, such as interior surfaces of aircraft or automobiles. The flexibility of the FAROArm/registered trademark/ allows customers to measure more accurately and efficiently than previously possible. PORTABILITY AND ADAPTABILITY. The FAROArm/registered trademark/ is lightweight, portable and designed for operation in the often harsh environments typical of manufacturing facilities. The FAROArm/registered trademark/ can be moved to multiple locations on the factory floor to measure large parts and assemblies that cannot be easily moved to a conventional CMM. This portability extends 3-D measurement to previously inaccessible areas of the factory floor and eliminates the travel time to and from quality inspection departments.

Specialty Products. (a) Specialty Products shall be available through Express Scripts Specialty Pharmacy and at Participating Pharmacies for the Specialty Product List for Express Scripts Specialty Pharmacy – Open, and Participating Pharmacy reimbursement rates. Ingredient Cost Dispensing Fee Administrative Fee/Rx (b) Specialty Products will be excluded from any price guarantees set forth in the Agreement. In no event will the Mail Service Pharmacy or Participating Pharmacy pricing specified in the Agreement apply to Specialty Products. (c) Express Scripts will notify the Agency no more frequently than monthly of new Specialty Products that are introduced to the market and added to the Specialty Product List on or after the Effective Date of this Agreement with their applicable Specialty Product List reimbursement rates (“Notice”). The parties agree as follows: (i) If the Agency has expressly excluded a specific therapy class or product, Specialty Products in such excluded classes will automatically be deemed excluded from coverage and will reject as “NDC Not Covered” through Participating Pharmacies, Mail Service Pharmacy and Express Scripts Specialty Pharmacy; otherwise, all other Specialty Products will be implemented as Covered Drugs at the rate specified in the applicable Specialty Product List or Notice, and the Agency acknowledges and agrees to same. If the Agency desires to cover otherwise excluded Specialty Products, the Agency must notify Express Scripts in writing that it desires to cover the Specialty Product before Express Scripts will adjudicate as a Covered Drug, and if Express Scripts receives such confirmation of coverage from the Agency such Specialty Product will be loaded thereafter as a Covered Drug at the applicable Specialty Product List reimbursement rate set forth in the Notice. (ii) The Agency must notify Express Scripts in writing if it wants to exclude the Specialty Product from coverage. The exclusion will be implemented within seven (7) business days after the date of Express Scripts’ receipt of such the notification. There will not be any retroactive denials for Prescription Drug Claims processed prior to Express Scripts’ receipt of the rejection notice and implementation of the exclusion as provided above and the Agency will be responsible for the payment of such Prescription Drug Claims processed prior to the rejection of coverage. Specialty Products. In the event that Purchaser or its Affiliates require Products that have performance characteristics that are substantially different than those previously provided in Products ("Specialty Products"), Purchaser shall first request Seller in writing to provide such Specialty Products in accordance with this Agreement; provided, however, that if Seller shall not have either responded to such request or shall have elected in writing not to provide such Specialty Products, in each case within 90 days of receipt of such written request, Purchaser may purchase such Specialty Products from a third party; provided, however, that in no event shall Purchaser purchase Specialty Products from a third party in aggregate, exceed 5% of Purchaser's Requirements in any year.
Specialty Products. Members may have prescriptions filled through CuraScript on an exclusive basis, or through CuraScript and Participating Pharmacies (each as described in Exhibit A-1). ESI will assist in the transfer of prescriptions to, or assist Members to obtain new prescriptions to be filled at, CuraScript for Members filling Specialty Products through the Mail Service Pharmacy (if applicable). Sponsor hereby authorizes ESI and CuraScript to communicate with Members and physicians regarding the transition from Mail Service Pharmacy (or other pharmacies) to CuraScript, as well as to advise Members filling Specialty Products at Participating Pharmacies of the availability of filling prescription through CuraScript.
