Strategic Suppliers. Where the Supplier has been deemed by the Authority to be a Strategic Supplier, the Authority will notify the Supplier that they are a Strategic Supplier (“Strategic Supplier”) and the following additional activities will apply: Supplier Action Plan: Following discussions between the Parties following the DPS Commencement Date, the Authority shall produce and issue to the Supplier a draft Supplier Action Plan. The Supplier shall not unreasonably withhold its agreement to the draft Supplier Action Plan. The Supplier Action Plan shall, unless the Authority otherwise Approves, be agreed between the Parties and come into effect within two (2) weeks from receipt by the Supplier of the draft Supplier Action Plan. The Supplier Action Plan shall be maintained and updated on an ongoing basis by the Authority. Any changes to the Supplier Action Plan shall be notified by the Authority to the Supplier. The Supplier shall not unreasonably withhold its agreement to any changes to the Supplier Action Plan. Any such changes shall, unless the Authority otherwise Approves, be agreed between the Parties and come into effect within two (2) weeks from receipt by the Supplier of the Authority’s notification. Quarterly Strategic Review Meetings Senior representatives from the Authority and the Supplier will meet at least quarterly, unless agreed otherwise by the Parties, to discuss aspects of the Supplier’s strategic performance (“Quarterly Strategic Review Meeting”). The exact timings and frequencies of such Quarterly Strategic Review Meetings will be determined by the Authority following the conclusion of the Dynamic Purchasing System Agreement.

Strategic Suppliers. Stratus and NEC shall cooperate to arrange meetings periodically, but no less frequently than twice per year, with strategic suppliers of components and Third Party Software for the Joint Products. Each party will use its best efforts to ensure that its Project Manager, or his/her designee attends each such meeting. Prior to such meeting, certain non-disclosure agreement among Stratus, NEC and the supplier shall be executed. The purpose of such meetings shall be to review supplier roadmaps and joint marketing programs so as best to position the Joint Products for future development and evolution in accordance with the Joint Product Roadmap, and to adjust the Joint Product Roadmap to take into account market and similar factors.
Strategic Suppliers a. Two (2) times per year, on a global basis, a senior leadership representative from the GBT Business and the TLS Business, together with their respective regional management leaders, shall meet (in person or by phone) to allow the Parties to agree upon the list of Strategic Suppliers (both globally and regionally). At such meetings, the Parties shall also: (i) discuss and analyze the TLS Business sales and revenue for all Suppliers, regionally, in aggregate; (ii) [***]; and (iii) if so agreed by the Parties, [***] as applicable, within ten (10) Business Days after such meeting. b. Three (3) times per year, on a regional basis, the relevant management lead from the GBT Business and TLS Business shall meet (in person or by phone) to: (i) reconfirm the list of Strategic Suppliers by region; (ii) discuss and analyze the TLS Business sales and revenue for all Suppliers, in that region, in aggregate; (iii) [***] and, if so agreed by the Parties, [***], as applicable, within ten (10) Business Days after such meeting; and (iv) review the latest sales forecast to the annual operating plan, sales receipts, and sales accruals, and, if so agreed by the Parties, action any follow-up within a period of time so agreed by the Parties but, unless otherwise agreed, not to exceed thirty (30) days after such meeting. c. Every two (2) weeks (or as the Parties so agree), the relevant management lead from the GBT Business and the TLS Business shall meet (by phone) to discuss current and/or prospective sales strategies relating to air, hotel, and car rental Suppliers. d. Prior to commencing any negotiations with any Strategic Supplier or any GDS regarding a new Supplier Agreement or GDS Agreement, as applicable, or an amendment, addendum, extension, renewal or any similar change to an existing Supplier Agreement or GDS Agreement (each, a “Strategic Supplier Change”), as applicable, GBT Holdco shall provide prior written notice to Amex of its intention to enter such negotiations (“Strategic Supplier Notice”). The Strategic Supplier Notice shall be provided by GBT Holdco at least thirty (30) days prior to commencement of such negotiations but no later than six (6) months prior to the natural termination or expiration of such Supplier Agreement or GDS Agreement, as applicable, and GBT Holdco shall consult with Amex throughout such negotiations to ensure GBT Holdco has the Data and information necessary to negotiate effectively on behalf of Amex and the TLS Reps, as applicable.   • Third Party Suppliers If Licensee wishes to obtain the Compound, Product and/or Licensed Product from a Third Party source, Licensee shall notify Pfizer through MPP of the intended source prior to making any commitments to purchase the Compound, Product and/or Licensed Product. Pfizer will determine at its sole discretion whether and on what terms to grant a license to the intended source to produce the Compound, Product and/or Licensed Product or inform Licensee whether such license already exists.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

Finally, the Executive acknowledges the Executive’s association and contact with these clients is derived solely from Executive’s employment with the Company. The Executive further acknowledges that the Company does business throughout the United States and that the Executive personally has significant contact with the Company’s clients and customers solely as a result of Executive’s relationship with the Company.

  • Suppliers No supplier of merchandise to the Company or any of its subsidiaries has ceased shipments to the Company or any of its subsidiaries, other than in the ordinary course of business consistent with past practices, which cessation would reasonably be expected to result in a Material Adverse Effect.
