Subscription Fees and Payment. 7.1. Fees and payment terms. You will pay all Fees set out on Order Forms in the currency stated within 30 calendar days from invoice date (without set-off, counterclaim, deduction or withholding). Fees accrue from the earlier of: (a) the date a User first accesses the Service; (b) the start date of the Subscription Period on the relevant Order Form. Fees are non-cancellable and, subject to Sections 4.3 and 9.5, non-refundable. Fees are based on purchased Subscriptions and not usage or deployment. Pricing is Our Confidential Information.

Subscription Fees and Payment. 10.1 The Subscription Fee set out in the applicable Order is payable by You to Us. We will invoice the Subscription Fees annually in advance. Unless agreed otherwise in the Order, all payments are due in full without deduction or set-off within 30 (thirty) days of the date of Our invoice. 10.2 Without prejudice to any other rights We may have, if We have not received payment for any overdue invoices, We shall be entitled to (i) by giving You thirty (30) days’ prior written notice and without liability to You, disable Your password, account and access to all or part of the Cloud Services and We shall be under no obligation to provide any or all of the Cloud Services while the invoice(s) concerned remain unpaid; and (ii) charge You interest at the rate of 4% per annum above the base lending rate of the Bank of England or such other amount as may be provided by applicable law from time to time on any overdue sums from the due date until the date of receipt of payment by Us (inclusive). 10.3 The Subscription Fees are non-refundable and do not include Taxes and you are responsible for all Taxes. If We are required to pay Taxes based on the Cloud Services provided under these Terms, then such Taxes shall be billed to and paid by You. This Section shall not apply to Taxes based on Our income. 10.4 We shall be entitled to adjust the Subscription Fees with effect from Your next renewal. Where We increase the Subscription Fees, such increase shall not exceed the higher of (i) 5%; or (ii) the percentage of the year-on-year United Kingdom Consumer Price Inflation Rates (CPIH as published by the Office of National Statistics), calculated for the month preceding Our adjustment.

Subscription Fees and Payment. 8.1 Sylvera will invoice the Customer for the Subscription Fees in advance in accordance with the intervals specified in the Order Form. Unless otherwise stated in the Order Form, the Customer shall pay each invoice within thirty (30) days after the date of such invoice. The Customer is responsible for providing complete and accurate billing and contact information to Sylvera and notifying Sylvera of any changes to such information. 8.2 For some payment methods, the issuer may charge certain fees, such as foreign transaction fees or other fees relating to the payment method, which shall be due and payable by the Customer. 8.3 If Sylvera has not received payment by the due date, and without prejudice to any other rights and remedies of Xxxxxxx, Xxxxxxx may, without liability, disable the Customer's and all Authorised Users’ passwords, accounts and access to all or part of the Services until the invoice(s) concerned are paid in full. 8.4 Subscription Fees are payable in the currency detailed in the Order Form, and are non-cancellable and non-refundable (except as set out in this Agreement). Subscription Fees are stated exclusive of value added tax or any sales tax, which shall be added to Sylvera’s invoice(s) at the appropriate rate, if applicable. All amounts due under this Agreement shall be paid by the Customer in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by applicable law). 8.5 Sylvera shall be entitled to increase the Subscription Fees (a) in line with the fee mechanism as set out in the Order Form (if any), and/or (b) at the start of each Renewal Term upon sixty (60) days' prior written notice to the Customer.
Subscription Fees and Payment. 3.1 The Client Subscriber shall pay the Subscription Fees to the Service Supplier in accordance with this clause 3 as set out in Schedule 2. The Onboarding Fee and initial Subscription Fee, (month one) shall be paid upon commencement of this Agreement and before any fixed tariff agreements are formally notified to the Primary Supplier. 3.2 The Service Supplier will provide the Client Subscriber with an online form to complete a Direct Debit instruction, through which the Subscription Fees will be paid by the Client Subscriber 3.3 The Service Supplier shall invoice the Client Subscriber on the dates set out in the Schedule 2 and the Client Subscriber shall pay each invoice within 7 days after the date of such invoice. 3.4 In the event that the Client Subscriber fails to pay an invoice within the required time period by Direct Debit, the Service Supplier shall have the right to: 3.4.1 Charge the Subscriber a late payment fee of £25 for any cancelled or uncollected Direct Debits and 3.4.2 charge the Subscriber interest on any amount unpaid, at the rate of 3% per annum above the Bank of England base rate until payment in full is made; and 3.4.3 suspend the notification and commencement of any fixed rate tariff to the Primary Supplier. The Service Supplier shall not be liable for any delays or claims arising out of the Client Subscriber’s inability to access the fixed rate tariff due to such suspension and 3.4.4 disable the Client Subscribers password, account and access to all or part of the Services and the Service Supplier shall be under no obligation to provide any or all of the Services while the invoice(s) concerned remain unpaid. 3.5 Subject to strict compliance with the provisions set out at Schedule 3, the Service Supplier shall guarantee savings for the Subscriber Client across the full range of service offerings equal to the initial 36 month subscription fee. Should the Service Supplier fail to achieve such savings, the Subscriber Client shall be entitled to seek recovery of the difference between the shortfall and a maximum of the total 36 month subscription fee.

Subscription Fees and Payment. Subscriber agrees to pay to SRR the applicable charge detailed on the fee schedule set forth as Exhibit D. All amounts payable under this Agreement are exclusive of tax, and Subscriber will pay or reimburse SRR for all value-added, sales and use taxes, and all other mandatory payments to government agencies of whatever kind imposed with respect to products or services provided by SRR under this Agreement. If a transaction or Subscriber is exempt from tax, Subscriber will provide SRR with evidence of such exemption in form acceptable to SRR. If Subscriber is required by law to deduct or withhold any taxes, levies, imposts, fees, assessments, deductions or charges from or in respect of any amounts payable hereunder to SRR, (a) Subscriber shall pay the relevant taxation authority the minimum amounts necessary to comply with the applicable law, (b) Subscriber shall make such payment prior to the date on which interest or penalty is attached thereto and (c) the amounts payable hereunder shall be increased as may be necessary so that after Subscriber makes all required deductions or withholdings, SRR shall receive amounts equal to the amounts it would have received had no such deductions or withholdings been required. Payment of invoices by Subscriber is due thirty (30) days from the date of invoice. If payments are more than thirty (30) days past due, SRR may, after notice to Subscriber and a fifteen (15) day period to make such payment, terminate or suspend this Agreement. Subscriber is responsible for payment of all reasonable collection costs and attorneys’ fees incurred by SRR through its efforts to collect on undisputed balance(s) owed by Subscriber. SRR reserves the right to change subscription fees at any time and without notice.
Subscription Fees and Payment. 5.1. The App is free to download, however some of its parts or a whole App may be offered on a subscription basis for a fee. In that order, you will pay the applicable fees and any related taxes as they become due via transactions, held by the App Store. 5.2. You agree that you authorize the App Store to charge applicable fees to the banking card that you have provided. 5.3. The fee may vary depending on a certain subscription or on the period of the subscription duration. 5.4. The subscriptions may be renewed automatically for the same period at the end of the subscription with the cost for the subscription. In that case, you will be charged for the renewed subscription within 24 hours prior to the end of the current subscription. 5.5. The trial subscriptions are the renewable subscriptions with specified free period. With such trial subscription you may use the App for free for specified number of days and within 24 hours prior to the end of the free trial period you will be charged, and the trial subscription will be automatically transformed into specified renewal paid subscription. 5.6. To cancel subscription you need to open your App Store account and cancel subscription by yourself. Deletion of the App will not lead to subscription cancellation. 5.7. We do not collect any information about your billing data, bank card, etc. and we do not process payments. App Store processes payments, so for any refunds you need to contact their support directly.

If a deduction or withholding is required by law, You shall pay such additional amount and will ensure that the net amount received by Us equals the full amount which We would have received had the deduction or withholding not been required. This Section shall not apply to Taxes based on Our income.
