Supervisory Services. These services shall include the following:
(i) The Manager shall supervise and coordinate matters relating to the operation of each Fund, including any necessary coordination among the administrator, distributor, custodian, transfer agent, dividend disbursing agent, securities lending agent, fund accounting agent or recordkeeping agent, valuation or pricing agents, independent public accountants, attorneys, and other parties performing services or operational functions for each Fund.
(ii) The Manager shall maintain or supervise the maintenance by third parties of such books and records of the Trust and each Fund as may be required by applicable federal or state law, other than the books and records maintained under the Investment Advisory Agreement.
(iii) The Manager shall take such other action with respect to each Fund as may be required by applicable law, including without limitation the rules and regulations of the SEC, the Commodity Futures Trading Commission (“CFTC”), state securities commissions and other governmental and regulatory agencies. Such actions shall include, but are not limited to: establishment and maintenance of a compliance program in accordance with Rule 38a-1 under the 1940 Act, support of the Trust’s Chief Compliance Officer, and systems and procedures necessary to effectuate the Trust’s compliance program.
(iv) Notwithstanding the foregoing, the Manager may procure or delegate the provision of any of these services to third parties (including other financial institutions) with respect to shareholders that have relationships with such third parties, except for any services provided pursuant to the Administrative Services Agreement, Distribution Agreement, Rule 12b-1 Plan, and the Investment Advisory Agreement.
Supervisory Services supervising outside counsel and other professional advisers and coordinating legal and other professional advice received by WEST and each other Managed Group Member other than with respect to any service or matter which is the responsibility of the Servicer under the Servicing Agreement; and
Supervisory Services. On behalf of the Trust and the Fund, FIMCo will provide (or will cause to be provided) facilities, equipment and personnel to:
a. Supervise the Fund's investment in a master fund;
b. Verify that the master fund invests in accordance with the limitations and restrictions set forth in its registration statement;
c. Monitor tracking deviations between the master fund and the benchmark index;
d. Report to the Board of Trustees regarding master fund and Fund performance; and
e. Recommend that the Fund withdraw from the master fund, if appropriate. FIMCo will be guided by each of the Fund's investment objectives and policies and the provisions and restrictions contained in the Declaration of Trust and By-Laws of the Trust and as set forth in the Registration Statement and exhibits as may be on file with the Securities and Exchange Commission, all as communicated by the Trust to FIMCo.
Supervisory Services. 4.1 The Manager shall procure the provision of the Technical Services, as well as any other usual and customary services with respect to the operation of each of the Vessels and the Crew, by the Technical Manager nominated by the Manager.
4.2 The Manager shall supervise the provision of such Technical Services by the Technical Manager (the procurement and supervision of the Technical Services, collectively referred to herein as the “Supervisory Services”).
4.3 The Manager shall procure that the Technical Manager, and the Company shall cause each Vessel Owner to, enter into a Technical Services Agreement.
4.4 The Company acknowledges that the Manager shall initially nominate Univan Ship Management International Limited as the Technical Manager. The Company acknowledges that Univan Ship Management International Limited intends to subcontract and delegate the performance of the Technical Services to Univan Ship Management Limited of Hong Kong and agrees, and will cause each Group Company to agree, to any such subcontract and delegation to Univan Ship Management Limited of Hong Kong.
4.5 For the avoidance of doubt, the Manager may, in its sole discretion, nominate itself as the Technical Manager and enter into Technical Services Agreements with the Vessel Owners.
Supervisory Services. The Adviser shall supervise and coordinate matters relating to the operation of the Fund, including any necessary coordination among the custodian, transfer agent, distributor, accountants, attorneys, and other parties performing services or operational functions for the Fund.
Supervisory Services. District supervisory personnel are charged with the responsibility of assisting in coordination of programs and improvement of instruction. By mutual agreement the parties may suspend the provision of supervisory services, including the services of chairpersons, coordinators, or supervisors.
Supervisory Services. Seller shall perform the Supervisory service described in Annex C – Scope of Work and Technical Specification pursuant to this Contract and the terms and conditions set forth in Annex S – Supervisory service.
Supervisory Services. For an additional charge, Licensor personnel will provide the following services for mutually agreed upon Apps for an additional charge; quotes are available based on the size and complexity of Licensee’s Syntasa environment.
Supervisory Services. A lay teacher shall be required to perform normal supervisory services that do not exceed seven (7) outside activities during the school year. An outside activity is an activity involving a teacher’s supervision outside the normal school day. It will normally consist of supervising students in designated areas to provide for the safety and protection of individuals. A lay teacher shall not be required to perform supervisory services during school vacations or holiday periods.
Supervisory Services. In addition to performing the Direct Services, Wexford shall be responsible for the following services, which Wexford shall obtain on behalf of the Company Group and shall supervise (the “Supervisory Services”): (g) technical operation of the Vessels (including without limitation maintaining, crewing and insurance) (“Technical Operation”), (h) commercial operation of the Vessels (including without limitation arranging charters and other related business (other than Technical Operation and other than financing or refinancing pursuant to Section 1(f)) (“Commercial Operation”) and (i) compliance with any Operational Regulations (as defined below). In addition as part of the Supervisory Services, Wexford shall retain accountants for the Company Group and shall supervise an annual audit of the Company Group. The parties agree that in providing the Supervisory Services Wexford shall cause the Company or the Company Group, at the expense of the Company or the Company Group, as the case may be, to enter into contracts or agreements with the third party providers for such services and that Wexford’s responsibility shall be limited to selecting such providers on behalf of the Company or the Company Group, as the case may be, and general oversight and supervision of such
