Supply of Goods/Services. 3.1 Supplier warrants that it is willing and able to perform its obligations under the Agreement; and that the Goods/Services shall not infringe rights of third parties, including IPR.
3.2 Supplier warrants that the Goods/Services are supplied in accordance with the Purchase Order; shall be new and free from defects; will not include Unwanted Content; and shall be fit for the purpose for which the Goods/Services are supplied.
3.3 Supplier shall not, without prior written consent of Versuni, make any changes affecting Goods, including changes to manufacturing processes or manufacturing location.
3.4 In the event that Supplier anticipates any difficulty in supplying Goods/Services within the agreed timeframe, Supplier shall promptly notify Versuni.
3.5 Goods shall be delivered to the agreed delivery location. Risk to Goods shall transfer to Versuni after delivery and, where applicable, installation of the Goods. Ownership of Goods shall transfer on the earlier of delivery and payment of invoice.
3.6 After having had a reasonable opportunity to inspect the Goods/Services after delivery, Versuni will be deemed to have accepted the Goods/Services. In case of a latent defect, acceptance is deemed after a reasonable time after the defect has become apparent.
3.7 Versuni may inspect Goods/Services after they are supplied and may inspect the manufacturing location of Goods. Supplier shall provide reasonable assistance to inspection personnel.
3.8 If Goods/Services do not conform to the requirements of the Agreement, Versuni may require Supplier to repair or replace rejected Goods (including Goods in the same lot with the same characteristics) or re-perform the Services at Supplier’s costs, within the time reasonably set by Versuni. Supplier shall bear costs of transportation. Versuni may also reduce the price in the same proportion as the value of the Goods/Services as delivered.
Supply of Goods/Services. 2.1.1 Mach will, with effect from the Commencement Date, supply the Services detailed for the benefit of the Customer for the relevant Charges as detailed. To avoid doubt, included as beneficiaries of the Services are those independent contractors to the Customer or any other specified Third Party.
2.1.2 To avoid doubt, the Parties expressly acknowledge:
i. from the Commencement Date, Annuity Services will be supplied and Customer may acquire Additional Services at any time by agreement (by enacting reference to Service Catalogue or as otherwise agreed);
ii. any activities which fall outside the scope of the Annuity Services as detailed at the time of request, may be acquired by Customer in accordance with this Agreement.
Supply of Goods/Services. 2.1 Supplier shall supply to EVBox the Goods/Services in accordance with the Agreement.
2.2 The Supplier shall be deemed to have accepted a PO on receipt unless it gives written notice within three (3) business days of receipt.
2.3 Supplier represents, warrants and undertakes that:
(a) it possesses the requisite skill, experience, knowledge, personnel and facilities necessary to perform its obligations under the Agreement;
(b) it possesses and/or is in compliance with, at all times, all necessary licenses, permits, consents, and approvals required to perform its obligations under the Agreement;
(c) the Goods/Services shall, where applicable, be (i) supplied in accordance with the requirements set out in the Agreement, (ii) manufactured from raw materials, parts or components with a traceable origin, (iii) of good quality, (iv) free from any defects, (v) fit for any purpose held out by the Supplier or made known to the Supplier by EVBox expressly or by implication, and (vi) free from any liens, claims, pledges or other encumbrances;
(d) it shall supply the Goods/Services with the highest level of care, skill and diligence in accordance with best practices in the Supplier’s industry, profession or trade;
(e) it shall meet any performance dates for the Goods/Services specified in the Agreement or such dates notified by EVBox to the Supplier and time is of the essence in relation to any of those dates;
(f) it shall co-operate with EVBox in all matters relating to the Goods/Services, and comply with all reasonable instructions, recommendations and requirements provided by EVBox from time to time;
(g) the Goods/Services and their manufacture, supply, or the use by EVBox thereof shall not infringe the Intellectual Property Rights of any third party;
(h) it shall not do or omit to do anything which may cause EVBox to lose any license, authority, consent or permission upon which it relies for the purposes of conducting its business; and
(i) it shall and the applicable Goods/Services supplied shall comply with (i) the EVBox Policies; and (ii) all applicable laws in force in the countries of manufacture, supply and/or receipt of the Goods/Services and any countries of which it has been notified where EVBox will use the Goods/Services or sell products incorporating the Goods and the Supplier shall provide EVBox with the information reasonably required by EVBox in order for EVBox to use the Goods/Services in compliance with applicable laws.

Supply of Goods/Services.
1.1 The Supplier must supply the Goods and/or provide the Services to WPH in accordance with, and as specified in the Purchase Order.
1.2 The Parties agree that the Supplier’s obligations under this clause 1 are material obligations, breach of which entitles WPH to terminate this Agreement immediately under clause 14.1.

Supply of Goods/Services a) No services will be rendered and/or goods delivered unless a purchase order is placed by GSA in terms of this agreement. All purchase orders will be subject to the general terms and conditions set out herein, unless any of these general terms and conditions have expressly been varied in the purchase order.
Supply of Goods/Services. These Terms and Conditions provide the basis for the Agreement for any Goods or Services We provide. If You have been provided with a Schedule that will form part of Your Agreement where applicable together with any Acknowledgement of Order. We are not obliged to provide any Goods and/or Services where We have not provided an Acknowledgement of Order. No other terms and conditions shall apply to the provision of any goods or services by Us unless expressly agreed in writing by a Director of Specialist Switchgear.
