Support and Professional Services. Customer’s Reseller will provide details on support services available for Products purchased under this agreement. Support services may be performed by Reseller or its designee, which in some cases may be Microsoft. If Customer purchases Professional Services under this agreement, the performance of those Professional Services will be subject to the terms and conditions in the Use Rights.
Support and Professional Services. (a) OneStream will provide to Customer Support Services during the Applicable Term.
(b) Where Customer requires Professional Services with respect to the Service in excess of Support Services (including, but not limited to, integration and configuration), the parties will contract for such services under the terms stated in Attachment A (Professional Services Program). A breach by a party with respect to Professional Services will not itself be a breach by that party with respect to other Services.
Support and Professional Services. 2.1 Subject to the terms hereof, Company will provide Customer with reasonable technical support services in accordance with the Company’s standard practice.
2.2 In connection with Customer’s use of the Platform, Company and Customer may agree in an Order Form and/or a separate mutually executed Statement of Work (an “SOW”) upon training, implementation, consulting or other professional services to be performed by Company (collectively the “Professional Services”). Customer agrees to provide Company with any required Customer materials needed for Company to perform the Professional Services, and hereby grants Company a royalty-free, non-exclusive, worldwide license to use such materials for the sole purpose of enabling Company to perform the Professional Services. Company will use commercially reasonable efforts to meet any schedules set forth in an SOW or Order Form, and Customer agrees to cooperate in good faith to allow Company to achieve completion of such Professional Services in a timely and professional manner. If achievement of any particular milestone is dependent upon performance of tasks by Customer or by a third party outside of Company’s control, any projected dates for accomplishing such milestones will be approximately adjusted to reflect any changes in such tasks. Company retains all right, title and interest in and to (i) anything it uses or develops in connection with performing Professional Services for Customer, including, among other things, software, tools, specifications, ideas, concepts, inventions, processes, techniques, and know-how and (ii) anything it delivers to Customer during the course of performing Professional Services (collectively, “Deliverables”) ((i) and (ii) being collectively referred to herein as the “Professional Services IP”), unless otherwise specified in the applicable Order Form or SOW. Company hereby grants to Customer and its Users, a non-exclusive, non-transferable (except for permitted assignments under Section 9), worldwide, royalty-free, limited-term license to use the Deliverables during the Term solely in conjunction with Customer’s use of the Platform. Customer may not copy, modify, or otherwise create derivative works of any Deliverables without Company’s prior written consent in each case.
Support and Professional Services. Subscription Licenses include as an integral part of the License Fee, Support Services for the License Term per the Terms and Conditions set forth in Exhibit 1. Notwithstanding the above, for all licenses, any installation, customization or other professional services (“Professional Services”) will be provided to Licensee at QualiSystems’ then-standard rates. The limitation of liability for Support Services and Professional Services shall be as set forth in these Terms and the Support Services Terms and Conditions.

Qualisystems may not be providing any support and/or maintenance, including no backwards compatibility and/or support for Evaluation, Demonstration or Beta Version Licenses. For Perpetual Licenses, the License fee includes first year of Support Services on the Terms and Conditions set forth in as described in Exhibit 1. Additional Support Services beyond the first year which is not an integral part of the Perpetual License, may be separately purchased subject to Licensee’s payment to QualiSystems of the fee set forth in Schedule 1 of Exhibit 1, which shall be payable prior to the beginning of any annual period of Support selected by the Licensee. Proofpoint shall provide support provided Customer is current in payment of the applicable Fees and any additional fees for platinum or premium support, if applicable. 2. Proofpoint shall provide the Professional Services, if any, specified in one or more SOWs. All Professional Services shall be billed as stated in the applicable SOW and Customer agrees that, if Customer has not used the Professional Services within one (1) year of paying for such Professional Services, then Proofpoint has no further obligations and Customer shall not be entitled to a refund except as set forth expressly in the applicable SOW.
3. Proofpoint warrants it will provide Professional Services in a professional and workmanlike manner consistent with good industry standards and practices. As Customer’s sole and exclusive remedy and Proofpoint’s entire liability for any breach of the foregoing warranty, Proofpoint will use reasonable efforts to re-perform the Professional Services or, if Proofpoint is unable to do so, terminate the applicable SOW and refund that portion of any Fees paid to Proofpoint or Reseller that correspond to the allegedly defective Professional Services.
