Survival of License. A Member’s obligations to license pursuant to Sections II.A.5, III.A, III.B.1, III.B.4.b, III.C.3, III.E.1, III.E.2 and III.G.1 of this Project IP Policy made or incurred prior to withdrawal from Project shall survive such withdrawal, and shall extend to Members that join the Project after the withdrawing Member’s withdrawal and to other Valid Licensees of the Specification. A grant of a license to a Member pursuant to the Project IP Policy made prior to such Member’s withdrawal from Project shall survive such withdrawal.
Survival of License. If a voluntary petition is commenced by 724 under the United States Bankruptcy Code (Title 11, U.S. Code, referred to hereafter as the "Code") or a similar statute of another jurisdiction, 724 becomes bankrupt, any substantial part of 724's property becomes subject to any levy, seizure, assignment, application or sale for or by any creditor or governmental agency or a receiver should be appointed for 724 (in each case provided that 724 is not contesting such proceedings in good faith), 724 shall deliver to BofA, promptly after Bank's request, a copy of the most recent version of the Licensed Technology, including the source code for such version, and all compilers and assemblers that 724 has the right to deliver, along with the names, addresses and telephone numbers of the licensors of all Third Party Materials. The parties agree that all software delivered pursuant to this Agreement and the documentation therefor constitute "intellectual property" under Section 101 of the Code (11 U.S.C. Section 101). 724 agrees that if it, as a debtor-in-possession, or if a trustee in bankruptcy for 724, in a case under the Code, rejects this Agreement, BofA may elect to retain its rights under this Agreement as provided in Section 365(n) of the Code. BofA, and any intellectual property rights, licenses or assignments from 724 of which BofA may have the benefit, shall receive the full protection granted to BofA by applicable bankruptcy or receivership law, regardless of the jurisdiction in which 724 files a petition or goes into receivership.

Survival of License. GPS hereby agrees that User’s license to use the Licensed Software shall continue beyond the termination of this Agreement in the event (i) GPS, as a debtor-in-possession, or a trustee in any bankruptcy case hereafter filed by or against GPS fails to assume this Agreement within ninety (90) days after the filing of the initial bankruptcy petition or to perform this Agreement within the meaning of the United States Bankruptcy Code, as amended (the “Bankruptcy Code”) or (ii) GPS ceases to do business in the normal course (each, a “Qualifying Termination”). Accordingly, all rights and licenses granted under this Agreement by GPS to User are, and shall otherwise be deemed to be, for purposes of Section 365(n) of the Bankruptcy Code, licenses of rights to “intellectual property” as defined in the Bankruptcy Code. Upon the occurrence of a Qualifying Termination, GPS agrees to provide User with (a) an encrypted copy of the System Software, Licensed Software, data items, and other relevant source code developed and/or owned by GPS and tools needed to operate the System Software, Licensed Software, and services used by User pursuant to this Agreement; (b) the key(s) necessary for User to unencrypt such encrypted copy and (c) a list of the third party software needed to operate the System Software (collectively referred to in this Section 4.3 as the “GPS Software and Data Copies”). GPS hereby grants unto User a limited, non-exclusive, and non-assignable license to use the GPS Software and Data Copies until such time as User begins using replacement data processing software in all of its operations (the “Extended Termination Date”). The GPS Software and Data Copies may be used solely in User’s business and may not be used by User for any other person or entity and User may not grant any sublicenses to the GPS Software and Data Copies. The license to both the Licensed Software and the GPS Software and Data Copies will terminate upon the Extended Termination Date. Within ten (10) days of the Extended Termination Date, User shall provide GPS with written certification that it has returned to GPS and/or deleted from its systems all copies of the Licensed Software and the GPS Software and Data Copies or any portions thereof. In furtherance of this Section 4.3, throughout the term of this Agreement, upon written request from User, but in no event sooner than six (6) months following the previous such request, GPS will provide to User within thirty (30) days up-to-date copi...
