Technical Consultant. 23.1 The Technical Consultant shall act in the interests of the successful outcome of the System in his capacity of technical adviser in the exclusive interests of the Principal and/or the Financing Entity. The Technical Consultant shall have access to the Works, the Area the project documentation and the one relating to the Works’ performance.
23.2 The Technical Consultant shall be entitled to employ third parties to perform his duties provided that, in this instance, he shall procure that said employees comply with the rules in force on site and given by the Contractor or Works Manager.
Technical Consultant. Kosmos and the Finance Parties hereby confirm the appointment of Xxxx Consultants, Inc. as Technical Consultant upon the terms and conditions set out in the Technical and Environmental Consultant Appointment Letter.
Technical Consultant. The Technical Consultant in relation to any Unit Project has been appointed and has provided to the Facility Agent an initial report satisfactory to the Facility Agent (acting on the instructions of the Majority Banks) in relation to the relevant Unit Project including, without limitation, confirmation of the feasibility of the project schedule and Initial Budget relating thereto.
Technical Consultant. During any Construction Period, the Technical Consultant in relation to the Ettrick Project or, as the case may be, the relevant Unit Project, shall, and the Bluewater Agent shall provide all necessary co-operation and assistance or, as the case may be, procure that the same is provided to enable that Technical Consultant to:
15.1.1 from time to time, meet with the management team of the Bluewater Group, and review all such documentation relating to the Construction of the Ettrick Project or, as the case may be, the relevant Unit Project, as that Technical Consultant shall deem appropriate, in each case so as to enable that Technical Consultant to be satisfied, acting reasonably, that the relevant Construction is proceeding in a satisfactory manner;
15.1.2 report quarterly (or with such other frequency as may be agreed between the Technical Consultant and the Facility Agent (each acting reasonably) after good faith consultation with the Bluewater Agent)) in writing to the Facility Agent on the progress of the relevant Construction and the Technical Consultant’s review of any Forecast delivered to the Facility Agent prior to the date of such report;
15.1.3 at any time the Fair Market Value of the Ettrick Project or any Unit Project falls to be determined pursuant to clause 15.2, determine the percentage of the work required to successfully complete that Construction which at that time has been performed.
15.1.4 from time to time, notify the Facility Agent if and whenever that Technical Consultant has any material concerns in relation to potential Cost Over-Runs in relation to the relevant Construction, and
15.1.5 accurately measure any material divergence from any Initial Budget, and (i) the Facility Agent shall, promptly following the receipt by it of any report or notification referred to in clauses 15.1.2 and 15.1.4, forward a copy of that report to, or, as the case may be, notify, each of the Banks, and (ii) each of the Borrowers covenants to each of the Facility Beneficiaries that it will promptly and adequately address each and every material concern referred to in clause 15.1.4.
Technical Consultant. Consultant shall indemnify, defend with counsel acceptable to City, and hold harmless City and its officers, elected officials, employees, agents and volunteers from and against any and all liability, loss, damage, claims, expenses, and costs (including without limitation, attorney’s fees and costs and fees of litigation) (collectively, “Liability”) of every nature arising out of or in connection with Consultant’s performance of the services called for or its failure to comply with any of its obligations contained in this Agreement, except such Liability caused by the sole negligence or willful misconduct of City. Notwithstanding the forgoing, to the extent this Agreement is a “construction contract” as defined by California Civil Code Section 2782, as may be amended from time to time, such duties of Consultant to indemnify shall not apply when to do so would be prohibited by California Civil Code Section 2782. The Consultant’s obligation to defend and indemnify shall not be excused because of the Consultant’s inability to evaluate Liability or because the Consultant evaluates Liability and determines that the Consultant is not liable to the claimant. The Consultant must respond within 30 days to the tender of any claim for defense and indemnity by the City. If the Consultant fails to accept or reject a tender of defense and indemnity within 30 days, in addition to any other remedy authorized by law, so much of the money due the Consultant under and by virtue of this Agreement as shall reasonably be considered necessary by the City, may be retained by the City until disposition has been made of the claim or suit for damages, or until the Consultant accepts or rejects the tender of defense, whichever occurs first. HOURS OF WORK:

If the Technical Consultant determines that the change request is valid, the TC is responsible for performing a detailed analysis of the change order and completing section B of Form A. The information includes but is not limited to: o The cost impact, schedule impact, and material analysis of the change request. o Determining if the customer will be billed for the change. o Coordinating the flow of information from the customer, customer service, engineering, installation, project management, and the account team to gather the necessary information to complete the change. o Notifying the LCC if issues involving the change order are unresolved. Every effort should be made to resolve issues at the operating level. o Completing section B of Form A and forwarding the completed form to the LCC.
Technical Consultant. Contractor will cause the Contractor Personnel filling the Key Project Staff positions to devote dedicated effort to the provision of the Services and the achievement of Service Levels required for the Services, unless a lesser allocation during certain Project Phases may be agreed in writing.
Technical Consultant. EMS Technical Consultant will be responsible for installation, testing and security of vendor software on the registry server. In addition, the consultant will interface with vendor, ICEMA and CA EMSA to verify accurate data transmittal from ICEMA to CA EMSA, maintain and verify data encryption routine process to ensure data security.
