TECHNICAL SERVICES FEES. For the avoidance of doubt, none of the Administrative Services Fee, the Management Services Fees or the commissions set forth in Sections 8.1(c) or 8.1(d) are inclusive of the fees and expenses to be paid to the Technical Manager in consideration of the Technical Manager’s provision of the Technical Services (the “Technical Services Fee”), which shall be separately negotiated and set forth in the Technical Services Agreement.

TECHNICAL SERVICES FEES. 1. Technical services fees arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State. 2. However, such technical services fees may also be taxed in the Contracting State in which they arise, and according to the laws of that State, but if the beneficial owner of the technical services fees is a resident of the other Contracting State the tax so charged shall not exceed 10 per cent of the gross amount of the technical services fees. The competent authorities of the Contracting States shall by mutual agreement settle the mode of application of this paragraph. 3. The term "technical services fees" as used in this Article means payments of any kind to any person, other than to an employee of the person making the payments, in consideration for any services of a managerial, technical or consultancy nature rendered in a Contracting State. 4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the technical services fees, being a resident of a Contracting State, carries on business in the other Contracting State in which the technical services fees arise through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the obligation in respect of which the technical services fees are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 16, as the case may be, shall apply. 5. Technical services fees shall be deemed to arise in a Contracting State when the payer is that State itself, a political subdivision, a local authority or another resident of that State. Where, however, the person paying the technical services fees, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the obligation to pay the technical services fees was incurred, and where such technical services fees are borne by such permanent establishment or fixed base, then such technical services fees shall be deemed to arise in the Contracting State in which the permanent establishment or fixed base is situated. 6. Where, by reason of a special relationship between the payer and the beneficial owner or both of them and some other person, the amount of the technical services fees paid exceeds, for whatever reason, the amount which would have been agreed upo...
TECHNICAL SERVICES FEES. All payments and invoices shall be made in accordance with Appendix C and Appendix A, Section 8, to DIR Contract No. DIR-TSO-3734. All pricing for Technical Services fees and all invoicing and payment terms related thereto shall be set forth in the applicable Services Proposal. In connection with any Technical Services engagement in which the Service Provider resource(s) is required to travel outside of the metropolitan area (or, if not applicable, the city or town) in which such Service Provider resource(s) regularly works when not at a third party location, all determinations of Technical Services fees shall include travel time; provided that time spent commuting from a local place of residence (including a hotel) to a work location in the same locale will not be included in travel time. Except as otherwise provided in any applicable Services Proposal, Service Provider shall invoice Customer for Technical Services fees promptly upon Service Provider’s acceptance of Customer’s purchase order for such services (if the Services Proposal is in the form of a purchase order), or on a monthly basis, in arrears, as applicable; and Customer shall pay in full each such invoice in accordance with Section 3.2 below.
TECHNICAL SERVICES FEES. As consideration for the Technical Services (as defined below) to be provided by Licensor, Licensee shall pay to Licensor One Thousand Dollars ($1,000) per key or room to be part of the Hotel/Casino, which sum shall be paid in equal monthly installments commencing upon the execution of this Agreement until the date which is twenty-four (24) months after the date of execution of this Agreement (the "TECHNICAL SERVICES FEE") within ten (10) days after the end of each calendar month. For purposes of payment of the Technical Services Fee prior to the actual determination of the number of keys or rooms to be part of the Hotel/Casino, it shall be assumed that Licensee will construct three hundred twenty (320) rooms. Upon final determination of the actual number of rooms or keys to be part of the Hotel/Casino, the parties shall reasonably cooperate to reconcile any overpayment or underpayment of the Technical Services Fee.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Services Fee 5.1 The Transmission Services performed by TSO to Network User under this Standard Transmission Agreement are subject to the applicable Services fee calculated in accordance with attachment A of the Access Code for Transmission. In the event of any modification to the Regulated Tariffs, the Total Monthly Fee(s) and the Total Monthly Self-billing Fee(s) provided for in this Article 5.1 shall be adapted as from the calendar day of the entering into force of the modifications.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.
