License and Support Fees. Customer shall pay Graylog the applicable fees specified in each Order Form (the “Fees”), provided that if Customer registers for a free trial or beta version of the Software, the Software will be offered to Customer free of charge during the trial or beta period indicated at the time of registration. Unless otherwise set forth in the applicable Order Form, the Fees for the initial Subscription Term shall be due and payable upon the execution of the applicable Order Form.
License and Support Fees. Licensee shall pay to Sun the fees set forth ------------------------ in Exhibit C within thirty (30) days from the Effective Date of this Agreement. Thereafter, and for the term of the Agreement, Licensee shall pay the annual support and Upgrade Fees on or before the anniversary of the Effective Date.
License and Support Fees. In consideration of the licenses granted and services to be provided by SKYWIRE to Customer under this Agreement, Customer agrees to pay the License Fees as set forth in the SKYWIRE Sales Quote. Customer further agrees to pay the Support Fees, as incurred, specified in the Support Fees Schedule attached to the SKYWIRE Sales Quote. Customer shall pay all License Fees and Support Fees, as incurred, within thirty (30) days of the date identified on the SKYWIRE invoice for such fees. The License Fees and Support Fees hereunder do not include, and shall be increased to include any and all local, state, or federal taxes (including without limitation VAT, if any), however designated, levied or assessed, customs duties and disbursements such as the costs of materials, shipping, travel and telecommunications. Any indications of time contained in offers made by SKYWIRE shall be deemed estimated.
License and Support Fees. No license or support fees are required during the term of this Agreement.
License and Support Fees. 7.1 In consideration of the license granted by Excalibur to webADTV under this Agreement, webADTV agrees:
7.1.1 For the right to integrate the Licensed Product into its Online System and make no additional license payments during the Term:
(i) Upon the Effective Date, issue two hundred thousand (200,000) shares of its common stock valued at $2.50 per share. In the event that webADTV common stock shares are not publicly traded within thirty (30) months of the Effective Date and provided that Excalibur still holds the webADTV common stock, webADTV agrees to pay an amount of $ 500,000 to Excalibur in cash on the thirty (30) month anniversary of the Effective Date. In the event of a change in control of webADTV, whether by merger, acquisition, or otherwise, prior to webADTV's common stock being publicly traded, Excalibur may elect to receive the greater of: (a) $500,000 in cash less the price per share paid by the acquirer multiplied by the number of webADTV common shares held by Excalibur at the time of the acquisition; or (b) the price per share paid by the acquirer multiplied by the number of webADTV common shares held by Excalibur at the time of the acquisition.
(ii) within 30 days from the Effective Date, pay Excalibur $ 100,000.
(iii) within 10 days from the closing of webADTV's private placement, expected to close by October 31, 2000, pay Excalibur $ 400,000.
7.1.2 For the right to receive dedicated engineering support more completely described in Schedule 2 to this Agreement:
(i) pay Excalibur a total of $150,000 in four (4) quarterly installments of $37,500 each. Each quarterly installment will be billed in advance and payment shall be due within thirty (30) days of receipt of the invoice.
7.1.3 Following the Term of this Agreement, webADTV may continue to deploy the Licensed Product in the Online System and remit license payments to Excalibur in accordance with the pricing schedule set forth in Schedule 4 to this Agreement.

This license fee covers unlimited LaborKey Per Cap station licenses at the B.C.T.C. office and/or at remote locations. The software can be installed on a shared network enabling multiple users to enter data simultaneously, or the software can be installed at multiple remote locations. Our integrated LaborKey Data Transfer Service enables multiple users to take control of the data one person at a time when the software is installed on remote stations (e.g. personal laptops used at home) which cannot maintain a persistent stable connection to a shared B.C.T.C. network. TOTAL MONTHLY LICENSE FEE $ 45 LICENSEE REPRESENTATIVE INITIALS
b. There are no fees for the initial data conversion and preparation, software installation, software configuration, a basic software tutorial, software documentation and numerous brief topical video tutorials. This Agreement covers all phone, email and web support pertaining to software problems or concerns and all reasonable support calls throughout the term of this Agreement. Additional support, other than onsite trainings and substantial custom software development projects, will be provided at an hourly rate of $120 per hour when representatives are able to provide the requested support, and when representatives determine that the request for support is reasonable. Onsite trainings must be negotiated separately. Customization of the LaborKey Per Cap software may be provided at no charge when L.K. Corp representatives determine that the customization is reasonable and beneficial for multiple clients, and when L.K. Corp staff have adequate time available to perform the customization. Otherwise, software customization will be offered on a per quote basis. All fees will be billed on the regular monthly invoice, per clause 4 below.
