Visiting Scholar. The University of Akron, Akron OH 44325-2102 (the "University") agrees with _____________________ (the "Home Institution”) and _______________, student or employee of the Home Institution (the "Visiting Scholar"), that the Visiting Scholar may visit the University to engage in Research Activities, consistent with and as described in the attached invitation letter in Exhibit A at the University under the direction of Professor(s) _______________ (the "Host(s)"). It is the belief of the University and the Home Institution that such activities will be beneficial to the University and the Home Institution. The following terms and conditions apply to this agreement:

Visiting Scholar. Affiliated Faculty agrees to promptly disclose in writing to NJIT any intellectual property created (conceived and/or reduced to practice) as a result of his/her activities at NJIT. Visiting Scholar/Affiliated Faculty also agrees not to file for any patent(s) related to his/her activities at NJIT or related to any proprietary and confidential material provided by NJIT, without the written permission of NJIT.
Visiting Scholar. Affiliated Faculty agrees to furnish to NJIT copies of any proposed publication or presentation involving any research and/or invention related to this Agreement at least thirty (60) days in advance of the submission of the same to a journal, editor, or other third party to permit NJIT to: (i) make written comments on said publication; (ii) object in writing to such proposed presentation or proposed publication because there is patentable subject matter which needs protection; or (iii) or because the publication contains an inadvertent disclosure of solely owned confidential information of NJIT. NJIT shall provide Visiting Scholar/Affiliated Faculty with such commentary or objection within thirty (30) days of receiving a proposed publication or forever waive its rights in this regard.

Visiting Scholar. Researcher shall and does hereby agree to defend, indemnify and hold harmless, indemnitees from and against all damages, losses, liens, causes of action, suits, judgments, expenses (including reasonable attorney's fees), and other claims of any nature, kind, or description (collectively "claims") by any person or entity, arising out of, caused by, or resulting from the performance of this Agreement and which are caused in whole or in part by any malicious misconduct, gross negligent act, or gross negligent omission of visiting Researcher. The provisions of this section shall not be construed to eliminate or reduce any other indemnification or right which any indemnitee has by law.
Visiting Scholar. During the term of this contract, an experimental program may be instituted under the name of visiting scholar program with the following conditions and guidelines. A. The course will be offered for one quarter credit of English. B. For the purposes of calculating pupil/teacher ratios for state standards the teacher of this course may not be included. C. For purposes of compensation, the instructor of this course will be paid an amount not to exceed the daily rate that would be a paid full-time substitute for one semester.
Visiting Scholar. Scientist is an employee of Corporation or Institution, is visiting the University for the purpose of engaging in scientific research in the field of: ______________________________. Pursuant to the University’s Intellectual Property Policy, all individuals participating in University activities as University faculty and staff, University Visitors and/or University Students must disclose to the University any Intellectual Property. Intellectual Property includes, but is not limited to, inventions, discoveries, improvements, trademarks, copyrightable material, computer software, know-how, and mask works conceived, reduced to practice or authored by the University Visitor through the use of University resources not available to the general public including any state, federal, or sponsored research funds. The Visiting Scholar/Scientist tenure at the University will be _____________ months from the Effective Date (hereinafter “Visit Period”), terminating on __________(“Termination Date”). During the Visit Period, Visiting Scholar/Scientist may perform work on University equipment and in University facilities either alone or in conjunction with University personnel. The Agreement will automatically terminate on the Termination Date unless otherwise extended in writing by the parties. In no event shall the Visiting Period exceed __________ years.

  • Training Program It is agreed that there shall be an Apprenticeship Training Program, the provisions of which are set forth in Exhibit "D", which is attached hereto and forms part of this Agreement.

  • Educational Program A. DSST PUBLIC SCHOOLS shall implement and maintain the following characteristics of its educational program in addition to those identified in the Network Contract at DSST XXXX MIDDLE SCHOOL (“the School” within Exhibit A-3). These characteristics are subject to modification with the District’s written approval:

  • Health Plan An appropriately licensed entity that has entered into a contract with Subcontractor, either directly or indirectly, under which Subcontractor provides certain administrative services for Health Plan pursuant to the State Contract. For purposes of this Appendix, Health Plan refers to UnitedHealthcare Insurance Company.

  • Product and Service Offerings The Products and services available under this Contract are set forth herein and specified in Appendices C and D which may be amended during the contract term to incorporate new Product or service offerings, price revisions or deleted items. This Contract is limited to sale, installation and maintenance of Product (see also 4.2 Service Offerings). Leasing is not permitted at this time. The Commissioner reserves the right to amend the Contract at any time to incorporate lease offerings. Offering updates should be submitted under the Contract as soon as possible after they are announced by Contractor in accordance with the terms of Appendix H. GENERAL CONSIDERATIONS A. No drug use of any type, nor consumption of alcoholic beverages by the Contractor or its personnel shall be permitted on the premises. B. The Authorized User will not be liable for any expense incurred by the Contractor as a consequence of any traffic infraction or parking violations attributable to employees of the Contractor. C. It is the Contractor's responsibility to maintain the equipment and materials provided for the work consistent with applicable safety and health codes. D. The Office of General Services' interpretation of specifications shall be final and binding upon the Contractor. E. The Office of General Services will make no allowance or concession to the Contractor for any alleged misunderstanding or deception because of quantity, quality, character, location, or other conditions.

  • Retirement Program Any employee employed prior to October 1, 1977, working at least seventy (70) hours per month shall by law be a member of the Washington Public Employees Retirement system (PERS) Plan One. Any employee working at least seventy (70) hours per month, entering employment on or after October 1, 1977, shall by law be a member of the School Employees Retirement System, Plan Two or Three. The District shall provide each new employee information concerning PERS or SERS membership benefits.

  • Investment Program The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment objective and policies of the Fund as set forth in the Trust’s current Registration Statement and subject to the supervision of the Adviser and the Board of Trustees of the Trust, to (i) develop and furnish continuously an investment program and strategy for the Fund in compliance with the Fund’s investment objective and policies as set forth in the Trust’s current Registration Statement, (ii) provide research and analysis relative to the investment program and investments of the Fund, (iii) determine (subject to the overall supervision of the Board of Trustees of the Trust) what investments shall be purchased, held, sold or exchanged by the Fund and what portion, if any, of the assets of the Fund shall be held in cash or cash equivalents, and (iv) make changes on behalf of the Trust in the investments of the Fund. In accordance with paragraph 2(ii)(b), the Subadviser shall arrange for the placing of all orders for the purchase and sale of securities and other investments for the Fund’s account and will exercise full discretion and act for the Trust in the same manner and with the same force and effect as the Trust might or could do with respect to such purchases, sales or other transactions, as well as with respect to all other things necessary or incidental to the furtherance or conduct of such purchases, sales or transactions. The Subadviser will make its officers and employees available to meet with the Adviser’s officers and directors on due notice at reasonable times to review the investments and investment program of the Fund in light of current and prospective economic and market conditions. The Subadviser is authorized on behalf of the Fund to enter into agreements and execute any documents required to make investments pursuant to the Prospectus as may be amended from time to time. The Subadviser’s responsibility for providing portfolio management services hereunder shall be limited to only those assets of the Fund which the Adviser determines to allocate to the Subadviser (those assets being referred to as the “Fund Account”), and the Subadviser agrees that it shall not consult with any investment advisor(s) (within the meaning of the 0000 Xxx) to the Fund or any other registered investment company or portfolio series thereof under common control with the Fund concerning transactions for the Fund Account in securities or other assets such that the exemptions under Rule 10f-3, Rule 12d-3 and/or Rule 17a-10 under the 1940 Act would not be available with respect to the Fund. The Subadviser shall exercise voting authority with respect to proxies that the Fund is entitled to vote by virtue of the ownership of assets attributable to that portion of the Fund for which the Subadviser has investment management responsibility; provided that the exercise of such authority shall be subject to periodic review by the Adviser and the Trustees of the Trust; provided, further that such authority may be revoked in whole or in part by the Adviser if required by applicable law. The Subadviser shall exercise its proxy voting authority hereunder in accordance with such proxy voting policies and procedures as the Trust may designate from time to time. The Subadviser shall provide such information relating to its exercise of proxy voting authority hereunder (including the manner in which it has voted proxies and its resolution of conflicts of interest) as reasonably requested by the Adviser from time to time. In the performance of its duties hereunder, the Subadviser is and shall be an independent contractor and except as expressly provided for herein or otherwise expressly provided or authorized shall have no authority to act for or represent the Fund or the Trust in any way or otherwise be deemed to be an agent of the Fund, the Trust or of the Adviser. If any occasion should arise in which the Subadviser gives any advice to its clients concerning the shares of a Fund, the Subadviser will act solely as investment counsel for such clients and not in any way on behalf of the Trust or the Fund.

  • Educational Incentive For those employees receiving educational incentive payment at the time of layoff, upon re-employment, such employees shall be eligible to receive educational incentive.
