Web Site Services. As part of the Base Services, Xxxxx Systems shall provide Services relating to the hosting and operation of Newco’s web sites listed in Schedule 6.4 (as amended from time to time), which Services include, but are not limited to, procuring, providing, installing and managing the hardware, software, and other materials and devices necessary to implement, operate and maintain the Newco web sites on behalf of Newco consistent with the requirements set forth in Exhibit B. As part of the Base Services, Xxxxx Systems shall provide such assistance as Newco may request, install and configure hardware and software, including, without limitation, server and network hardware, install and integrate security monitoring tools, install and integrate logging and reporting systems, integrate and test all systems relating to the operation of the Newco web sites, and monitor the availability and performance of the Newco web sites and related Supported Software, all in accordance with this Exhibit A.
Web Site Services. COMPANY is authorized to provide Web Site Services. Web Site services includes, but is not exclusively limited to, web design & custom programming. During the implementation of the Web Site services, COMPANY or CLIENT may propose modifications. COMPANY shall make up to three (3) revisions at the initial stage of the Web Site design (each, a “Revision”), if such services have been requested in an Order Form, at no extra charge to CLIENT (the “Three Revision Process”). For purposes of the foregoing, a “Revision” is a single document provided by the CLIENT outlining any and all changes at one time. Revisions should be sent in writing by Email. Each email will count as one Revision for purposes of the Three Revision Process. The Three Revision Process shall be limited to COMPANY’s delivery to CLIENT of each iteration of the Web Site created by COMPANY upon CLIENT’s instructions and delivered materials, and upon receipt of each iteration, CLIENT having up to five (5) business days to provide changes and modifications consistent with the design and content elements provide by COMPANY based upon CLIENT’s original inputs. Any other modification implemented by COMPANY based upon CLIENT’s input shall be deemed and agreed acceptable by CLIENT unless the modification requires a change in cost. All such changes shall be agreed upon in writing by the Parties, prior to the performance of any work by COMPANY. Such proposed modification and cost, as well as development timeframe, once agreed upon, shall be adjusted by COMPANY as COMPANY deems appropriate.
Web Site Services. Paciolan will create and maintain at a location of its choosing, Customer- branded Internet sites (the “Site”), as outlined in the Investment Addendum, for the benefit of the Customer. The Site(s) will provide to Customer the functions reasonably required for Customer to transact to the public its Tickets and other items contemplated by this Agreement.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Internet Services Transfer Agent shall make available to Fund and Shareholders, through its web sites, including but not limited to xxx.xxxxxxxxxxxxx.xxx (collectively, “Web Site”), online access to certain Account and Shareholder information and certain transaction capabilities (“Internet Services”), subject to Transfer Agent’s security procedures and the terms and conditions set forth herein and on the Web Site. Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Transfer Agent shall at all times use reasonable care in performing Internet Services under this Agreement.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Telecommunications Services The offering of telecommunications for a fee directly to the public, or to such classes of users as to be effectively available directly to the public, regardless of the facilities used.

  • Billing Services Manager shall provide, or cause to be provided, the following billing services to P.C.:

  • SPECIAL SERVICES Should the Trust have occasion to request the Adviser to perform services not herein contemplated or to request the Adviser to arrange for the services of others, the Adviser will act for the Trust on behalf of the Fund upon request to the best of its ability, with compensation for the Adviser's services to be agreed upon with respect to each such occasion as it arises.

  • Data Access Services State Street agrees to make available to the Fund the Data Access Services subject to the terms and conditions of this Addendum and such data access operating standards and procedures as may be issued by State Street from time to time. The Fund shall be able to access the System to (i) originate electronic instructions to State Street in order to (a) effect the transfer or movement of cash or securities held under custody by State Street or (b) transmit accounting or other information (the transactions described in (i)(a) and (i)(b) above are referred to herein as “Client Originated Electronic Financial Instructions”), and (ii) access data for the purpose of reporting and analysis, which shall all be deemed to be Data Access Services for purposes of this Addendum.
