Annual Updates. 14.1.9.4.1.1 On or before June 14th of each year, NMPC shall recalculate its RR, CCC, and BU components, applying the Data Inputs called for in the Formula Rate to produce the Annual Update for the upcoming Update Year, and: 14.1.9.4.1.1.1 shall post such Annual Update and a “workable” excel file containing that year’s Annual Update on the NYISO’s Internet website; 14.1.9.4.1.1.2 shall file such Annual Update with the FERC as the Informational Filing. The submission of such Informational Filing with FERC shall not require any action by the agency; and 14.1.9.4.1.1.3 shall serve the Annual Update electronically on all Interested Parties. 14.1.9.4.1.2 If the date for making the Informational Filing should fall on a weekend or a holiday recognized by the FERC, then the posting/filing shall coincide with the NYISO posting requirement for July rates. 14.1.9.4.1.3 The Annual Update for the Update Year: 14.1.9.4.1.3.1 shall use the Data Inputs specified in NMPC’s Formula Rate, and therefore, to the extent specified in NMPC’s Formula Rate, be based upon NMPC’s FERC Form No. 1 data for the most recent calendar year; to the extent specified in NMPC’s Formula Rate, be based upon the books and records of NMPC consistent with FERC accounting policies, and, to the extent specified in NMPC’s Formula Rate, be based on projections for the upcoming calendar year; 14.1.9.4.1.3.2 shall provide supporting documentation for Data Inputs in the form of the data provided in Attachment C to the Offer of Settlement dated April 6, 2009, in Docket No. ER08-552; and, with respect to Billing Units, shall include monthly documents in PDF format with redacted names and revised reference numbers for each entity to protect confidentiality, showing the Billing Units for each month of the most recently completed calendar billing year (the six-month updated BUs), including NMPC’s Transmission Owner Load (“TOL”), consisting of metered loads for the December through November timeframe showing the calendar billing year BUs reported to the NYISO by NMPC. The total MWh of generation (including load modifiers) and net interchange for each NMPC transmission zone will be displayed. National Grid will also provide a document as a “workable” Excel file summarizing the TOL for disputed station service, High Load Factor Xxxxxxxxxxx and any other entity excluded from the Billing Units calculation in Attachment 1, Schedule 6.12, of the Formula Rate. Annual Updates. [***] shall develop, and submit to the JSC for review and approval, an annual update to the Global Commercialization Strategy Plan [***]. Such update shall be developed and submitted to the JSC in time to permit the JSC’s preliminary approval to occur no later than [***]. Upon the JSC’s preliminary approval, such plan shall be submitted to each Party [***]. After final approval by the JSC, such Global Commercialization Strategy Plan shall take effect on the first day of the Calendar Year to which such Global Commercialization Strategy Plan applies.

Annual Updates. 1. The Contractor shall submit a written annual update of the Three-Year Plan that was approved by DMH, in accordance with the requirements set forth in W&l Code Sections 5847 and 5848 and all applicable regulations. The annual update is due by or before the end of each calendar year for the prior fiscal year. Each annual update must be approved by DMH and signed by both the Contractor and DMH. 2. The annual update may include proposed modifications to this Agreement and requests for funding for new programs and/or services. Requests for modifications shall include: a. A description of the proposed change, including the reasons why such a revision is required; b. The number of individuals to be served; c. An itemized list of proposed budgetary changes Amendments to the Agreement The Contractor may request an amendment at any time by submitting a written request for modification to DMH. Within 60 (sixty) days of receiving a written request to modify, DMH shall either grant the request to modify; deny the request; grant the request with modifications; or inform the Contractor that additional time is required to consider the request. If DMH does not respond within 60 (sixty) days, the request is deemed denied. The Contractor may resubmit the request. DMH may propose amending the Agreement by submitting a written proposal to the Contractor. Unless the modification is documented in a written addendum to this Agreement signed by both the Contractor and DMH, modifications to this Agreement are not legally binding, and the Contractor shall receive no additional funds

(a) As long as an SBIC Investor holds any shares of Preferred Stock, or Conversion Shares, the Company shall, on an annual basis, provide to such SBIC Investor the information required under 13 CFR Section 107.620(b) and shall provide the information and access required by 13 CFR Section 107.620(c). (b) As long as an SBIC Investor holds any shares of Preferred Stock or Conversion Shares, the Company shall notify such SBIC Investor: (i) at least fifteen (15) days prior to taking any action after which the number of record holders of the Company's voting stock would be increased from fewer than 50 to 50 or more; (ii) of any other action or occurrence after which the number of record holders of the Company's voting stock was increased (or would increase) from fewer than 50 to 50 or more, as soon as practicable after the Company becomes aware that such other action or occurrence has occurred or is proposed to occur. For purposes of this Agreement, an "SBIC Investor" shall mean (i) Toronto Dominion, provided that Toronto Dominion has been licensed as an SBIC, or an affiliate of Toronto Dominion that has been licensed as an SBIC and holds Preferred Stock, Conversion Shares or Common Stock of the Company, (ii) EOS, or an affiliate of EOS that has been licensed as an SBIC and holds Preferred Stock, Conversion Shares or Common Stock of the Company and (iii) BancBoston, or an affiliate of BancBoston that has been licensed as an SBIC and holds Preferred Stock, Conversion Shares or Common Stock of the Company;
