Community Oriented Project Features. Developer has listed features of the Project that Developer shall build as amenities within the Specific Plan Area (collectively, the “Community Oriented Project Features”), set forth in Exhibit D. Such features listed in Exhibit D may or may not already be requirements of Developer under existing laws or regulations (including under the MSASP). Except as otherwise expressly provided, Developer’s obligation to start or complete the Community Oriented Project Features, along with the Community Benefits listed in Exhibit C, shall survive the termination or expiration of this Agreement. The Community Benefits and the Community Oriented Project Features shall become an obligation of Developer upon the date upon which the first portion of any Project Component starts construction; accordingly, if Developer does not commence construction of any portion of any Project Component during the Term, such obligations shall not become effective.

Community Oriented Project Features. Transportation  Developer, as part of final TDM, shall provide a ride share Demand Management service, at a discount rate to guests, residents, and employees Plan (TDM) to Downtown Millbrae restaurants and shops in the Downtown area. Pedestrian and Bicycle Facilities  The project is proposing to provide a Class I Bay Trail connection along Aviador Avenue that will span from the future bicycle/ pedestrian overpass over Highway 101 to the Bay Manor neighborhood on the other side of Highland Canal.  The pedestrian / bicycle circulation plan will include both a Class III and off-street bike routes from Aviador Avenue to the Station through Garden Lane.  Xxxxxxx Road and Garden Lane intersection will become a more pedestrian friendly environment by making Xxxxxxx Road narrower (4 lanes vs. 7 lanes that are there now) and installing a pedestrian activated control button.  To reduce car conflict with shuttles and pedestrians/bicyclist, Kiss’n’Ride location will be moved inside the BART parking structure. BART will dedicate 40 spaces to Kiss’n’Ride users.  The project will include shuttle/bus facilities in order to address SamTrans’ concerns about the future ridership growth (Shuttle stops will be located along Xxxxxxx Road and East Station Road).  The project will provide a strong bicycle linkage with a designated path along Garden Lane to the planned extension of Bay Trail on the easterly side of the project.  A bike share program will be developed and implemented to make bicycles available as an alternative mode of travel for employees.  Residential building will have a bicycle room available to the residents where they can borrow a bike for a few hours or for the whole day to commute to their destinations.  Shower and changing facilities will be provided in the office building and in the hotel for employees that are bicycle commuters.  Water bottle refilling station will be located throughout the project.  A new multi-use trail along the northeastern portion of Garden Lane will be constructed to provide access to the Bay Trail extension along Aviador Ave.  The Project will exceed the minimum ten-foot sidewalk widths on Xxxxxxx Road, between Millbrae Avenue and Garden Lane (contemplated at approximately between 21 and 32 feet).   • Access Toll Connecting Trunk Group Architecture 9.2.1 If CSTC chooses to subtend a Verizon access Tandem, CSTC’s NPA/NXX must be assigned by CSTC to subtend the same Verizon access Tandem that a Verizon NPA/NXX serving the same Rate Center Area subtends as identified in the LERG. 9.2.2 CSTC shall establish Access Toll Connecting Trunks pursuant to applicable access Tariffs by which it will provide Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic to and from CSTC’s Customers. 9.2.3 The Access Toll Connecting Trunks shall be two-way trunks. Such trunks shall connect the End Office CSTC utilizes to provide Telephone Exchange Service and Switched Exchange Access to its Customers in a given LATA to the access Tandem(s) Verizon utilizes to provide Exchange Access in such LATA. 9.2.4 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access to allow CSTC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier which is connected to a Verizon access Tandem.

  • Project Work Plan The Statement of Work is the formal document incorporated into the Grant. The Project Work Plan documents how the Grantee will achieve the performance measures outlined in the Grant. Changes to the Statement of Work require an amendment. Project Work Plans may be changed with written approval from PEI and the Grantee.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • Service Areas HHSC authorizes the MA Dual SNP to add the MA Product to Texas service areas that are not identified in Attachment C, Proposed MA Product Service Areas, provided it receives prior CMS approval and complies with the notice requirements specified in this Agreement.

  • Project 3.01. The Recipient declares its commitment to the objectives of the Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of Article IV of the General Conditions.

  • SERVICE MONITORING, ANALYSES AND ORACLE SOFTWARE 11.1 We continuously monitor the Services to facilitate Oracle’s operation of the Services; to help resolve Your service requests; to detect and address threats to the functionality, security, integrity, and availability of the Services as well as any content, data, or applications in the Services; and to detect and address illegal acts or violations of the Acceptable Use Policy. Oracle monitoring tools do not collect or store any of Your Content residing in the Services, except as needed for such purposes. Oracle does not monitor, and does not address issues with, non-Oracle software provided by You or any of Your Users that is stored in, or run on or through, the Services. Information collected by Oracle monitoring tools (excluding Your Content) may also be used to assist in managing Oracle’s product and service portfolio, to help Oracle address deficiencies in its product and service offerings, and for license management purposes. 11.2 We may (i) compile statistical and other information related to the performance, operation and use of the Services, and (ii) use data from the Services in aggregated form for security and operations management, to create statistical analyses, and for research and development purposes (clauses i and ii are collectively referred to as “Service Analyses”). We may make Service Analyses publicly available; however, Service Analyses will not incorporate Your Content, Personal Data or Confidential Information in a form that could serve to identify You or any individual. We retain all intellectual property rights in Service Analyses. 11.3 We may provide You with the ability to obtain certain Oracle Software (as defined below) for use with the Services. If we provide Oracle Software to You and do not specify separate terms for such software, then such Oracle Software is provided as part of the Services and You have the non-exclusive, worldwide, limited right to use such Oracle Software, subject to the terms of this Agreement and Your order (except for separately licensed elements of the Oracle Software, which separately licensed elements are governed by the applicable separate terms), solely to facilitate Your use of the Services. You may allow Your Users to use the Oracle Software for this purpose, and You are responsible for their compliance with the license terms. Your right to use any Oracle Software will terminate upon the earlier of our notice (by web posting or otherwise) or the end of the Services associated with the Oracle Software. Notwithstanding the foregoing, if Oracle Software is licensed to You under separate terms, then Your use of such software is governed by the separate terms. Your right to use any part of the Oracle Software that is licensed under the separate terms is not restricted in any way by this Agreement.
