Compliance with Law and Covenants. The Tenant, throughout the Term and at its sole expense, in its use and possession of the Premises, shall: (a) comply promptly and fully with (i) all laws, ordinances, notices, orders, rules, regulations and requirements of all federal, state and municipal governments and all departments, commissions, boards and officers thereof, including but not limited to The Americans with Disabilities Act, 42 U.S.C. §12101 et. seq., and the ADA Disability Guidelines promulgated with respect thereto (provided that such guidelines are applicable to and binding upon the Tenant or the Premises), and (ii) all requirements (Y) of the National Board of Fire Underwriters (or any other body now or hereafter constituted exercising similar functions) which are applicable to any or all of the Premises, or (Z) imposed by any policy of insurance covering any or all of the Premises and required by Section 7 to be maintained by the Tenant, and (iii) all covenants and restrictions which may encumber the title to any or all of the Premises, all if and to the extent that any of such requirements relate to any or all of the Premises or to any equipment, pipes, utilities or other parts of the Project which exclusively serve the Premises, whether any of the foregoing are foreseen or unforeseen, or are ordinary or extraordinary; (b) (without limiting the generality of the foregoing provisions of this subsection) keep in force throughout the Term all licenses, consents and permits necessary for the lawful use of the Premises for the purposes herein provided; provided, however, that Landlord shall be responsible for obtaining a certificate of occupancy for the Premises; and (c) pay when due all personal property taxes, income taxes, license fees and other taxes assessed, levied or imposed upon the Tenant or any other person in connection with the operation of its business upon the Premises or its use thereof in any other manner; and (d) not obstruct, annoy or interfere with the rights of other Tenants.

Compliance with Law and Covenants. The Tenant, throughout the Term and at its sole expense, in its construction, rehabilitation, possession and use of the Premises, the Units or the rest of the Improvements and the Equipment: (a) shall materially comply promptly and fully with (a) all applicable material laws, ordinances, notices, orders, rules, regulations and requirements of all federal, state and municipal governments and all departments, commissions, boards and officers thereof, including all applicable provisions of the Act, all LIHTC Housing Requirements and restrictions imposed by Section 142(d) of the Code in connection with the financing of the Project with the proceeds of the Bonds (all of which are hereinafter referred to collectively as “Legal Requirements”); and (b) all requirements (i) of the National Board of Fire Underwriters (or any other body now or hereafter constituted exercising similar functions) which are applicable to any or all of the Property, or (ii) imposed by any policy of insurance covering any or all of the Property and required by Article 7 hereof to be maintained by the Tenant (all of which are hereinafter referred to collectively as “Insurance Requirements”); and (c) the provisions of the other Permitted Encumbrances, all if and to the extent that any of the Legal Requirements, the Insurance Requirements or the said provisions relate to any or all of the Premises, the Improvements, the Equipment, the fixtures and equipment upon the Premises, or the use or manner of use thereof, whether any of the foregoing are foreseen or unforeseen, or are ordinary or extraordinary; (b) (without limiting the generality of the foregoing provisions of this subsection) shall keep in force throughout the Term all licenses, consents and permits required from time to time by applicable law to permit the Property to be used in accordance with this Lease; (c) shall pay or cause to be timely paid when due all personal property taxes, income taxes, license fees and other taxes or special assessments assessed, levied or imposed upon the Tenant or any other person (other than the Landlord) in connection with the operation of the Project or its use thereof, unless Tenant is contesting the same in good faith; (d) shall not take or fail to take any action, as the result of which action or failure to act the Landlord’s estate, right, title or interest in and to any or all of the Premises or the rest of the Property might be materially impaired; and (e) shall not (either with or without ne...
Compliance with Law and Covenants. Tenant, throughout the Term and at its sole expense, in its re-development, possession and use of the Premises and the Improvements shall: (a) materially and promptly comply with (i) all applicable Federal, State and Local Laws and Ordinances; and (ii) all requirements to keep in force throughout the Term all licenses, consents and permits required from time to time by applicable law to the Property; (b) not (either with or without negligence) knowingly cause or permit Hazardous Materials on the Property, except any use thereof in the ordinary course of Tenant’s and/or an Affiliate’s business or by Residents and only in compliance with all applicable Environmental Laws. Notwithstanding the foregoing, if during the Term, Tenant allows Hazardous Materials on the Property in violation of this Lease, then to the extent required by the relevant or lead governmental enforcement agency, the Tenant shall diligently take the steps necessary to adopt a plan of remediation by a qualified environmental consultant with respect to any such Hazardous Materials and take prompt action for the containment of any such Hazardous Materials or the removal of any such Hazardous Materials in compliance with all applicable federal, state, and local regulations. For purposes of this Lease, “Hazardous Materials” shall include those substances described as such in any Environmental Law.
Compliance with Law and Covenants. Landlord hereby covenants and agrees at its expense to maintain the Building and the Common Areas of the Building in compliance with all applicable Laws, including but not limited to, the Americans with Disabilities Act. To the best of Landlord’s knowledge and belief, the Building and Common Areas of the Building will be in compliance with such applicable laws, in effect as of the Effective Date. The Tenant, throughout the Term and at its sole expense, in its use and possession of the Premises, shall comply promptly and fully with (i) all laws, ordinances, notices, orders, rules, regulations and requirements of all federal, state and municipal governments and all departments, commissions, boards and officers thereof, including the Maryland Clean Air Act of 2007 and (ii) all covenants and restrictions affecting the Premises; pay when due all personal property taxes, income taxes, license fees and other taxes assessed, levied or imposed upon the Tenant or any other person in connection with the operation of its business upon the Premises or its use thereof in any other manner; and not obstruct, annoy or interfere with the rights of other tenants or Landlord in the operation and management of the Building.

(b) Notwithstanding the provisions of Section 6.2(a), Tenant, at its own cost and expense, may contest, in any manner permitted by law (including appeals to a court, or governmental department or authority having jurisdiction in the matter), the validity or the enforcement of any Legal Requirements with which Tenant is required to comply pursuant to this Lease, and may defer compliance therewith provided that: (i) such non-compliance shall not have a material adverse affect on Landlord, any Mortgagee, the Building, or the Project (by way of example, non-compliance resulting in fines, revocation of any permits or certificates of occupancy, civil or criminal prosecution, or which would subject the Building to sale shall be deemed material for purposes of this subsection); (ii) Tenant shall indemnify Landlord against any actual cost or any injury resulting from such non-compliance; and (iii) Tenant shall promptly, reasonably diligently and continuously prosecute such contest. At Tenant’s request, Landlord shall cooperate with Tenant and execute any documents or pleadings required for such purpose, provided that Landlord shall reasonably be satisfied that the facts set forth in any such documents or pleadings are accurate.

(ii) Neither the execution and delivery nor the performance by the Assuming Institution of this Agreement will result in any violation by the Assuming Institution of, or be in conflict with, any provision of any applicable law or regulation, or any order, writ or decree of any court or governmental authority.

All Parent Permits are valid and in full force and effect and are not subject to any administrative or judicial proceeding that could result in modification, termination or revocation thereof, except where the failure to be in full force and effect or any modification, termination or revocation thereof has not had and would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect. Parent is, and each of its Subsidiaries is, in compliance with the terms and requirements of such Parent Permits, except where the failure to be in compliance has not had and would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

  • Compliance with Laws; Use The Premises shall be used for the Permitted Use and for no other use whatsoever. Tenant shall comply with all statutes, codes, ordinances, orders, rules and regulations of any municipal or governmental entity whether in effect now or later, including the Americans with Disabilities Act (“Law(s)”), regarding the operation of Tenant’s business and the use, condition, configuration and occupancy of the Premises. All Partnership Permits are in full force and effect, except where the failure to be in full force and effect would not, individually or in the aggregate, be reasonably expected to have a Partnership Material Adverse Effect. No suspension or cancellation of any of the Partnership Permits is pending or threatened, except where such suspension or cancellation would not, individually or in the aggregate, be reasonably expected to have a Partnership Material Adverse Effect. As of the date of this Agreement, to the Knowledge of the Partnership, no event or condition has occurred or exists which would result in a violation of, breach, default or loss of a benefit under, or acceleration of an obligation of the Partnership or any of its Subsidiaries under, any Partnership Permit, or has caused (or would cause) an applicable Governmental Authority to fail or refuse to issue, renew, extend, any Partnership Permit (in each case, with or without notice or lapse of time or both), except for violations, breaches, defaults, losses, accelerations or failures that would not reasonably be expected to have, individually or in the aggregate, a Partnership Material Adverse Effect.
