Complimentary Registrations. Exhibitor shall receive a specified number of complimentary registrations for the conference associated with the Exposition in which Exhibitor has elected to participate. Badges will be issued in the name of the designated individuals and may not be traded to, and used by, non-registrants. If MBA finds that the Exhibitor’s complimentary badges are being traded or otherwise used improperly, MBA may, at its discretion, do one or more of the following — seize the badges, expel Exhibitor from the Exposition Facility and suspend Exhibitor from exhibiting at one or more future expositions.

The organisation of topical Seminars of longer duration is also encouraged. These are the main training activities IRPA can offer to its members for their continuous improvement on their professional knowledge, skill and competence, in line with the Code of Ethics of the association. Two types of Refresher Course are possible, and organisers should give a clear description of the nature of each course in the promotional literature: Courses aimed at providing a broad overview of the current state of a given topic, thereby giving delegates not working directly in that field a sound understanding of the current status. Courses aimed at giving experienced practitioners a more detailed understanding of up-to-date developments in a specific field. Organisers should consider the possibility of gaining formal recognition for the courses, for example via the American Academy of Health Physics for accreditation for Continuing Education Credits, or through making course details available to support accreditation by any other Associate Society for relevant Continuing Professional Development (or equivalent) schemes. Attendance Certificates should be available for course participants. An evaluation procedure should be implemented for the Refresher Courses and Seminars, as a way to measure their quality and getting feedback for improving. It can be based on the model questionnaire approved by the IRPA EC, to be completed by the participants. The compilation and analysis of the evaluation results must be prepared by the organisers in a reasonably short term after the Regional Congress and submitted to the chair of the IRPA TG on Education and Training. The chair of the TG will report on the success of the training courses to the IRPA Executive Council. Complimentary Registrations. IRPA will receive complimentary registrations to the 2012 Congress for members of the IRPA Executive Council and associated Accompanying Persons.
Complimentary Registrations. (initial) All complimentary registration requests must have a business related reason supporting Stanford University. All complimentary registration requests must be submitted to the Stanford Ticket Office on the STO Complimentary Form. These requests must be submitted one business day prior to the event. Ticket Office Service Holds The sponsor will allocate a certain number of registrations to be used at the discretion of the Stanford Ticket Office. The exact number of these registrations will be agreed upon before the event goes on sale and will be based on the capacity of the venue and the expected sales. These registrations are used to resolve any customer service issues at the event. Unused registrations will be released for sale no later than fifteen minutes before the event. Sales & Data Reports Daily, weekly or monthly reports of registration sales or registration data can be printed or e-mailed to the sponsor upon request. On the day of the event, sales up to that day are available, and the report of day of event sales can be added to it for a day of show settlement upon request. Estimates Written or verbal estimates will be provided upon request. Final charges will be for actual registration processing fees, labor, and other applicable charges. Marketing and Event Information To better serve the registrant, the sponsor will complete the STO Information sheet as well as provide the Ticket Office with information about the event, parking, directions, concessions or prohibited items. A directional map and a diagram of the venue are desirable. Please initial the 3 statements below acknowledging you will advise the STO of any advertising and promotional events, discount, coupons or vouchers. The Director of Ticket Services or the Ticket Office Manager must review and approve registration information on all promotional materials prior to printing.   • Company Registration If the Company proposes to register (including, for this purpose, a registration effected by the Company for stockholders other than the Holders) any of its securities under the Securities Act in connection with the public offering of such securities solely for cash (other than in an Excluded Registration), the Company shall, at such time, promptly give each Holder notice of such registration. Upon the request of each Holder given within twenty (20) days after such notice is given by the Company, the Company shall, subject to the provisions of Subsection 2.3, cause to be registered all of the Registrable Securities that each such Holder has requested to be included in such registration. The Company shall have the right to terminate or withdraw any registration initiated by it under this Subsection 2.2 before the effective date of such registration, whether or not any Holder has elected to include Registrable Securities in such registration. The expenses (other than Selling Expenses) of such withdrawn registration shall be borne by the Company in accordance with Subsection 2.6.

  • NERC Registration If and to the extent any of the NTO’s facilities are NERC jurisdictional facilities, the ISO will register for certain NERC functions applicable to those NTO facilities. Such functions may include, without limitation, those functions designated by NERC to be “Reliability Coordinator” and “Balancing Authority” and “Transmission Planner” and “Planning Coordinator.” The Parties agree to negotiate in good faith the compliance obligations for the NERC functions applicable to, and to be performed by, each Party with respect to the NTO’s facilities. Notwithstanding the foregoing, the ISO shall register for the “Transmission Operator” function for all NTO Transmission Facilities under ISO Operational Control identified in Appendix A-1 of this Agreement.

  • Piggyback Registrations Without limiting any obligation of the Company hereunder or under the Securities Purchase Agreement, if there is not an effective Registration Statement covering all of the Registrable Securities or the prospectus contained therein is not available for use and the Company shall determine to prepare and file with the SEC a registration statement or offering statement relating to an offering for its own account or the account of others under the 1933 Act of any of its equity securities (other than on Form S-4 or Form S-8 (each as promulgated under the 0000 Xxx) or their then equivalents relating to equity securities to be issued solely in connection with any acquisition of any entity or business or equity securities issuable in connection with the Company’s stock option or other employee benefit plans) (a “Piggyback Registration”), then the Company shall deliver to each Investor a written notice of such determination and, if within fifteen (15) days after the date of the delivery of such notice, any such Investor shall so request in writing, the Company shall include in such registration statement or offering statement all or any part of such Registrable Securities such Investor requests to be registered; provided, however, (i) the Company may postpone or withdraw the filing or the effectiveness of a registration statement filed pursuant to this Section 2(g) at any time in its sole discretion and (ii) the Company shall not be required to register any Registrable Securities pursuant to this Section 2(g) that are eligible for resale pursuant to Rule 144 without restriction (including, without limitation, volume restrictions) and without the need for current public information required by Rule 144(c)(1) (or Rule 144(i)(2), if applicable) or that are the subject of a then-effective Registration Statement. If a Piggyback Registration is initiated as a primary underwritten offering on behalf of the Company and the managing underwriter advises the Company and the holders of Registrable Securities (if any holders of Registrable Securities have elected to include Registrable Securities in such Piggyback Registration) in writing that in its reasonable and good faith opinion the number of shares of Common Stock proposed to be included in such registration , including all Registrable Securities and all other shares of Common Stock proposed to be included in such underwritten offering, exceeds the number of shares of Common Stock which can be sold in such offering and/or that the number of shares of Common Stock proposed to be included in any such registration would adversely affect the price per share of the Common Stock to be sold in such offering, the Company shall include in such registration or takedown (i) first, the shares of Common Stock that the Company proposes to sell; (ii) second, the shares of Common Stock requested to be included therein by holders of Registrable Securities, allocated pro rata among all such holders on the basis of the number of Registrable Securities owned by each such holder or in such manner as they may otherwise agree; and (iii) third, the shares of Common Stock requested to be included therein by holders of Common Stock other than holders of Registrable Securities, allocated among such holders in such manner as they may agree.
