Consultation with Trade Unions. 4.1 Where a proposed change to the workforce may result in redundancy, the council will consult representatives of its recognised trade unions - whatever the number of potentially affected employees. However, there are specific statutory obligations which govern consultation where an employer is contemplating making 20 or more employees redundant within specific timescales. In these circumstances the consultation process should begin as soon as practicable but must begin at least: • 30 days before the first of the dismissals takes effect where between 20 and 99 redundancy dismissals are proposed at one establishment within a period of 90 days or less; or • 45 days before the first of the dismissals takes effect where 100 or more redundancy dismissals are proposed at one establishment within a period of 90 days. 4.2 In reckoning employee numbers to determine whether there is a statutory need to consult; those who may be leaving on both a voluntary and compulsory basis are counted. 4.3 The relevant trade unions must be advised in writing of a proposed change which puts employees at risk of redundancy, prior to formal meetings with the affected employees. The purpose of consultation is to give an opportunity for all concerned to explore any options to avoid dismissals as a consequence of the proposed redundancies, to reduce the numbers affected and/or to minimise the detriment caused by redundancy. 4.4 Formal consultation will not be deemed to have started until the following information is provided to the HQs of trade unions representing the affected employees: • Reasons for proposed redundancies • Numbers and descriptions of employees it is proposed to dismiss as redundant • Total number of employees affected • Proposed method of selection • How, and over what period, the dismissals are to be carried out • Proposed method of calculating redundancy payments • The number of agency workers working for the council, where they are working and the type of work they are doing 4.5 The trade unions will be given an indicative timetable of key events at the start of the consultation process. The trade unions must have adequate information and time in which to make representations about proposals. 4.6 The council will consider and consult about ways of reducing or avoiding compulsory redundancies and/or of mitigating their effects including: • Restricting or ceasing recruitment • Redeployment • Reducing non-contractual overtimeShort time working or temporary lay-of...

  • CONSULTATION WITH OTHER SUB-ADVISERS In performance of its duties and obligations under this Agreement, the Sub-Adviser shall not consult with any other sub-adviser to the Fund or a sub-adviser to a portfolio that is under common control with the Fund concerning transactions for the Fund, except as permitted by the policies and procedures of the Fund. The Sub-Adviser shall not provide investment advice to any assets of the Fund other than the assets managed by the Sub-Adviser.

  • Consultation Procedure If a party hereto is unable to meet the provisions of the Service Level Agreement, or in the event that a dispute arises relating to performance goals set forth in the Service Level Agreement, either party to this Agreement shall address any concerns it may have by requiring a consultation with the other party.

  • Consultation Process (a) Unless the expedited process in clause 3.4 applies, the Operator must follow the process set out below for consulting on a proposal to amend this agreement. (b) The notice to be published under clause 3.2(b)(ii) must invite Members and other interested persons to submit written comments on the proposal to the Operator on or before a date specified in the notice (which must be at least 20 Business Days after the date of the notice). (c) If the Operator considers it appropriate having regard to issues raised in submissions, it may undertake further consultation on specified issues or alternative proposals, and the notice and minimum time periods in paragraph (b) apply to that further consultation. (d) The Operator must publish its decision on the proposal on its website within 20 Business Days after the closing date for submissions under paragraph (b) or (d) as applicable. The decision must: (i) summarise any comments received on the proposal; (ii) set out the proposed amendment to be made (if any); (iii) if the proposed amendment is materially different from the original proposal, describe how and why the proposal has been revised; (iv) if the decision is to make a proposed amendment then specify the day on which the amendment is to take effect; and (v) if the decision is against making any proposed amendment, state that the proposal has been rejected and give reasons for the rejection. (e) At least 15 Business Days before the day on which any amendment is to take effect, or an earlier date fixed by this agreement in any particular case, the Operator must: (i) notify all Members and the AER of the amendment; and (ii) publish the amendment and the amended Exchange Agreement on its website. (f) In determining whether or not to make an amendment under this provision, the Operator must take into account all relevant and material comments that it receives by the closing date for comments and may take into account any comments it receives after that date.

  • Good Faith Negotiations In case of any dispute arising out of this Agreement including any question regarding its interpretation, existence, validity or termination, each party will use its best efforts to resolve the dispute by good faith negotiation within a period of Thirty (30) Business Days following notification of the dispute.

  • Cooperation with Investigations You agree to cooperate with us in the investigation of unusual transactions, poor quality transmissions, and resolution of customer claims, including by providing, upon request and without further cost, any originals or copies of items deposited through the Service in your possession and your records relating to such items and transmissions.

  • Consultations A Party may request in writing consultations with the other Party with respect to any matter referred to in Article 174 (Scope of Application).

  • Good Faith Negotiation The Parties shall attempt in good faith to achieve consensus with respect to all matters arising under this Agreement and to use reasonable efforts through good faith discussion and negotiation to avoid and resolve disputes that could delay or impede a Party from receiving the benefits of this Agreement. These dispute resolution procedures apply to any dispute that arises from either Party’s performance of, or failure to perform, in compliance with this Agreement and which the Parties are unable to resolve prior to invocation of these procedures.

  • Consultation Between the Parties ALPS and the Fund shall regularly consult with each other regarding ALPS’ performance of its obligations under this Agreement. In connection therewith, the Fund shall submit to ALPS at a reasonable time in advance of filing with the SEC reasonably final copies of any amended or supplemented registration statement (including exhibits) under the 1933 Act and the 1940 Act; provided, however, that nothing contained in this Agreement shall in any way limit the Fund’s right to file at any time such amendments to any registration statement and/or supplements to any prospectus or statement of additional information, of whatever character, as the Fund may deem advisable, such right being in all respects absolute and unconditional.
