Continued Employment Period. No provision contained in this Agreement shall be construed as conferring upon Indemnitee any right with respect to continuance of performance of services for the Company, nor shall any such provisions interfere in any way with the right of the Company to terminate Indemnitee’s services at any time with or without cause.

Continued Employment Period. Subject to and in accordance with the terms of this Agreement, Safeway agrees to employ Xxxxx in her current capacity of Executive Vice President and Chief Administrative Officer (EVP – CAO), from the date of the Xxxxx’x execution of this Agreement until the date her employment is terminated by Xxxxx or Safeway (“Severance Date”). Subject to and without waiving the provisions of Paragraph 9 below, Safeway further agrees that it will not terminate Xxxxx’x employment before the Closing Date unless the termination is for Cause, as those terms are defined in Paragraph E below. The time period identified in this Paragraph A shall be referred to as the Continued Employment Period. During the Continued Employment Period, Safeway shall have the right in its discretion to place Xxxxx on Paid Leave of Absence, during which she will remain eligible for benefits in accordance with Paragraph C, below, and which shall not affect the consideration provided for under this Agreement.
Continued Employment Period. For a period beginning on the Transition Date and ending on March 31, 2009 (the “Continued Employment Period”), Executive agrees to serve as an advisor to the Acting President or his successor, on an as needed and as requested basis (no more than seven hours in any one week or more than 30 hours in any one month), as an employee (and not as an independent contractor), to assist in the transition of Executive’s duties to other Company employees. Executive will be paid a salary during the Continued Employment Period of $7,500 per month. Executive shall provide such advisory services solely at the request of Xxxxxxx X. Xxxxxx and/or any another person designated by the Board of Directors. The parties each acknowledge that during the 36-month period preceding the Transition Date, Executive worked in excess of 50 hours per week.
Continued Employment Period. Subject to my agreeing to this Agreement and its timely execution, I understand and agree that I shall remain an employee of the Company through May 17, 2022 (“Continued Employment Period”), unless terminated early as provided herein. During this Continued Employment Period:
Continued Employment Period. During the Continued Employment Period, Preston shall perform such duties and have such responsibilities as may be assigned to him from time to time by the Company’s President and Chief Executive Officer (including, but not limited to, transition and assisting and counseling his successor Chief Financial Officer). During the Continued Employment Period, the Company shall continue to pay Preston his current base salary in accordance with the Company’s standard payroll practices. Preston will not be eligible for any bonus for calendar year 2012. Preston has previously received certain equity awards, including a grant on or about October 4, 2011 and another grant on or about March 9, 2012 that vest over time. Preston acknowledges that, as a result of his voluntary resignation, he will forfeit all equity awards that are not vested when Preston ceases to be an employee of the Company. Nothing in this Resignation Agreement (including, the terms of Paragraphs 1 and 2) shall in any way be interpreted or construed as a “Good Reason” event as defined in Section 5(d) of the Employment Agreement or otherwise require the Company to pay to Preston the post-employment severance amounts set forth in Section 6(e) of the Employment Agreement.
Continued Employment Period. (a) During the Continued Employment Period, the provisions of Article I of the Employment Agreement remain in full force and effect. During the Continued Employment Period, Employee shall assist Employer in the process of transitioning the position of Chief Financial Officer of Employer to a successor and shall consult with the Board of Directors of Employer and with any successor Chief Financial Officer regarding such transition and any matters as Employer may from time to time reasonably request.

  • Continued Employment The Option granted hereunder shall confer no right on Optionee to continue in the employ of the Company or any Subsidiary, or limit in any respect the right of the Company or any Subsidiary (in the absence of a specific agreement to the contrary) to terminate Optionee's employment at any time.

  • Termination of Employment Period The employment of the Employee by the Company pursuant to this Agreement shall terminate upon the occurrence of any of the following:

  • Expiration of Employment Period If Executive’s employment shall be terminated due to the normal expiration of the Employment Period, this Agreement shall terminate without further obligations to Executive, other than for payment of Accrued Obligations and the timely payment or provision of Other Benefits.

  • During Employment During Employee’s employment hereunder, Employee shall not engage, directly or indirectly, as an employee, officer, director, partner, manager, consultant, agent, owner (other than a minority shareholder or other equity interest of not more than 1% of a company whose equity interests are publicly traded on a nationally recognized stock exchange or over-the-counter) or in any other capacity, in any competition with the Company or any of its subsidiaries.

  • Severance Period For purposes of this Agreement, “Severance Period” means the period of time commencing immediately after Executive’s separation of service from the Company through the date that is six (6) months following such separation date, plus an additional two (2) months for every fully completed Year of Service; provided, however, that in all cases the Severance Period will end no later than on the twelve (12)-month anniversary of the date of Executive’s termination of employment.

  • Employment Period The Company hereby agrees to continue the Executive in its employ, and the Executive hereby agrees to remain in the employ of the Company subject to the terms and conditions of this Agreement, for the period commencing on the Effective Date and ending on the third anniversary of such date (the "Employment Period").
