Continuity of Service and Technical Support. Upon the termination of the Company’s right to perform this Contract under this Article or upon the expiration of this Contract under Section 4.1, the Company, at the request and direction of the County, shall provide for an effective continuity of service and the smooth and orderly transition of management of the Transfer Station and Drop-Box Sites to the County or any replacement operator designated by the County. Such service shall be for a period of up to one hundred eighty (180) days and shall include providing advice and support, operating manuals, computer programs, spare parts or other information useful or necessary for the County or any replacement operator designated by the County to carry out and perform the Contract Services. In addition, the Company shall provide the County and any replacement operator with a one-time training program relating to the operation of the Transfer Station and Drop- Box Sites, including any Capital Modifications thereto.

Continuity of Service and Technical Support. Upon the termination of the Company's right to perform this Service Contract under Sections 13.2 , 13.3 , 13.4 , 13.5 or 13 .6 or upon the expiration of this Service Contract under Section 3.1, the Company, at the request and direction of the Borough, shall provide for an effective continuity of service and the smooth and orderly transition of management back to the Borough or any replacement operator designated by the Borough. Such service shall be (1) in the event of a term ination pursuant to Section 13.2 for a period of up to 365 days, (2) in the event of a termination pursuant to Sections 13.4, 13.5 or 13.6 or expiration pursuant to Section 3 .1 for a period of up to 180 days, or (3) in th e event of a termination pursuant to 13.3 for a period of up to 90 days, provided that the Borough m akes its prepayment obligations set forth in subsection (E) of this Section. In each case, such service shall include providing technological and design advice and support and delivering any plans, drawings, renderings, blueprints, operating manuals, computer program s, spare parts or other information useful or necessary for the Borough or any replacement operator designated by the Borough to carry out and com plete the ICI Design/Build Work and to perform the M anagem ent Services.
Continuity of Service and Technical Support. Upon any termination of the DBOM Contractor’s right to perform this Service Agreement under any provision hereof referred to in Sections 17.6 (BWS Termination Options During the Design-Build Period) or 17.7 (BWS Termination Options During the Operation Period) or upon the expiration of this Service Agreement under Section 3.1 (Effective Date and Initial Term), the DBOM Contractor, at the request and direction of the BWS, shall provide for an effective continuity of service and the smooth and orderly transition of management to the BWS or any replacement operator designated by the BWS. Such service shall be for a period of up to 90 days and shall include providing technological and design advice and support and delivering any plans, drawings, renderings, blueprints, operating manuals, computer programs, spare parts or other information useful or necessary for the BWS or any replacement operator designated by the BWS to carry out and complete the Design-Build Work and to perform the Operation Services. In addition, the DBOM Contractor shall provide the BWS and any replacement operator with a one-time training program relating to the operation and maintenance of the Project, including any Capital Modifications thereto.
Continuity of Service and Technical Support. Upon the termination of Contractor’s right to perform this Contract, Contractor, at the request and direction of Authority, shall provide for an effective continuity of service and the smooth and orderly transition of management to Authority and/or any replacement Contractor designated by Authority. Such service shall be for a period of up to thirty (30) days, or other period of time as preapproved by Authority, and shall include providing advice and support and delivering any plans, drawings, renderings, bluelines, operating manuals, computer programs, spare parts or other information useful or necessary for Authority or any replacement Contractor designated by Authority to carry out and complete the Work. Authority shall not solicit a contract with any employee of Contractor within one (1) year of the completion of the Project.
Continuity of Service and Technical Support. Upon the termination of the Company’s right to perform this Service Agreement under Sections 11.2 (Events of Default by the Company), 11.4 (Events of Default by the WPCA), or 11.5 (WPCA Convenience Termination), or upon the expiration of this Service Agreement under Section 3.1 (Effective Date and Initial Term), the Company, at the request and direction of the WPCA, shall provide for an effective continuity of service and the smooth and orderly transition of management back to the WPCA or any replacement operator designated by the WPCA. Such service shall be for a period of up to 90 days after the effective date of the termination and shall include providing technological advice and support, or other information useful or necessary for the WPCA or any replacement operator designated by the WPCA to perform the Contract Services. To the extent that the WPCA or such replacement operator requests that the Company also provide operating, maintenance and management services, the Company shall be paid a reasonable pro rata amount based on the Monthly Service Fee for such period that the Company is providing such requested operating, maintenance and management services.

  • Continuity of Services A. The Contractor recognizes that the service(s) to be performed under this Contract are vital to the State and must be continued without interruption and that, upon Contract expiration, a successor, either the State or another contractor, may continue them. The Contractor agrees to: Furnish phase-in training; and Exercise its best efforts and cooperation to effect an orderly and efficient transition to a successor. B. The Contractor shall, upon the State's written notice: Furnish phase-in, phase-out services for up to sixty (60) days after this Contract expires; and Negotiate in good faith a plan with a successor to determine the nature and extent of phase-in, phase-out services required. The plan shall specify a training program and a date for transferring responsibilities for each division of work described in the plan, and shall be subject to the State's approval. The Contractor shall provide sufficient experienced personnel during the phase-in, phase-out period to ensure that the services called for by this Contract are maintained at the required level of proficiency. C. The Contractor shall allow as many personnel as practicable to remain on the job to help the successor maintain the continuity and consistency of the services required by this Contract. The Contractor also shall disclose necessary personnel records and allow the successor to conduct on-site interviews with these employees. If selected employees are agreeable to the change, the Contractor shall release them at a mutually agreeable date and negotiate transfer of their earned fringe benefits to the successor. D. The Contractor shall be reimbursed for all reasonable phase-in, phase-out costs (i.e., costs incurred within the agreed period after contract expiration that result from phase-in, phase-out operations).

  • Quality of Services (a) The Consultant shall be responsible for the professional quality, technical accuracy, and the coordination of all designs, drawings, specifications, and other services furnished pursuant to this Agreement. (b) To that end, the Consultant shall correct or shall revise, without additional compensation, any errors or omissions in its work product or shall make such revisions as are necessary as the result of the failure of the Consultant to provide an accurate, more efficient, and properly constructable product in its designs, drawings, specifications, or other services. (c) The County's review/approval/acceptance of or payment for the services required by this Agreement shall NOT be construed to operate as a waiver of any rights or of any cause of action arising out of the performance of this Agreement. Additionally, the Consultant shall be and remain liable to the County in accordance with applicable law for all damages to the County caused by the Consultant's negligent performance of any of the services furnished under this Agreement. (d) The rights and remedies of the County provided for under this Agreement are in addition to any other rights and remedies otherwise provided by law.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

Client acknowledges that Subadviser and its Affiliates and Subadviser's other clients may at any time, have, acquire, increase, decrease or dispose of positions in the same investments which are at the same time being held, acquired for or disposed of under this Agreement for the Fund. Subadviser shall have no obligation to acquire or dispose of a position in any investment pursuant to this Agreement simply because Subadviser, its directors, members, Affiliates or employees invest in such a position for its or their own accounts or for the account of another client.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • Statement of Work The Statement of Work to which Grantee is bound is incorporated into and made a part of this Grant Agreement for all purposes and included as Attachment A.
