Cooperation Agreements. (1) In order to perform cross-border cooperation, cooperation agreements shall be concluded in accordance with this Framework Agreement.
(2) In compliance with the national definition of responsibilities and the applicable national law of the Contracting Party concerned, the following persons shall be entitled to conclude cooperation agreements: - In the Republic of Austria: the governor of the region, - In Hungary: the Minister responsible for healthcare
(3) The cross-border rescue co-operation under this Framework Agreement shall be established by the competent rescue control centre submitting a request for co-operation to the rescue control centre of the other Contracting Party and the competent rescue control centre of the other Contracting Party shall accept the request for the co-operation and dispatch rescue personnel to the place of the deployment.
(4) Cooperation agreements shall provide for the conditions and procedures for cross-border ambulance service cooperation, in particular in the following areas:
1. Organizing an ambulance service in the framework of cross-border cooperation;
2. Deployment of rescue personnel of one Contracting Party in the national territory of the other Contracting Party;
3. The use of ambulances of one Contracting Party in the national territory of the other Contracting Party;
4. Identification of the institution providing appropriate healthcare in accordance with Article 1 (2). If the patient’s state of health allows and the patient resides in the territory of one of the Contracting Parties at the time of the deployment of the ambulance staff, that patient shall normally be transported to the territory of that Contracting Party;
5. Procedures for the transfer and admission of a patient to a healthcare institution shall be set out and followed in order to ensure that the patient receives full care without undue delay;
6. Criteria for the evaluation and control of the quality and safety of rescue work and procedures for the documentation, statistical recording and evaluation of cross- border cooperation under this Framework Agreement;
7. Invoicing and remuneration for cross-border cooperation in accordance with Article 10 of this Framework Agreement;
8. Validity of liability insurance under Article 11 of this Framework Agreement;
9. Procedures for communication between the responsible rescue control centres of the Contracting Parties, between the rescue personnel and the rescue control centre and between the members of ...
Cooperation Agreements. 1. The Borrower, through XXX, MMA, MI or MCid, shall, prior to carrying out any Project activity which requires the assistance of a Participating Entity (as determined by the Borrower in accordance with the provisions of the Operational Manual), enter into an agreement (the Cooperation Agreement) with the relevant Participating Entity under terms and conditions approved by the Bank as further specified in the Operational Manual for purposes of assisting XXX, MMA, MI or MCid in the implementation of the respective Parts of the Project under their responsibility, and thereafter maintain the pertinent Cooperation Agreement throughout the implementation of the Project.
2. The Borrower, through XXX, MMA, MI or MCid, shall exercise its rights and carry out its obligations under each Cooperation Agreement in such manner as to protect the interests of the Borrower and the Bank and to accomplish the purposes of the Loan. Except as the Bank shall otherwise agree, the Borrower shall not assign, amend, abrogate, terminate, waive or fail to enforce any Cooperation Agreement or any provision thereof.
Cooperation Agreements. Each of the directors of CVCY and those executive officers of CVCY identified on Schedule 7.2(c) shall have executed a Cooperation Agreement and no breaches of any of its terms shall have occurred.
Cooperation Agreements. Each of the directors of CWBC and each Key Employee shall have executed a Cooperation Agreement and no breaches of any of its terms shall have occurred.
Cooperation Agreements. Each of the directors of Folsom Lake Bank and Key Employees shall have executed a Cooperation Agreement and no breaches of any of its terms shall have occurred.
Cooperation Agreements eBay has entered into a cooperation agreement with affiliates of Xxxxxxx, who hold more than a 4% economic interest in eBay. eBay has also entered into a cooperation agreement with affiliates of Starboard Value, who hold an economic interest of approximately 1% in eBay. Under the terms of their respective agreements, each of Xxxxxxx and Starboard have agreed to certain standstill, voting, and other provisions with eBay. The cooperation agreements will be filed on a Form 8-K with the Securities and Exchange Commission.
Cooperation Agreements. (a) To facilitate the carrying out of the Project, the Recipient may make part of the proceeds of the Financing allocated to Category (1) available to Project Partners under cooperation agreements (the “Cooperation Agreements”) to be entered into between the Recipient and said Project Partners, under terms and conditions approved by the Bank and in accordance with the Project Implementation Manual.
(b) The Recipient shall exercise its rights and carry out its obligations under the Cooperation Agreements in such a manner as to protect the interests of the Recipient and the Bank in order to accomplish the purposes of the Financing. Except as the Bank shall otherwise agree, the Recipient shall not amend, assign, abrogate, suspend, terminate, waive, or fail to enforce the Cooperation Agreements or any of their provisions. In case of any inconsistencies between the terms of this Agreement and the terms of the Cooperation Agreements, the terms of this Agreement shall prevail.
Cooperation Agreements. BNI shall provide Q Bio with the agreements from each of Dx. Xxxxxxx Xxxx and/or Mx. Xxxx Xxxx, the form of which are attached hereto as Exhibit 7.1(v) shall stating that for so long as such person is an officer, director, employee or consultant of BNI or its Affiliate that such person agrees to provide such assistance and cooperation, in its capacity as officer, director, employee or consultant of BNI or its Affiliate, as contemplated under this Agreement as well as assist wherever possible to raise the capital required via corporate presentations to investor and scientific meetings, provided any reasonable out-of-pocket expense incurred by BNI in providing such cooperation will be paid by Q Bio.
Cooperation Agreements. Buyer and the applicable Related Owner of each of the Bronson, Cummer, Hxxxxx and Independence Projects shall have entered into a Cooperation Agreement for each of their respective projects, which shall outline the matters as to which the parties will be required to cooperate to develop these projects in a manner which is mutually beneficial to all components of the applicable project.
