Further, the AGENCY will have no right to control or direct the details, manner, or means by which the INDEPENDENT CONTRACTOR accomplishes the results of work.
Duties of Independent Contractor. Upon expiration or termination of this Agreement, Independent Contractor agrees that he or she will (i) immediately return to Company all keys/fobs to Company’s office in the possession or control of Independent Contractor, and all sales materials or similar items which bear the name or inscription, in any manner whatsoever, of Company; (ii) return to Company all Confidential and Proprietary Information)(as that term is defined herein) in the possession or control of Independent Contractor; and (iii) deliver to Company a “Transaction List” that identifies all transactions for which Independent Contractor is working on behalf of Company at the time of termination.

Independent Contractor agrees to perform this Agreement as a self-employed person to sell travel and travel services to members of the general public and/or business entities on behalf of the Company. Independent Contractor shall perform its obligations hereunder in a prompt and timely manner in accordance with the terms and conditions of this Agreement and in accordance with travel industry ethical standards and business customs, but independent of any supervision or control of Company. Independent Contractor shall do no act that is prejudicial or injurious to Company.
