Duties of Party B. Party B hereby agrees that, in addition to the duties and responsibilities otherwise set forth herein, during the term of this Contract, Party B shall:
Duties of Party B. 5.2.1 Party B shall continue to engage in advertising services pursuant to the terms and conditions of this Agreement, with the aim of developing and expanding the business;
5.2.2 Party B agrees to make all payments to Party A in due course pursuant to the terms and conditions of this Agreement;
5.2.3 Party B shall cause its representative to take appropriate, reasonable, and cautious manner in using and operating any system and equipment relating to the Services under this Agreement;
5.2.4 Party B shall grant Party A or any person authorized by Party A, access to visit and inspect, during normal business hours, any of the properties, and to examine the books of account and records of Party B and discuss the affairs, finances and accounts of Party B with its directors, officers, employees, agents, accountants, legal counsels and investment bankers, as applicable;
5.2.5 In order for Party A to better provide the Services to Party B, Party B shall consult with Party A and take into account Party A’s input before making any material decision with respect to the business operations or other aspects of Party B.
5.2.6 In order for Party A to better provide the Services to Party B, Party B shall timely provide Party A any and all information and materials as may be reasonably required by Party A.
5.2.7 In order for Party A to better provide the Services to Party B, Party B shall not appoint any senior management without the prior written consent of Party A.
Duties of Party B. 3.2.1 Party B shall perform the Services in accordance with the Good Supply Practice (“GSP”). Party B shall start the inspection and delivery upon receipt of Party A’s notice. Party B shall guarantee the goods be delivered safely and maintained in good condition.
3.2.2 Party B shall make prompt and safe “door to door” deliveries to designated drugstores according to Party A’s notices via Internet, subject to the following frequency requirements:
(a) Two deliveries to drugstores located within the city of Hangzhou every day, except on Sunday.
(b) One delivery to drugstores located in counties of Fu Xxxx, Xxxx An, Xxxx Xx, Xxxx De, Xxx An and other regions outside the city of Hangzhou every day, except on Sunday.
(c) No more than two expedite deliveries every week to drugstores located within the city of Hangzhou; otherwise Party B may charge XXX 00 for each delivery.
(d) Delivery will also be made to drugstores located within the city of Hangzhou on holidays other than the Chinese New Year Holidays. Deliveries to drugstores located in counties and other regions outside the city of Hangzhou on holidays shall be determined upon specific consultation of the Parties.
(e) Party B shall be ready to take delivery at any time.
3.2.3 Party B shall inquire for goods within the scope of the Services and inform Party A of the result of the inquiry. Party B shall collect the original of signed documents for each delivery and submit to Party A’s Financial Department on a monthly basis.
3.2.4 Party B shall accept rejected goods only upon being represented a Return Note. Party B shall store the returned goods in conformity with the requirements of GSP.
3.2.5 If a delivery contains more than one type of goods, Party A shall inspect and accept each type of goods separately. Party B shall be responsible for any damage found in Party A’s inspection. Each drugstore shall appoint an inspector to inspect and accept the goods delivered by Party B and provide Party B with a name list and signature samples of the inspectors.
3.2.6 Drugstores shall report to Party A’s main office any request of expedite delivery. The main office shall notify Party B and make arrangement to take delivery at the location of Party B.
3.2.7 Party B shall comply with the Quality Control Agreement and the GSP in terms of inspection, storage and maintenance of goods.
3.2.8 Party B shall only be responsible for quality issues occurred in the process of taking delivery, inspection and transportation.
Duties of Party B. (Services Provider)
1. To create, improve and develop the Home Trading System (HTS) that meets standard defined in the regulation on management of securities trading through HTS.
2. To monitor and maintain the service continuity and effectiveness of HTS.
3. To appoint any company that has IT expertise to develop a system related to HTS.
4. To educate the end user on HTS.
5. To create regulation on the customer protection.
6. To provide Home Trading System program to the end user.
7. To create the customer service center to provide information on HTS to the end user.
8. To appoint staff to monitor the client who uses HTS.
9. To inquire information of the end user and provide to SMC when necessary.
10. To check the end user’s information to verify its existence.
11. Other duties that defined by SMC.
Duties of Party B. Party B shall diligently perform his/her duties and responsibilities to the best of his/her ability in accordance with the instructions of his/her supervisors, work in co-operation with Party B’s supervisors and colleagues, and observe the terms of this Contract and the work rules of Party A contained in the Employee Handbook of Party A or other rules and policies issued from time to time by Party A.
Duties of Party B. Party B shall be devoted to his or her education, research and other tasks under the supervision of the department head where he or she belongs.
Duties of Party B. I. Party B shall follow all instructions of Party A and ensure all plans and designs of the project to meet relevant construction laws and regulations.
II. Party B shall take on a professional attitude for various services mentioned in Article III of the Contract, maintain benefits and interests of Party A all the time and adopt the most economical option under the precondition of safety and reliability.
III. Party B is obligatory to report the latest progress and completed content to Party A.
Duties of Party B. 1 Party B must possess a business license for telecommunication and information services and ensure that the license is effective within the validity period of the contract. Party B shall also provide such information associated with the normal operation as business licenses, information sources and permission for opening a bank account, and guarantee that the fee charged for the information services accords with the relevant regulations of the State commodity price department.
2 Party B shall comply with Internet Information Service Management Method, China Unicom Wireless Data Business Provisional Measures as well as other laws, administrative rules and regulations. 3 Party B shall only be allowed to provide users’ location information for the authorized third party, and shall be forbidden to disclose users’ location information and positioning coordinates (x, y) in any forms or by any means to unauthorized individuals or companies, otherwise Party B shall be responsible for the assumed resulting legal liability, economic liability of compensation.
Duties of Party B. 1) The use of this land by Party B must be in accordance with the use stipulated in this contract and must not be unilaterally changed. During the period of this transfer, any change to the use of this land needs to be approved by Party A, and both parties shall enter into a land transfer contract anew according to relevant regulations, adjust the comprehensive price of the transfer of this land, and go through the land use right transfer process.
2) For the items to be processed by Party A or processed by Party A on behalf of Party B pursuant to this contract, Party B shall provide Party A with all materials in time according to the written request of Party A, or otherwise take responsibility for any delay in the process.
3) Party B shall provide the environmental assessment report of this project and satisfy the national environmental protection requirement.
4) Before operations of this project is formally commenced, party B shall complete industrial and commercial registration, tax registration, and the legal person registration in the area administrated by Party A
5) Party B shall organize the planning and design according to the planning requirement and submit the planning and design to Party A for review.
6) Party B shall commence the construction of the main facility within 60 days after Party A delivers this land to Party B for use. The time limit for the construction in this project is 24 months.
Duties of Party B. 1. Pursuant to Party A’s requirement, Party B shall furnish all the necessary documents and submit the payment for relevant license application.
2. Pursuant to the business proposal and project schedule, Party B shall distribute the investment fund in place and on time.
3. Party B shall legally operate the business and pay the tax prescribed by the authority of jurisdiction to which it locates.
4. Any drainage and sewage shall meet the State environmental standard.
5. Any safety measures and producing activities shall satisfy the State’s safe production requirement.
6. If the conditions for construction are met, Party B shall activate the project before November of 2009 pursuant to the proposed construction schedule and then start producing, otherwise, depending on the actual process, Party A shall reduce or even cancel the promisedpreferential incentives.
7. The land is intended for industrial use. Party B shall not change its intended use after obtaining the Land Use License; otherwise, Party A shall be able to repossess the land unconditionally.
8. Party B agrees to start construction as scheduled. If the land is left for undeveloped for more than two years without any construction ever on, Party A shall be able to repossess the land unconditionally.
9. Party B shall timely transmit the Land Transfer Fee in one time payment to the designated account of Party A.
