Duties of XXXXXXXXX. A. In accepting employment by UCI, XxXxxxxxx shall undertake and assume the responsibility of performing for and on behalf of UCI the duties of the President and Chief Executive Officer of UCI in Columbia, South Carolina. Except with his written consent, XxXxxxxxx shall not be permanently assigned to (i) any position of lower professional status, or (ii) a location outside of Richland or Lexington Counties, South Carolina.

In accepting employment by Employer, XxXxxxxxx shall undertake and assume the responsibility of performing for and on behalf of Employer the duties of the President of Employer in Columbia, South Carolina. Except with his written consent, XxXxxxxxx shall not be permanently assigned to (i) any position of lower professional status, or (ii) a location outside of Richland or Lexington Counties, South Carolina.
Duties of XXXXXXXXX. Xxxxxxxxx shall well and faithfully fulfill and perform such duties as reasonably requested by the Board of Directors of UWGP. Xxxxxxxxx shall devote to his employment the level of care, diligence and skill expected of a Chief Executive Officer in his position, and shall conduct himself at all times in the best interests of UWGP.
Duties of XXXXXXXXX. As of the Effective Date, Xxxxxxxxx shall cease to be Executive Vice-President and Chief Financial Officer and shall become Executive Vice-President of Business Development of Coherent. While employed as such, Xxxxxxxxx shall continue to report to Coherent's Chief Executive Officer. During the Employment Term, Xxxxxxxxx shall remain a member of the Board of Directors of Coherent, until he either resigns, is not re-elected or is removed from the Board of Directors. During the Employment Term, Xxxxxxxxx'x compensation and other benefits shall be as provided in Section 3(a).
