Early Access Period. Commencing on the date by which all of the following conditions (collectively, the “Access Conditions”) have been satisfied and continuing to the Commencement Date (the “Early Access Period”), Sublessee shall have the right to access the Premises for the purpose of preparing the Premises for Sublessee’s use and occupancy thereof, including the installation of the approved “Tenant Improvements” (defined below), and Sublessee’s furniture, fixtures and equipment therein. As referenced herein, the “Access Conditions” shall mean and include: (i) this Sublease has been fully executed and delivered by the parties hereto; (ii) Sublessor has received Master Lessor’s written consent to this Sublease; (iii) Sublessor has received the first (1st) monthly installments of Monthly Base Rent payable under Paragraph 4.3 of this Sublease; (iv) Sublessee has delivered to Sublessor the Letter of Credit to be provided by Sublessee upon the execution and delivery of this Sublease (pursuant to Paragraph 5); and (v) Sublessor has received insurance certificates evidencing that Sublessee is carrying the insurance required to be carried by Sublessee pursuant to Paragraph 21 of this Sublease. During such Early Access Period, all of the applicable terms and conditions of this Sublease shall apply to Sublessee’s use and occupancy of the Premises and all work conducted therein, provided that, Sublessee shall not be obligated to pay Monthly Base Rent or Tenant’s Share of Operating Expenses until the Commencement Date occurs; it being understood that Sublessee shall be obligated to pay all other Additional Rent applicable to the Premises during such Early Occupancy Period. Further, any work to be performed by Sublessee or its contractors within the Premises shall be performed in strict accordance with the terms of Paragraph 14 of this Sublease.
Early Access Period. Four (4) months commencing July 1, 2013 and expiring on October 31, 2013 free of Basic Rent only and in accordance with the provisions of Section 13.02.
Early Access Period. Commencing on the date hereof but subject to the satisfaction of the conditions precedent set forth in this Section 3 (the “Early Access Period”), Tenant shall have the right to access the Expansion Premises for the purpose of the installation of furniture, fixtures and equipment including laboratory set up therein; provided, however, that during such Early Access Period, all of the terms and conditions of this Lease shall apply; provided further, however, that during such Early Access Period, Tenant shall not be obligated to pay Base Rent or Tenant’s Share of Operating Expenses, Tax Expenses, Common Area Utility Costs or Utility Expenses for the Premises so accessed by Tenant until the occurrence of the Expansion Premises Commencement Date. Such early access shall be at Tenant’s sole risk and conditioned upon full execution of this First Amendment and delivery to Landlord of payment of Base Rent and Tenant’s Share of Additional Rent for the first month of the Expansion Premises, the Security Deposit, and insurance certificates evidencing that Tenant has obtained the insurance required pursuant to the Lease. Tenant shall not conduct its business in the Expansion Premises at any time during such Early Access Period. In addition to the foregoing, Landlord shall have the right to impose such reasonable additional conditions on Tenant’s early entry as Landlord shall deem appropriate.
Early Access Period. Notwithstanding anything herein to the contrary, Sublandlord shall permit Subtenant and Subtenant’s employees, agents and contractors to enter the Subleased Premises during the Early Access Period for the sole purpose of installing Subtenant’s personal property, furniture, fixtures and equipment and otherwise preparing the Subleased Premises for Subtenant’s use and occupancy, all subject to the terms, conditions and requirements of the Master Lease, provided that (A) this Sublease is fully executed by both Sublandlord and Subtenant prior to the Early Access Period; (B) Subtenant has satisfied the Delivery Conditions; and (C) Sublandlord and Subtenant have received the Consent prior to the Early Access Period. All of the rights and obligations of the parties under this Sublease (other than Subtenant’s obligation to pay Base Rent, but expressly including without limitation Subtenant’s obligation to pay excess utility charges and carry insurance, as well as Subtenant’s indemnification obligations) shall commence upon the Early Access Date. Subtenant shall coordinate any such entry with Sublandlord. Notwithstanding the foregoing, if Subtenant commences to conduct business in the Subleased Premises during the Early Access Period, Subtenant shall be obligated to pay Base Rent as of such date.
Early Access Period. Following the date by which Master Landlord provides its written consent to this Sublease (the “Consent Date”), Sublandlord shall deliver possession of the Subleased Premises to Subtenant and grants Subtenant the right to access the Subleased Premises for all purposes permitted under this Sublease, including the conduct of Subtenant’s business. The sixty (60)-day period commencing upon the date that Sublandlord delivers possession of the Subleased Premises to Subtenant (the “Early Access Delivery Date”) and ending on the date immediately preceding the Commencement Date shall be referred to herein as the “Early Access Period”. Notwithstanding the foregoing, Sublandlord shall not be required to deliver possession of the Subleased Premises prior to the date that Sublandlord receives the Letter of Credit (defined in Paragraph 5.A below) and the insurance certificates evidencing the insurance required under Paragraph 17 of this Sublease. If the Early Access Delivery Date is delayed beyond the Consent Date as a result of a delay in Subtenant’s delivery of the Letter of Credit or such insurance certificates, then the Early Access Delivery Date shall be deemed to be Consent Date. The Early Access Period shall be subject to all of the terms of the Sublease except the obligation to pay Base Rent, Expenses or Taxes.
Early Access Period. Sublessee shall have access to the Sublease Premises during the period beginning twenty-one (21) days prior to the Commencement Date (the "Early Access Period") for the purpose of installing Sublessee's voice/data cabling and systems, furniture and equipment; provided, that such access does not contribute to Tenant Delays (as defined in Article III.B of the Main) so as to cause a delay in the date of Substantial Completion (as defined in Article III.A of the Main Lease). Sublessor and Sublessee agree to work together in good faith to schedule Sublessee's work in the Sublease Premises during the Early Access Period so as to minimize interference with the timely completion of Landlord Work. Sublessee shall not conduct any business in the Sublease Premises during the Early Access Period. During the Early Access Period, Sublessee shall be subject to all of the terms and conditions of this Sublease, except that no Base Rent or Additional Rent shall be due or payable.
Early Access Period. During the Early Access Period for each phase of the Premises, all of the terms of this Lease shall apply to Tenant’s early access; provided, however, that Tenant shall not be required to pay Base Rent or Tenant’s Share of Expenses and Taxes. During the Early Access Period, Landlord and Tenant shall reasonably cooperate so that Landlord may perform repairs in order to comply with Landlord’s Representation and any remaining punch list items, and Tenant may perform improvements, install furniture, equipment or other personal property or to conduct business operations therein. Landlord may withdraw such permission to enter the applicable portion of the Premises prior to the applicable Commencement Date at any time that Landlord reasonably determines that such entry by Tenant is causing a dangerous situation for Landlord, Tenant or their respective contractors or employees.
Early Access Period. Provided this Lease is fully executed and delivered to Landlord by no later than September 9, 1996 and Landlord's Work is substantially completed (which Landlord agrees to commence upon execution of this Lease and thereafter continue to complete as expeditiously as reasonably possible), Tenant shall be permitted non-exclusive access on September 16, 1996, in common with Landlord and its agents, to perform Tenant's Work ("Early Access Period"). Tenant acknowledges that during this Early Access Period, Landlord may be completing of Landlord's Work and Tenant agrees not to interfere with such completion. Tenant agrees that during this Early Access Period, Tenant shall be bound by all of the provisions of this Lease, including, without limitation, all of Tenant's covenants set out in Article III and that prior to Tenant having access to the Premises, Tenant shall deliver to Landlord the certified copies of Tenant's insurance policies as contemplated in section 3.16(c) of this Lease. Notwithstanding the foregoing, during the Early Access Period, Tenant shall not be required to pay Basic Rent, Operating Costs or Taxes.
Early Access Period. Notwithstanding anything in this Sublease to the contrary, Subtenant may have access to the Sublease Premises during the period commencing upon the date immediately succeeding the date Sublandlord receives consent from Prime Landlord to this Sublease in accordance with Section 12.15 below and running through and including the day immediately preceding the Sublease Commencement Date (the “Early Access Period”) in order to complete its cabling work, install its fixtures, furniture, and equipment; provided, however, that in no event shall the Early Access Period commence until Subtenant has delivered to Sublandlord insurance certificates reflecting Subtenant’s coverage in accordance with the requirements of Section 9.1 of this Sublease. Subtenant’s early access to the Sublease Premises shall be upon all of the terms and conditions of this Sublease (including, without limitation, the insurance and indemnity provisions set forth herein) except Subtenant shall pay no rent with respect to such Early Access Period.
Early Access Period. After the Data deposition steps are complete, data will be released to the Portal. This denotes the start of the Early Access Period. This 6-month time period will be divided into 2 phases. The first 3 months will be the “Beta release” window where data are available on the portal to all users. At this point, project sanctioned QC and analyses have been performed, but the data are NOT considered final or fully integrated on the Portal. The goal of the “Beta release” time period is to allow users to review the data, to perform additional QC and analyses (ideally in a ‘crowd-sourced’ manner), and to finalize and integrate the dataset. At the end of the first 3 months, the data will move to the “Alpha release” state, where data are considered final and fully integrated. During this 6-month period, all analyses, results, and publications proposed are subject to the “Fort Lauderdale Principles” articulated for the sharing of genomic data (▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇.▇▇▇/pages/research/wellcomereport0303.pdf).
