Eligibility for Severance. Enhanced severance payments will be paid, if, during the severance protection period, you: 1) are involuntarily terminated on account of the change of control for other than cause or 2) voluntarily terminate employment for good reason which includes the following: (a) experience a substantial reduction in the nature or scope of the authorities, powers, functions of your current position (which would not include changes in title or reporting relationship); (b) are required to relocated your principal office more than 50 miles from the current site; or (c) suffer a reduction in either your base salary or bonus opportunity or in the aggregate value of your long-term incentives, benefits and executive perquisites during the severance protection period which is not remedied within 30 days after receipt by Tribune Company of written notice from you.

Eligibility for Severance. Eligibility for receipt of the items in Section 4(b) above, shall be conditioned on your (i) returning to Pyxis promptly upon termination of your employment all of its property, including confidential information and all electronically stored information, and (ii) signing and not revoking the Separation Agreement and General Release.

Title 42, the Xxxxxxxx-Xxxxx Act of 2002, the Worker Adjustment and Retraining Notification Act of 1988, and the Older WorkersBenefit Protection Act of 1990; and (d) complies with the restrictive covenants set forth in any other agreement between the Company and Executive. Executive shall forfeit, and repay if already paid by the Company, the Severance, if he or she violates any of these restrictive covenants.
