Facility Visits. (a) Licensee shall have the right to show the Facility to visitors and invitees, provided that:
(i) Licensee notifies GEC in advance of invitees’ names and affiliations, and the date and purpose of the proposed visit;
(ii) There is no breach of confidentiality as provided for in this Article VII;
(iii) Invitees enter into a confidentiality agreement on terms no less stringent than those set forth in this Article VII; and
(iv) No inspections of GEC proprietary equipment are made unless approved in advance by GEC. Such proprietary equipment includes, but is not limited to the Restricted Proprietary Hardware and the locations in the Facility where they are installed.
(b) GEC shall be permitted to host visitors to the Facility provided that:
(i) GEC notifies Licensee in advance of visitors’ names and affiliations, and the date and purpose of the proposed visit;
(ii) Licensee has no reasonable objection to the proposed visitors’ presence at the Facility.
Facility Visits. The terms and conditions of Sponsor audits and other visits are provided in the Quality Agreement.
Facility Visits. Representatives of KHK and DICERNA may, upon reasonable advance notice and during normal business hours, visit the facilities where the Research Collaboration work is being conducted.
Facility Visits. In addition to a Party's employees located at the other Party's facilities pursuant to Section 3.1, representatives of Lilly and Isis may, upon reasonable notice during normal business hours, (a) visit the facilities where the Collaboration is being conducted, including by Third Parties, (b) consult informally, during such visits and by telephone, with personnel for the other Party performing work on the Collaboration, and (c) with the other Party's prior approval, which approval shall not be unreasonably withheld, visit the sites of any experiments or tests being conducted by, or on behalf of, such other Party in connection with the Collaboration. On such visits, an employee of the Party being visited shall accompany the employee(s) of the visiting Party. If requested by a Party, the other Party shall cause appropriate individuals working on the Collaboration to be reasonably available for meetings at times and places reasonably convenient to the Party subject to such request.
Facility Visits. The terms and conditions of Sponsor audit rights and rights to inspect the GMP Facility are provided in the Quality Agreement. Sponsor’s person-in-the-plant (“PIP”) shall have the right to access [**]. The PIP shall follow Fujifilm policies and operating procedures while in the GMP Facility. The PIP [**].
Facility Visits. Each Party agrees to abide by the other Party’s rules and procedures for visitors when visiting the other Party’s facilities. Facility visits will be coordinated through the Executive Committee.
Facility Visits. Subject to Xxxxxxx’x safety procedures, access control SOPs, and confidentiality limitations, Brammer will permit Customer’s representatives during the term of this Agreement, to visit the Facility at mutually agreed upon times, to support technology transfer and/or observe procedures and processes at mutually agreed upon times with reasonable advance notification to Brammer. Customer will give Brammer reasonable advanced notice of any proposed visit, but no fewer than [**] prior notice, and identify the individuals who will be in attendance, provided however that [**] notice will be required where Customer’s representatives wish to visit the Facility in connection with a for-cause audit or an urgent Product safety related matter. All visits will be during Xxxxxxx’x normal business hours on weekdays and conducted in a manner that does not unreasonably interfere with Xxxxxxx’x Services and does not otherwise unreasonably interfere with normal business activities.
Facility Visits. NMC shall have a right to visit the Facility, with at least six (6) months between visits, to witness the extent and nature of use of the NMC Flotation Technology at the Facility, and USGC shall upon request of NMC provide NMC with a complete description of operating parameters and specifications concerning use of the NMC Flotation Technology at the Facility.
Facility Visits. From time to time during the Term, Aradigm may bring Third Parties (who are potential or existing partners with Aradigm) into the Facility upon fourteen (14) days prior written notice and with Novo Nordisk Delivery Technologies, Inc.’s consent; provided that, Novo Nordisk Delivery Technologies, Inc. shall not be obligated to grant consent when Aradigm’s partners are engaged in the field of (a) pulmonary administration of insulin, insulin analogs and any other compounds whose principal therapeutic effect is to control blood glucose levels in humans, including but not limited to glucagon-like peptide (“GLP”), GLP-1 and analogs of GLP and/or (b) insulin, insulin analogs, GLP, GLP-1 and analogs of GLP.
Facility Visits. Except in the event of a Force Majeure or System Emergency, from and after the Commercial Operation Date, Seller shall accommodate Buyer’s requests to visit the Facility during Seller’s regular business hours upon reasonable notice. Seller shall not be required to allow more than two (2) such visits per year. Any such visit shall be subject to Seller’s safety policies applicable to the Facility.
