Governing Law; Choice of Law; Severability. Your use and the terms of the Transfer Service shall be governed by and construed under the laws of the State of Hawaii, if any term cannot be legally enforced, it shall be considered changed to the extent necessary to comply with the law. If any provision is determined to be void or invalid, the remainder of the terms shall remain in full force and effect.

If any provision of this Agreement is declared invalid by a court or other tribunal of competent jurisdiction then, such provision shall be ineffective only to the extent of such invalidity, so that the remainder of that provision and all remaining provisions of this Agreement shall be valid and enforceable to the fullest extent permitted by applicable law. This Agreement will be governed by and construed in accordance with the laws of the state of Indiana excluding that body of laws pertaining to conflict of laws. The provisions of this Zelle Agreement will be governed by federal law and, to the extent that state law applies, the laws of the State of Texas that apply to the account agreement governing your Bank account. If a court decides not to enforce a part of this Zelle Agreement, this Zelle Agreement will then read as if the unenforceable or invalid part were not there. All provisions in this Zelle Agreement are subject to any restrictions under applicable law.

Xxxx Xxxx Pay service is available for individuals or businesses with a BerkOnline® online banking account and requires separate enrollment. By enrolling in this service, you acknowledge that you request that your online bill payments be processed by an independent third party, and that the Bank has no responsibility for the completion or accuracy of transactions performed by you through this service. We will send you a monthly statement for each monthly cycle in which an electronic funds transfer has occurred and at least a quarterly statement if no electronic funds transfer has occurred for each account using BerkOnline® to transfer funds. We may provide you with more frequent statements. It is your responsibility to check the balance in your accounts, using BerkOnline® or your periodic account statements, after you provide the Instructions to us. You agree to notify us promptly in writing of any discrepancy between your records and the information in the periodic statement within 60 days after we mail or otherwise send you periodic account statements containing such information. This Agreement shall be governed by and construed in accordance with the laws of Maryland, without regard to its conflicts of laws provisions, provided, however, that any dispute solely between you and the Service Provider shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflicts of laws provisions. To the extent that the terms of this Agreement conflict with applicable state or federal law, such state or federal law shall replace such conflicting terms only to the extent required by law. Unless expressly stated otherwise, all other terms of this Agreement shall remain in full force and effect. Unless our Terms and Conditions membership agreement states otherwise, you agree that any claim or dispute you may have against us must be resolved by a court located in the county in which you reside. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating all claims or disputes.
