Hotel Management Services. Manager will manage the Hotel in accordance with standards and policies appropriate for the operation of comparable facilities, including the Standards and policies of Owner's Franchiser, if any. Manager will perform the activities contained on Schedule I, but only to the extent that sufficient funds are available to Manager to perform those activities.

Hotel Management Services. (A) Manager will manage the Hotel in accordance with standards and policies appropriate for the operation of comparable facilities, including the standards and policies of the Franchisor. Manager will perform those activities typically performed by management companies operating comparable facilities, including those activities contained on Schedule II, but only to the extent that sufficient funds are available to Manager to perform those activities. (B) Manager shall have the right to establish all prices, price schedules, rates and rate schedules, rents, lease charges, and concession charges, all within the parameters of the approved Annual Plan; provided, "trade-outs" in excess of one thousand dollars ($1,000) per month shall be approved by Lessee. The Manager shall have the right to administer leases, license and concession agreements for all public space at the Hotel, including all stores, office space and lobby space. All such leases, licenses or concessions shall be in Lessee's name and may be executed by Manager on Lessee's behalf; provided, however, any such lease, license or concession for a term in excess of one (1) year shall be approved by Lessee, which approval shall not be unreasonably withheld or delayed. Manager shall have the right and the obligation to negotiate and enter into, on behalf of the Lessee, service contracts and licenses required in the ordinary course of business in operating the Hotel, provided, however, any contract for a term in excess of one (1) year shall be approved by Lessee, which approval shall not be unreasonably withheld or delayed. Upon termination of this Management Agreement, Manager shall assign any such service contracts and licenses to the successor manager, who shall agree to assume responsibility for said items. Manager shall sign such documents as are reasonably necessary to effectuate the assignment and assumption. (C) Manager will keep the Hotel and all private roadways, sidewalks and curbs appurtenant thereto that are under Manager's control, including windows and plate glass, parking lots, HVAC, mechanical, electrical and plumbing systems and equipment (including conduit and ductware), and non-load bearing interior walls, in good order and repair, except for ordinary wear and tear (whether or not the need for such repairs occurred as a result of Manager's use, any prior use, the elements or the age of the Hotel or portion thereof), and, except as otherwise provided in the provisions of this Agreement ...

Hotel Management Services. The Manager will manage and operate Fiesta Resort Saipan in accordance with the “Crowne Plazabrand standards as prescribed under the Hotel Management Agreement. In providing the Hotel Management Services, the Manager will have authority to, among other things:–

Manager's services do not include design and purchasing services for new construction or renovations of the public areas or of three or more guest rooms ("Major Construction"). At Owner's request, Manager will provide design and purchasing services for Major Construction for a fee as set forth on Schedule I.
Hotel Management Services. Prior to completion of construction of the Project, the Company shall enter into the Hotel Management Agreement. From and after completion of construction of the Project and during the term of the Hotel Management Agreement, Hotel Operator shall manage and operate the Project pursuant to the Hotel Management Agreement. Manager shall supervise and direct the Hotel Operator on behalf of the Company. On or before the tenth (10th) day of each calendar month and simultaneously with distributions to the Members pursuant to Section 7.1, the Company shall, pursuant to Section 8.1(b) hereof, pay any fees owing to the Hotel Operator under the Hotel Management Agreement on account of operation of the Project during the preceding calendar month, but such fees shall be payable only after payment of the entire outstanding balance of any accrued Preferred Returns to Investor (including any Preferred Returns accrued with respect to any prior period) as of the end of the preceding calendar month, and if there is insufficient Distributable Cash to pay any portion of such fees to the Hotel Operator, such portion shall not cumulate and the Company shall not be obligated to pay such portion at any future time, notwithstanding that sufficient Distributable Cash may later become available. Manager acknowledges that the Hotel Management Agreement is terminable (a) for any Event of Default (as such term is defined in the Hotel Management Agreement), (b) upon the closing of the sale of all or substantially all of the Property, (c) if Sponsor ceases to be a Member or is removed as Manager pursuant to the terms of this Agreement, or (d) upon the occurrence of any Event of Default by Sponsor under this Agreement.

Manager will keep the Hotel and all private roadways, sidewalks and curbs appurtenant thereto that are under Manager's control, including windows and plate glass, parking lots, HVAC, mechanical, electrical and plumbing systems and equipment (including conduit and ductware), and non-load bearing interior walls, in good order and repair, except for ordinary wear and tear (whether or not the need for such repairs occurred as a result of Manager's use, any prior use, the elements or the age of the Hotel or portion thereof), and, except as otherwise provided in the provisions of this Agreement regarding hazard insurance, condemnation proceeds and Capital Replacements, with reasonable promptness, make all necessary and appropriate maintenance, repairs, replacements, and improvements thereto of every kind and nature, whether interior or exterior ordinary or extraordinary, foreseen or unforeseen or arising by reason of a condition existing prior to the commencement of the Term of this Agreement (concealed or otherwise), or required by any governmental agency having jurisdiction over the Hotel in such manner as to minimize current and future Capital Replacements. The cost of all such maintenance and repairs shall be deemed an Operating Expense. All repairs shall, to the extent reasonably achievable, be at least equivalent in quality to the original work. Manager will not take or omit to take any action, the taking or omission of which might materially impair the value or the usefulness of the Hotel or any part thereof for its Primary Intended Use. D.
