License Models. Depending on how and when the Software was acquired, one and only one of the following license models and entitlements are granted to You. Enterprise EPS/Device Licensing: Your Sentinel deployment is licensed for a Total Events Per Second (Total EPS) rate not to exceed the total purchased EPS rate or Event source Devices limits stated in your purchase agreement. EPS rate and Device limit licenses are cumulative and it is the total amount that defines the licensed capacity. For instance, if a 500 EPS license and a 1000 EPS license are purchased, the total licensed EPS would be cumulative and provide entitlement to 1500 EPS. The licensing is exceeded if the daily average exceeds the licensed EPS at least 2 times within the previous 30 days or if Events are collected from more Devices than are licensed. The right to collect Events from Type I Devices, Type II Devices, Type III Devices, and Type IV Devices is included with the Enterprise EPS/Device licenses up to the cumulative number of purchased Devices. The right to collect Events from Type V Devices is not included in the Enterprise EPS/Device entitlements. Licenses must be purchased specifically for each Type V Device from which Events are being collected. For Type II Devices, individual anti-virus or anti-malware agents that report events to a central console will not be counted as separate Devices for the purposes of the Enterprise EPS/Device Licensing, only the central management console will be counted. The Enterprise EPS/Device Licensing is distinct and independent from any other Sentinel licensing. The Enterprise EPS/Device Licensing does not replace, reduce, or alter the entitlements granted under these license models. Identity Tracking Solution Pack Licensing: Your Identity Tracking Solution Pack purchase provides a limited use license of Sentinel. This license provides the right to collect and process Events from Devices corresponding to licensed NetIQ Identity Manager Integration Modules excluding the Mainframe and Midrange Integration Modules. The license is granted on a per User basis (i.e. unique directory object) as defined in the NetIQ Identity Manager XXXX. For example, if You have deployed the Blackboard Integration Module for NetIQ Identity Manager, You are permitted to collect Events from the Blackboard Integration Module itself using Sentinel, as well as directly from Blackboard solely for the purposes of Identity Tracking. License Models. Insofar as End User has purchased a licence to a “bundled” XXXX-Software, e.g., End User has purchased an XXXX Hardware product from the Reseller such as Thin Clients, Zero Clients, or All-In-One Clients, or the XXXX UD Pocket (each of the foregoing, an “XXXX Hardware Product”), and these XXXX Hardware Products are provided by the Reseller together with such XXXX-Software, the license to use the XXXX-Software is expressly limited to the use with, and in connection with, the purchased XXXX Hardware Product. Subject to the next paragraph, End User is not permitted to copy or download the XXXX-Software, in whole or in part, onto or use with a third-party hardware product. If XXXX-Software is provided to End User by way of a download, the license shall also include the right to copy or download such XXXX-Software to an XXXX Hardware Product or, if permitted herein, a third party hardware product meeting XXXX’x stated minimum hardware computer system requirements for the applicable version of XXXX-Software.

License Models. Unless otherwise stated in the Quote, the license models for the Software are as follows (each a “License Unit”): 2.1. If the Software is Infinio Accelerator, then the Software is licensed per Seats. "Seats" mean the number of User accounts for the Software that the Customer is authorized to create. The number of Seats is specified in the applicable Quote. Only one User can use a Seat at a time. Multiple Users aren't allowed to use the same Seat. "User" is a single person or machine account that initiates the execution of the Software and/or interacts with or directs the Software in the performance of its functions. The number of Users shouldn't exceed the number of Seats the Customer has licensed from Service Provider. Only one User can use a Seat at a time. Multiple Users aren't allowed to use the same Seat, and only one human being can be associated with a particular User account. If Customer wants to swap out, delete, or suspend a User, Customer can do that, and then assign a new User to the open Seat.

For licenses to the XXXX OS and/or XXXX UMS XXXX Software products, the license grant in Section 3 is (a) without restriction in terms of time and territory, and (b) limited to installation and use of such XXXX Software on the number of endpoint devices or instances corresponding to the amount of Delivery Tokens purchased by End User (hereinafter referred to as a “Perpetual License”). For licenses to XXXX Enterprise Managements Pack (EMP), the license grant in Section 3 is time- limited to the individually purchased duration specified on the Order Form and limited to installation and use of such XXXX Software on the number of endpoint devices or instances corresponding to the number of Delivery Tokens purchased by End User (hereinafter referred to as a “Subscription License”). In order to unlock functions of the XXXX Software, it is required to input a License Key inside the respective XXXX Software Product. Each License Key can only be used once to unlock functions on a given endpoint device. To the extent that multiple instances of XXXX Software are installed or executed (e.g. via virtual machines) on an endpoint device, each instance shall require a separate valid license. End User may create copies of XXXX Software solely to the extent that it is necessary to enable the unlocking of functions on the number of endpoint devices or instances, corresponding to the amount of licenses purchased with Delivery Tokens, and to use XXXX Software as intended. In addition, End User may create a reasonable number of backup copies of XXXX Software as reasonably necessary to support its internal business continuity and disaster recovery operations in the ordinary course of business. End User shall include on all such copies all proprietary rights legends and notices of the XXXX Software. 5.2. If End User has XXXX Software installed on a data carrier provided by XXXX for this purpose (e.g., an XXXX UD Pocket), the purchased license also includes the right to temporarily download and copy the XXXX Software to another XXXX Hardware Product or a third-party hardware product. However, the simultaneous use of the purchased XXXX Software license on more than one (1) hardware product device, whether XXXX Hardware Product or a third-party hardware product, is not permitted. 5.3.
