Limited Services. 3.1. PN-EDG shall provide the limited task-related services and support described in Sections 3.2 through 3.4 below, including the staff necessary to provide this support, to CNCA and existing and new CNCA schools so that they operate in a manner consistent with the terms of their charters and agreements with authorizer(s). The CNCA Board and its Chief Executive Officer shall at all times retain ultimate responsibility for and control of the management and operation of the CNCA charter schools, including but not limited to governance and the administration and delivery of curriculum, and managing day-to-day operations. PN-EDG’s limited services and support are task-related and shall not extend to management or governance of CNCA or any charter school operated by CNCA, and the services shall be performed at the direction of the CNCA Board and its Chief Executive Officer, who shall retain ultimate decision-making authority at all times.
3.2. PN-EDG shall provide the following early childhood services (TK), alumni services, development, home support office services and integrated community support services:
(a) Providing support for the implementation of “dashboard” goals for parent engagement at the CNCA school sites;
(b) Providing resources, partnership opportunities and technical assistance to the Parents as Partners programs at CNCA school sites on such topics as college knowledge, academics, physical health, mental health, and other family support needs such as financial literacy, immigration, and housing;
(c) Establishing and maintaining a data system for effective partnership management, student and family and site participation in experiential learning opportunities and integrated support services;
(d) Professional development and training on topics essential to Parents as Partners program and integrated support services, such as managing student health records and other data, case management and referral process, and student attendance and discipline management;
(e) Home office support services; and,
(f) Assisting CNCA with promotion, expansion and replication of the CNCA instructional model by supporting CNCA’s efforts to create and open new schools.
3.3. PN-EDG shall provide the following support with regard to CNCA afterschool, intersession, and summer school enrichment programs in accordance with the Expanded Learning Opportunities Program (“ELOP”):
(a) Training and support for compliance with ELOP funding requirements;

Limited Services. The Consultant will assist the company in accordance to the scope of services. Services not included in the Scope of Service may be performed by the Consultant at the request of the Company for a fee of $90/hour, pending discussion and approval by both the Consultant and the Company.
Limited Services. Unless stated otherwise in Exhibit 2 of this Agreement or any amendment to this Agreement, the following services are limited.
Limited Services. 5.2.1 Disposable or consumable bandages and medical equipment and/or supplies (including, but not limited to, sterile disposable supplies, needles, and syringes) are excluded unless provided as a part of a skilled nursing visit. Lancets and test strips used with glucometers are Covered when received from a Participating Provider.
5.2.2 Occupational and physical therapy services are limited as shown in Exhibit 2 of this Agreement.
Limited Services. (a) Xxxxxx (Infor) Software: Provide existing users with view-only access to all historical information for Enova related companies;
Limited Services. 6) The Owner further covenants and agrees to indemnify and save harmless the Municipality against any action or claim for any damages, losses or expenses resulting from loss of life or injury to any person or loss or damage to any property to the extent that it is attributable to the inability to operate an emergency vehicle properly or safely in order to access or exit the Owner’s Lands because of the condition of the seasonally maintained municipal road allowances.
7) The Owner covenants and agrees that it shall provide this Agreement to all prospective purchasers of the Owner’s Lands.
8) The Owner further covenants and agrees that the indemnities contained in this Agreement shall survive the sale of the Owner’s Lands and said indemnities shall remain in full force and effect and bind the Owner unless this Agreement is assigned to and assumed by any subsequent purchaser of the Owner’s Lands.
9) It is agreed between the parties hereto that every covenant, provision and agreement herein shall enure to the benefit of and be binding upon the parties hereto, and their heirs, executors, administrators, successors and assigns, that all covenants herein shall be construed as being joint and several and that, when the context so requires or permits, the singular number shall be read as if the plural were expressed, and the masculine gender as if the feminine gender, as the case may be, were expressed.
10) The Owner covenants and agrees that nothing in this Agreement releases the Owner from the obligation to comply with the provisions of the Municipality’s Zoning By- Laws, as amended, or any by-laws of the Municipality that may now or in the future be in effect. The Owner further covenants and agrees that nothing in this Agreement shall xxxxxx the discretion of the Municipality in its role as approval authority under the Planning Act.
11) The Owner agrees that if any section, clause or provision of this Agreement is for any reason declared by a Court of competent jurisdiction to be invalid the same shall not affect the validity of the Agreement as a whole or any part thereof, other than the section, clause, or provision so declared to be invalid, and it is hereby declared to be the intention of the parties that all the remaining sections, clauses or provisions of this Agreement shall remain in full force and effect, notwithstanding that one or more provisions thereof shall be declared to be invalid.
Limited Services. We offer EmbedSpace free accounts in limited circumstances. User’s can use it to access shared files associated with their account. It is upgradable to premium by recharging your account. The EmbedSpace free service requires an active Account. You acknowledge and agree that you will use the EmbedSpace free service in compliance with any related Documentation and restrictions. EmbedSpace free Account will not be deleted until it receives a delete request from User if no violations on EmbedSpace Storage Platform.
